Consulting and Advisory Services. MMPI shall furnish management consultant and business advisory services concerning such matters related to the business of the Company as may from time-to-time be requested by the Company, which may include, without limitation: (a) Advise and consult with the Board of Directors, the Company’s officers and other executive personnel regarding business developments, expansion and growth potentials, industry trends, marketing strategy and opportunities for the Company generally. (b) Review offers to acquire the Company or substantially all of its assets and consult with the Board of Directors regarding such potential acquisitions. (c) Advise and consult with the Company’s officers and other executive personnel regarding the Company’s entry into other lines of business and the marketing of the Company’s products in other geographic regions. (d) Make recommendations to the Company’s officers and other executive personnel regarding product development and research strategies. (e) Advise and consult with the Board of Directors regarding the Company’s working capital needs and maintenance of reserves. (f) Advise and consult with the Board of Directors regarding the borrowing of funds by the Company and available equity and debt financing structures. (g) Make recommendations to the Company’s officers and other executive personnel with respect to the Company’s engagement of consultants and other professionals and review proposals related to such engagements. (h) Advise and consult with the Company’s officers and other executive personnel with respect to the Company’s dealings with suppliers, distributors and vendors. (i) Review overall Company operations and make recommendations to the Company’s officers and other executive personnel on reducing operating expenses, improving efficiency and increasing Company profitability.

Consulting and Advisory Services. (a) CCM will assist SSI in identifying potential merger and/or acquisition candidates. CCM will assist SSI in contacting pre-approved target companies and help with structuring such transactions. (b.) CCM will provide SSI on an ongoing basis, general consulting services including but not limited to; (i.) assisting the company in developing institutional sponsorship for it's stock, (ii.) developing retail brokerage participation, (iii.) help the company develop research coverage, (iv.) introducing additional market makers to the stock and, (v.) assisting the company with general business and financial matters. (c.) CCM will assist SSI on an on-going, non exclusive basis identifying placement agents, underwriters, lenders, venture capital, investment banking companies and other strategic investors that may provide SSI with financing or that may agree to assist SSI in equity or debt offerings. (d.) CCM will assist SSI with the identification of new business development opportunities including but not limited to (i) distribution channels, (ii) new strategic marketing, co-marketing, OEM or private label agreements, or (iii) new technology, hardware or software partners or equipment. (b) CCM will provide monthly activity reports to SSI's Chairman, CEO or designate, due on the 2nd business day of the following month, describing the activities and status of the activities that CCM is engaged in on SSI's behalf.
Consulting and Advisory Services. Xxxxx shall make himself available at all reasonable times upon the request of ALLIED to provide the following consulting and advisory services: (a) Provide advice and consultation to the Board of Directors and the President of each of AGI, Mutual, and ALFC on such matters as strategic planning, personnel and organization activities, marketing and product planning, and acquisitions and divestitures; (b) Assist in developing and maintaining relationships with key shareholders of AGI and ALFC, major financial institutions, and primary insurance agents and agencies; (c) Assist in advancing ALLIED and industry positions in various legislative, political, and industry forums; (d) Offer the full benefit of his knowledge, expertise, advice, and recollections as to the ALLIED business; and (e) Provide such other consultation services as may be requested from time to time by the Board of Directors or the President of each of AGI, Mutual, and ALFC. Although this Agreement does not require a fixed schedule or a required minimum number of hours, Xxxxx shall be expected to make himself available to devote up to fifty percent (50%) of his time during the calendar year to render the services described above as well as to serve in the additional capacities contemplated in Section II below. Xxxxx shall designate the times, places, and manner in which these services and duties will be performed. These aforementioned services are to be performed in close association with each of the Presidents of AGI, Mutual, and ALFC and under the general auspices of the Boards of AGI, Mutual, and ALFC. It is anticipated that Xxxxx will make periodic reports to the Boards at their request on the nature and scope of his consulting and advisory activities.
Consulting and Advisory Services. The Parties note that CT and CANCERVAC or PrimaBiomed may have other consulting arrangements in place for the provision of advisory services outside the scope of this Agreement, however: 7.1 CT has considerable experience in managing the Australian regulatory environment and CANCERVAC may, at times, request CT’s assistance with the management of its licensable activities. While it is understood and agreed by CT that a level of assistance for such purposes is inherent in the delivery of the Services there may be occasions where the time and resource allocation is beyond the scope of the Services outlined in Schedule 1. Consulting and Advisory Services. Subject to Section 8.3(b)(xvi) hereof, the General Partner may enter into agreements with any Original Limited Partner for consulting or advisory services on such terms deemed appropriate by the General Partner in its sole discretion. Notwithstanding the foregoing, no Original Limited Partner shall be deemed to be participating in the control of the business of the Partnership by virtue of its acting in the capacity of consultant or advisor or performing any consulting or advisory services.
Consulting and Advisory Services. Xxxxxx will, through and including April 15, 2008 and as requested by the Company, provide part-time consulting and advisory services to the Company (the “Services”). Xxxxxx agrees to devote his commercially reasonable efforts, working time and skill to the Services; provided, however, that in no event shall Xxxxxx be required to provide more than twenty (20) hours of Services in any calendar month. The Services shall be performed by Xxxxxx, and Xxxxxx shall not be required to employ others to perform the Services. Xxxxxx shall be eligible to receive reimbursement for reasonable out-of-pocket expenses incurred in connection with the performance of the Services, provided that such reimbursement is directly related to the Services. Xxxxxx shall provide the Company with documentation evidencing all requests for reimbursement of such expenses. Xxxxxx is not authorized to enter into contracts or agreements on behalf of the Company or to otherwise create obligations of the Company or to third parties in performing the Services under this Agreement.
Consulting and Advisory Services. At Company's request, Hilco shall provide the consulting and advisory services of the principals of Hilco, with a view towards successfully negotiating the assumption and assignment of the Leases and sale of the Owned Properties and/or renegotiating the terms and conditions of certain other leases, as designated by the Company in writing. Such services shall include: (a) Meeting with Company to ascertain the Company's goals, objectives and financial parameters. (b) Developing and designing a marketing program consistent with the terms of the proposal dated February 7, 2002, (the "Proposal") for the sale and/or assignment of the Leases and the Owned Properties. (c) Where appropriate and in conjunction with the Company, Hilco will coordinate and organize the bidding procedures and sale process, as outlined in the Proposal, in order to maximize the attendance of all interested bidders for the sale and assignment of the Leases and the Owned Properties. (d) At Company's direction and on Company's behalf, negotiate the terms of the purchase agreements for the sale and assignment of the Owned Stores and Leases. (e) At Company's direction and on Company's behalf, renegotiate the terms and conditions of termination agreements with the landlords under the Leases. (f) At Company's direction and on Company's behalf, Hilco will negotiate for the benefit of the Debtor's estate claim reductions and modifications with respect to the Leases. (g) Reporting periodically (not less frequently than weekly) to Company regarding the status of negotiations.

Consulting and Advisory Services. Employee agrees to be available for consulting and advisory services between January 1, 2023 and March 31, 2023 (“Transition Period”) to assist with the transition and restructuring of his role. In consideration for these consulting and advisory services, Employee will be eligible to receive all RSUs and options granted in September 2020 that vest during the Transition Period as set forth on Exhibit B below. Employee’s eligibility to receive the September 2020 RSUs and options vesting during the Transition Period is expressly conditioned upon his provision of consulting and advisory services upon the request of the CEO at such dates and times as are reasonably requested.
Consulting and Advisory Services. Consultant shall render to HOSOKAWA the consulting services set forth in ATTACHMENT A to this Agreement, which shall be deemed an integral part of this Agreement and the performance of any other similar work that may be assigned to him by HOSOKAWA's senior management or their delegates ("Services"). Consultant shall be identified as the Vice President - Technology of HOSOKAWA, but Consultant's authority to bind HOSOKAWA shall be subject to the provisions of Section 8. Consultant and HOSOKAWA agree that the services set forth in Attachment A may be changed, modified or altered at any time upon mutual agreement of the parties. Notwithstanding the above, it is understood and agreed that Consultant is essentially free to arrange his activities, specify his hours of work and determine his place of work. However, Consultant will consider the wishes and interests of HOSOKAWA to the fullest extent possible and shall complete all assignments as scheduled.
