Customer Modifications. No modifications to luminaires, poles or related equipment may be made by Customer without prior written approval from Company. Company assumes no liability if luminaires, poles or related equipment are modified in any manner by Customer.
Customer Modifications. In the event the Customer desires custom modifications in connection with its use of the System, the Customer shall make a written request to State Street providing specifications for the desired modification. Any custom modifications may be undertaken by State Street in its sole discretion and may be subject to negotiation of the Fee Schedule.

Customer shall use reasonable efforts to consult with Administrator in advance about any such modifications that may impact Administrator’s performance hereunder. Administrator shall use reasonable efforts to identify promptly the impact on the Services of Customer’s proposed modifications.
(b) To the extent Administrator would be required to incur any additional time or resources as a result of modifications proposed by Customer as described above, Administrator shall, via the Change Procedures, inform Customer of the estimated costs in connection with such modifications. If Customer implements such proposed modifications, Customer shall reimburse Administrator for the reasonable costs identified in writing by Administrator or as may otherwise be agreed via the Change Procedures in advance of Customer initiating such changes. (c) To the extent Customer modifies such facilities, equipment, software, or other resources accessed and used by Administrator in connection with performing the Services and does not inform Administrator in writing in advance as stated above, Customer shall pay Administrator on a time and materials basis at the rates set forth in the applicable Statement of Work for the reasonable costs incurred by Administrator modifying its software or other resources to the extent reasonably necessary to conform to Customer’s modifications and Administrator shall be excused from performing in accordance with this Agreement to the extent caused by Customer’s changes.

(b) To the extent Administrator would be required to incur additional time or resources as a result of modifications proposed by Customer as described above, Administrator shall, via the Change Procedures, inform Customer of the estimated costs in connection with such modifications reasonably incurred by Administrator as soon as practical in light of the nature of the proposed change. If Customer implements such proposed modifications, Customer shall reimburse Administrator for the reasonable costs identified in writing by Administrator within such time of being notified by Customer in advance of Customer initiating such changes.
(c) To the extent Customer materially modifies such facilities, equipment, software, or other resources accessed and used by Administrator in connection with performing the Services and does not inform Administrator in writing in advance as stated above, Customer shall pay Administrator on a time and materials basis at the rates set forth in the applicable Statement of Work for the reasonable costs incurred by Administrator modifying its software or other resources to the extent reasonably necessary to conform to Customer's modifications and Administrator shall be excused from performing in accordance with this Agreement to the extent caused by Customer's changes.
Customer Modifications. Buyer will hold Peerless harmless from any liability regarding modifications performed by either the Buyer or its subcontractor including Buyer supplied electrical components, electrical wiring and mechanical components.

Customer shall use reasonable efforts to consult with Vendor in advance about any such modifications that may impact Vendor’s performance hereunder. Vendor shall use reasonable efforts to identify promptly the impact on the Services of Customer’s proposed modifications.
5.2.2. To the extent Vendor would be required to incur any additional time or resources as a result of modifications proposed by Customer as described above, Vendor shall, via the Change Procedures, inform Customer of the estimated costs in connection with such modifications as soon as reasonably practicable in advance of the implementation of such modifications. If Customer implements such proposed modifications, Customer shall reimburse Vendor for the reasonable costs identified in writing by Vendor or as may otherwise be agreed via the Change Procedures.
5.2.3. To the extent Customer modifies such facilities, equipment, software, or other resources accessed and used by Vendor in connection with performing the Services and does not inform Vendor in writing in advance as stated above, Customer shall pay Vendor on a time and materials basis at the rates set forth in the applicable Statement of Work for the reasonable costs incurred by Vendor modifying its software or other resources to the extent reasonably necessary to conform to Customer’s modifications and Vendor shall be excused from performing in accordance with this Agreement to the extent caused by Customer’s changes.
Customer Modifications. Hoonuit shall be under no obligation to provide Maintenance Services if the Software: (a) is not used in the environment for which it was designed and configured; (b) is used by users other than the Authorized Users herein; or (c) is altered or modified in any way.
Customer Modifications. If Customer receives Source Code to the Licensed Software pursuant to Article 15 of this Software Licensing Agreement it shall do so under the following terms.
(A) Customer may modify, correct or enhance the Licensed Software in any manner, and subject to terms of Section 13.4 of the Framework Agreement any such modifications, corrections, or enhancements, and any related materials and documentation (and all intellectual property rights therein, including copyrights) shall belong exclusively to Customer (collectively, the Customer Modifications). Supplier agrees that any Customer Modifications to which Supplier gains access in the performance of its obligations hereunder or otherwise shall be deemed Customer Confidential Information under this Software Licensing Agreement.
(B) Supplier shall provide assistance to Customer for Customer Modifications on a time and materials basis, except as otherwise expressly set forth in an applicable Transaction Agreement. Supplier assigns all rights to and modifications resulting from such assistance to Customer. Supplier will not bill Xxxtomer for work related to Customer Modifications without the express, prior written consent of Customer.
Customer Modifications. If source code is licensed, the Customer may modify or enhance the Programs for any purpose reasonably related to the purpose for which the Programs were originally licensed, provided however that:
a. If the Customer is provided any source code, the Customer's right to modify or enhance the Programs shall not diminish JSI's copyrights, interest in, or ownership of the Programs;
b. Unless otherwise agreed to by the parties in writing, the Customer shall be solely responsible for any and all maintenance of any modifications or enhancements it makes to the Programs. Notwithstanding any other provision of this Agreement, the Customer agrees that all enhancements and modifications of any kind whatsoever to the Programs, made by or on behalf of the Customer, shall be considered derivative works of the Programs and shall be the sole property of JSI, including but not limited to, any and all rights, title, interest, copyrights, patent rights, and trade secret rights, in and to such enhancements and modifications.
