Development Committee Meetings. During the term of this Agreement, the Development Committee shall meet every two months, or more often as agreed by the parties, in Houston, Texas, or such other location as the parties agree. The parties agree that at least two (2) meetings of the Development Committee per full calendar year will be held at RPRP's facilities. At its meetings, the Development Committee will (i) formulate and review the Early Stage Development Program objectives, (ii) monitor the progress of the Early Stage Development Program toward those objectives, (iii) review and approve the Program Plan and Budget, and Product Plans and Budgets, pursuant to Section 3.4 of this Agreement, and (iv) monitor the progress of both Early Stage Development and Later Stage Clinical Development. With the consent of the parties, other representatives of Introgen or RPRP or their Affiliates or Sublicensees, may attend Development Committee meetings as non-voting observers. With respect to matters relating to Early Stage Development, Introgen's lead representative shall chair meetings of the Development Committee, and with respect to matters relating to Later Stage Clinical Development, RPRP's lead representative shall chair such meetings. The party whose representatives chair a meeting with respect to particular matters shall be responsible for preparing the agenda and minutes for such meetings.

Development Committee Meetings. The Development Committee may hold meetings in person as frequently as the members of the Development Committee may agree shall be necessary during the period of any research as described in a development plan or more frequently upon the reasonable request of either party but in any event no less frequently than once every six (6) months. Dates of meetings to be held in person shall be agreed by the parties not less than thirty days beforehand; responsibility for arranging the meetings, including providing notice and an agenda shall rest with the chairman, who shall be a nominee of the Company. Each party will be responsible for all travel and related costs and expenses for its members and approved invitees to attend meetings of, and otherwise participate on, the Development Committee.
Development Committee Meetings. During the term of this Agreement, the Development Committee shall meet within thirty (30) days of the Effective Date and at least once each calendar quarter after that or at such other frequency as the Development Committee agrees. The Parties shall meet on a date and time and at a location agreed to by the Development Committee. Upon written notice by either Party to the other that a meeting is required or requested, a meeting will be held within thirty (30) calendar days of such notice on a date and time and at a location to be agreed upon by the Parties, or sooner if warranted by the circumstances. Notice requesting such a meeting shall include adequate information describing the activity to be reviewed. Any meetings of the Development Committee may be held in person at a location to be agreed to by the Parties, or by videoconference or teleconference. A reasonable number of additional representatives of either Party including outside consultants and independent contractors (subject to confidentiality agreements and the other Party’s reasonable consent) may attend meetings of the Development Committee in a non-voting capacity. At least one week prior to any meeting of the Development Committee, each Party shall provide the other with a proposed agenda of the matters to be discussed at such meeting. Within thirty (30) days after each meeting, the Development Committee chairperson will provide the Parties with a written report describing, in reasonable detail, the status of the Product, a summary of the results and progress to date, the issues requiring resolution and the agreed resolution of previously reported issues.
Development Committee Meetings. It is anticipated that the Development Committee shall meet not less than three (3) times a year during the term of this Agreement, at such dates, times and locations as agreed to by the parties. At such meetings, the Committee shall discuss the Development Collaboration Program, the status of performance under the Development Collaboration Plan, evaluate the results thereof and set priorities therefore. Prior to each such meeting, each party shall prepare and deliver to the other party written progress reports, which shall include, but not be limited to, descriptions of the conduct of the Development Collaboration Program, including protocols and results obtained, and such other information as the Committee shall reasonably request. The content of all Committee meetings and reports submitted to the Committee are hereby deemed Confidential Information subject to both the nondisclosure and use restrictions of Article 5 herein and the exceptions of Article 5 herein. The Committee shall be responsible for preparing written minutes of each Committee meeting, and a written record of all decisions made by the Committee whether made at a formal meeting or not.
Development Committee Meetings. During the Development Program, the Development Committee shall meet quarterly, or as otherwise agreed by the parties, at such locations as the parties agree and thereafter as the parties agree. At its meetings, the Development Committee will (i) formulate and review the Development Program objectives, (ii) monitor the progress of the Development Program toward those objectives, (iii) review and approve the Development Plan and Budget, pursuant to Section 3.1 of this Agreement, and (iv) undertake and/or approve such other matters as are provided for the Development Committee under this Agreement. With the consent of the parties, other representatives of CG or JT may attend Development Committee or subcommittee meetings as non-voting observers. The Development Committee may also convene or be polled or consulted from time to time by means of telecommunications, video conferences or correspondence, as deemed necessary or appropriate. Each party shall bear its own personnel, travel and lodging expenses relating to Development Committee meetings, which costs and expenses shall not be included in the Development Costs.

Development Committee Meetings. Beginning no later than ninety (90) days after the Effective Date, the Development Committee shall meet quarterly through the Initial Period. After the Initial Period the Development Committee will meet semi-annually during the Interim Period. Thereafter, the Development Committee shall meet annually. All meetings of the Development Committee will be timed to follow the receipt of the Reports (as defined in Section 4.2 above) and will be held in person at a mutually agreeable time and location.
Development Committee Meetings. The Development Committee shall act at meetings held regularly with all members present, according to the following procedures:
(a) The Development Committee meetings shall take place at such times and places as shall be determined by the Development Committee but no less frequently than once per six (6) months; it is expected that the meetings will alternate between appropriate offices of each Party, or will be held at such other convenient locations as agreed;
(b) If requested by a Party, the Development Committee may conduct a particular meeting by telephone or video conference or other acceptable electronic means, provided that all Development Committee members attend such meeting and can hear and communicate with all other members, and any decisions made during such meeting are recorded in writing and confirmed by signature of at least one of the Development Committee members from each of the Parties;
(c) A Party may bring a reasonable number of additional representatives, in a non-voting capacity, to attend appropriate Development Committee meetings, provided that such attendance is helpful to the Development Committee carrying out its tasks and obligations;
(d) Prior to each meeting, the designated chair of the Development Committee (which may vary during the term) shall circulate an agenda for the meeting, and the Development Committee shall keep minutes reflecting matters discussed and the actions taken at the meeting, a copy of which shall be provided to each Party; and
(e) The Development Committee may act on a specific issue or matter without a meeting if the Development Committee members all agree as to such action and such agreement is set forth in a written consent signed by all the members of the Development Committee.
Development Committee Meetings. During the Term of the Development Program, the Development Committee shall meet quarterly, or as otherwise agreed by the Parties, at such locations in the U.S. as the Parties agree and once per year in Germany. At its meetings, the Development Committee will (i) formulate the Development Plans and Budgets, pursuant to Section 3.1 of this Agreement for approval by the Steering Committee, (ii) propose to the Steering Committee indications to be pursued and studies to be conducted, (iii) develop protocols for studies for approval by the Steering Committee; (iv) interact with the Steering Committee on a regular basis to keep it appraised of the progress of the Development Program and submit for its approval any changes to the Development Plan and Budget; and (v) undertake and/or approve such other matters as are provided for the Development Committee under this Agreement. With the consent of the Parties, other representatives of DUSA or Schering may attend Development Committee or subcommittee meetings as non-voting observers. DUSA's lead representative shall chair meetings of the Development Committee and shall be responsible for preparing the meeting agendas and minutes. Such minutes shall be distributed in draft form not later than thirty (30) days following each meeting and shall be deemed accepted and effective unless an authorized representative of Schering has objected to the same within thirty (30) days of Schering's receipt of such minutes; final minutes shall be promptly distributed to the Parties. Each Party shall bear its own personnel and travel costs and expenses relating to Development Committee meetings.
