Meetings and Reports. The Service Provider shall attend any and all meetings in connection with the Services at which the Service Provider's attendance is required by SANBS whether such meetings are scheduled or convened on an ad hoc basis. The Service Provider shall also compile and deliver to SANBS the reports required by SANBS in relation to the Services, whether such reports are required on a regular or ad hoc basis (See Annexure A hereto).

Meetings and Reports. The Service Provider shall attend any and all meetings in connection with the Services at which the Service Provider's attendance is required by SANBS whether such meetings are scheduled or convened on an ad hoc basis. The Service Provider shall also compile and deliver to SANBS the reports required by SANBS in relation to the Services, whether such reports are required on a regular or ad hoc basis (See Annexure A hereto). Payment of the Service Provider invoices shall be made by SANBS within 30 (thirty) days of receipt thereof by SANBS. SANBS may withhold any amounts or portion thereof that it disputes in good faith. The Parties agree that they will endeavour to resolve the dispute within 10 (ten) Business Days. The Service Provider will provide the required supporting documentation as and when requested by SANBS. The failure of SANBS to pay a disputed invoice, or to pay the disputed part of an invoice, shall not constitute a breach or default by SANBS. Should the Parties be unable to resolve the dispute within the required timeframe the dispute will be dealt with in terms of clause of this Agreement. All Fees detailed in this Agreement are exclusive of VAT or any other tax (excluding income tax), levy or import duty payable by the Service Provider in connection therewith.
Meetings and Reports. 4.15.1 Prior to commencement of the Work, the DBE shall attend a Project Kick-off meeting, at a time and a place selected by the District’s Representative, to discuss procedures to be followed during the course of the work. DBE shall follow the procedures as set forth by the District’s Representative and as provided in the DBE's procedure manual to be supplied at the Kick-off conference. The purpose of the meeting will be to introduce the District's key personnel and to review the contract provisions and any other items pertaining to the Project. 4.15.2 Once a week, or at such interval as mutually agreed to by the parties, the District’s Representative will meet with the DBE to review the overall Project progress, the status of the design and/or construction, and to discuss any problems that may arise. DBE and its Architect of Record shall attend all progress meetings. Subconsultants, Subcontractors and vendor representatives shall attend the progress meetings as appropriate to the particular stage of the work. 4.15.3 Each month the DBE shall attend a payment meeting with the District’s Representative to agree on the percentage of the work completed during the current month to establish an amount to be requested in the Application for Payment. 4.15.4 The DBE shall prepare and submit to the District, during design completion, the Construction Document phase, and the Construction Phase, monthly reports on the Work accomplished during the prior monthly period. Such reports shall be prepared in a manner and in a format approved by the District. 4.15.5 Thirty (30) days prior to the estimated Substantial Completion, the DBE shall hold a meeting to review maintenance manuals, guarantees, warranties, close-out submittals, bonds, and service contracts for materials and equipment. DBE shall also implement repair and replacement of defective items, and extend service and maintenance contracts as desired by the District.
Meetings and Reports. Contractor must attend all meetings and public hearings relative to the Services where its presence is determined to be necessary and requested by City and Contractor can reasonably schedule its appearance. Unless otherwise agreed, Contractor shall provide a monthly report summarizing Contractor’s performance. Contractor shall provide other periodic reports respecting the Services as City reasonably requests.

(b) AstraZeneca will prepare and maintain, and will cause its Affiliates and Sublicensees to prepare and maintain, reasonably complete and accurate records regarding the Development of Product and the related Subject Constructs, and the Commercialization of Product in the Subject Field worldwide after Regulatory Approval therefor. AstraZeneca will provide to Moderna a reasonably detailed report regarding such efforts at least [***] each Contract Year during the Earn-Out Term. Such report will contain sufficient detail to enable Moderna to assess AstraZeneca’s compliance with its Development and Commercialization obligations in Section 2.2, including [***]. AstraZeneca’s obligation to provide the information described in Section 2.3(b) to Moderna will terminate upon a Business Combination of Moderna.

Meetings and Reports. (A) AAML will be available for regular meetings with AAMAL to discuss the latest investment report and the performance of and future investment policy for the investments of each Fund, as well as to review any aspect of the services provided under the Agreements. Such meetings shall be held at least once every three months unless XXXXX agrees otherwise. AAML will assist in the preparation of investment reports for each Fund.

Researchers from ENUMERAL and the SANOFI US shall meet at mutually agreed upon times including those indicated in Exhibit A and further as reasonably requested by SANOFI US, in person or by teleconference, to review results of the Research. C. A Program Committee comprised of two representatives from each of ENUMERAL and SANOFI US shall be formed to oversee intellectual property and aspects of administration related to the Research. The Program Committee shall meet on an as-needed basis or when convened by any of its members.
