Development Team. A development team drawn from representatives of the Parties shall be responsible for the development of the Project under the general supervision of the Project Manager and [Lead Party], and in accordance with the Development
Development Team. 6.1 The Contractor may not change any members of the Development Team without the prior written consent of ECMWF.
6.2 ECMWF shall be entitled to reasonably request that a member of the Development Team is replaced and the Contractor shall replace that member accordingly with an appropriately skilled individual.
Development Team. Within thirty (30) days of the Effective Date GW Pharma shall establish a team to oversee and manage the planning and performance of the Development Plan and Lifecycle Management Plan (the “Development Team”) on behalf of GW Pharma. For clarity, responsibility for performing the Development Plan and Lifecycle Management Plan shall remain with GW Pharma.
Development Team. The Developer has identified its team members as those listed in Exhibit G (the “Development Team Members”), which is attached hereto and incorporated herein by reference, and above. The Developer may change Developer Team Members (so long as such replacements have equivalent or better level of experience) only upon the prior written approval of the City, such approval not to be unreasonably withheld, conditioned, or delayed.
Development Team. The Parties have established an IC Process Development Steering Committee (hereinafter the “Team”) to agree upon and monitor the Development Activities. The Team will be comprised of an equal number of members from each Party representing both the business and technology segments of each Party. Unless otherwise agreed by the Parties, the Team will not exceed twelve (12) members. It is anticipated that the Team will meet on a quarterly basis. The technology roadmap for the Development Activities shall be based upon requirement inputs from Allegro and Sanken and shall be updated at least annually. The Team will describe the anticipated process technology required and review the progress of the Development Activities. The responsibilities of each Party’s development teams to accomplish the technology roadmap activities, and the establishment, validation! and prioritization of items on the technology roadmap, will be agreed upon by the Team.
Development Team. (a) Lakes and the Tribe desire to identify and agree upon pre-development and development expenditures on an ongoing basis during the term of this Agreement. The parties also desire to develop ongoing plans and implementation processes to ensure that the pre-development and development of the Project are moving forward with all due speed. To facilitate these processes, annual Pre-Development Plans will be drafted and agreed to by the parties, along with associated Pre-Development Budgets. These plans and budgets shall be largely developed through the Development Team.
(b) On or before the Effective Date, the Tribe and Lakes shall establish a committee to help guide development of the Project (“Development Team”). The Development Team shall be a committee consisting of six (6) representatives, three (3) of whom are appointed by the Tribe and three (3) of whom are appointed by Lakes. The Tribe shall appoint the chairperson of the Development Team (“Chairperson”) from those six representatives. Either the Tribe or Lakes may change its representatives to the Development Team at any time. The parties may invite individuals who do not sit on the Development Team to attend Development Team meetings, provided such individuals shall provide such assurances in writing regarding non-disclosure of confidential information as the Tribe or Lakes may reasonably request.
(c) The Chairperson shall set meeting schedules for the Development Team, provided that the initial meeting of the Development Team shall take place within thirty (30) days of the Effective Date. Meetings may be in person or by telephone conference, but all members of the Development Team shall be given a reasonable opportunity to attend or otherwise participate in such meetings. In addition to the regularly scheduled meetings, any one (1) representative of the Development Team shall have authority to call a special meeting of the Development Team on seventy-two (72) hours advance written notice to the other representatives that comprise the Development Team on such date. In order to be effective, any action of the Development Team must be (i) the result of agreement by a majority of members of the Development Team, (ii) at a meeting at which a quorum was present, provided further that four (4) members of the Development Team, including at least two representatives appointed by the Tribe and two representatives appointed by Lakes, constitute a quorum for the transaction of business at any meeting of the D...
Development Team. The Alliance will include a development team ---------------- consisting of two representatives from each Party [*****]. The development Team will be responsible for planning and decisions regarding Shared Products and Follow-on Product Candidates. Either Party may change any or all of its respective development team representatives upon 30-days written notice to the other Party. All decisions of the development team will be unanimous.
Development Team. The Borrower shall cause the Property Owner to maintain an Acceptable Development Team for the Project at all times.
Development Team. Consistent with DDA Term Sheet section 14.8, the Developer shall submit to CADA for review and comment executed agreements for any of the identified service entities of the proposed development team, i.e., architect, engineer, etc. by In the event the Developer fails to submit or resubmit the required agreements to CADA within the time set forth in this Section, CADA may, at its option, terminate this Agreement by written notice to the Developer and neither party shall have any further rights against or liability to the other under this Agreement.
Development Team. CADA shall review and tentatively approve or disapprove the identified service entities and related agreements submitted by the Developer in accordance with Section 3.3 of this Agreement within seven (7) days of the date such information is received by CADA. In the event CADA disapproves any Development Team agreements, CADA shall give the Developer written notice of such disapproval. The Developer shall then have ten (10) working days from the date of the notice to resubmit one or more new agreements.
