Directed Services shall (i) indemnify and hold harmless General Agent and Broker-Dealer and its directors, officers, employees, agent or affiliated persons and each person, if any who controls General Agent or Broker-Dealer within the meaning of the Securities Act (collectively, the "Indemnified Person") against any losses, claims, damages, litigation expenses or liabilities, joint or several, to which the Indemnified Persons may become subject, under the Securities Act or otherwise, insofar as such losses, claims, damages, litigation expenses or liabilities (or actions, proceedings, or investigations in respect thereto) are related to the sale of the Policies and arise directly out of or are based directly upon any untrue statement or alleged untrue statement of any material fact contained in any Policy Prospectus, Trust Prospectus, Registration Statement for the Policies or the Trust, or sales literature approved by Directed Services (collectively the "Offering Materials") or any amendment or supplement thereto, or arise out of or are based upon any statements, actions or omissions by Directed Services or its officers, directors, employees, agents or affiliated persons, or any person controlling within the meaning of the Securities Act, in connection with the offer and persons controlling within the meaning of the Securities Act, in connection with the offer and sale of any Policies and (ii) reimburse General Agent, Broker-Dealer, and any director, officer, employee, agent or affiliated person of General Agent or Broker-Dealer and such controlling persons for any legal or other expenses reasonably incurred by them in connection with investigating of defending against any such loss, claims, action, proceeding or investigation; provided, however, that Directed Services shall not be liable in any such case to the extent that any such claim, 6 E.(cont.) damage or liability arises out of or is based upon (i) an untrue statement or alleged untrue statement or an omission or alleged omission made by Offering Materials, or any amendment or supplement thereto, in reliance upon and in conformity with information (including, without limitation, negative responses to inquiries) furnished to Directed Services by or on behalf of any Indemnified Person specifically for use in the preparation thereof, or (ii) willful misfeasance, bad faith or gross negligence of any Indemnified Person in the performance of such Indemnified Person of its obligation and duties under this Agreement. Directed Services. For voluntary termination of self-directed services, the service coordinator will work with the individual receiving services to select a provider agency and transition services to the agency model. The service coordinator, and other regional office staff, will make every effort for the transition to be smooth and to ensure the individual is not without services during the transition. There will be no reduction of services and the individual/designated representatives will no longer consider a qualitied provider.
Directed Services. If the planning team determines the health and safety of the individual receiving services is at risk, the option of self-directing may be terminated. Further, termination of self- directing could occur if there are concerns regarding the individual’s ability to stay within budgeted authorization, or if the individual is unwilling to supervise employees to receive services according to his or her service plan. The Employer must ensure that proper documentation of services is maintained. Before terminating self-direction options, the service coordinator and other appropriate staff will first counsel the Employer/Individual receiving services to assist him or her in understanding the issues, let the individual know what corrective action is needed, and offer the individual assistance in making changes. If the individual refuses to cooperate, the option of self-directing will be terminated.

  • Contracted Services PPG and Member Physicians shall render Contracted Services which are not PPG Capitated Services to Members covered under this Addendum B and shall be compensated on a fee-for-service basis at the rates set forth in Addendum E. PPG shall submit claims in accordance with the terms of this Agreement and State and federal law.

  • Hosted Services 3.1 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the business purposes of the Customer in accordance with the Documentation during the Term. 3.2 The Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account to enable the Customer to configure and administer the Hosted Services and enable registration of Customer End Users. 3.3 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 is subject to the following prohibitions: (a) the Customer must not sub-license its right to use the Hosted Services; (b) the Customer must not make any alteration to the Platform; and (c) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of the Hosted Services. 3.7 The Customer must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of Use. 3.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

  • FURNISHED SERVICES The County agrees to: A. Guarantee access to and make provisions for the Contractor to enter upon public and private lands as required to perform their work. B. Make available all pertinent data and records for review. C. Provide general bid and Contract forms and special provisions format when needed.

  • Offering Services The Manager shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

  • Medical Services Plan Regular Full-Time and Temporary Full-Time Employees shall be entitled to be covered under the Medical Services Plan commencing the first day of the calendar month following the date of employment. The City shall pay one hundred percent (100%) of the premiums required by the plan.

  • Related Services Licensee shall be responsible for obtaining and installing all proper hardware and support software (including operating systems) and for proper installation and implementation of and training concerning the Licensed Software. In the event that Licensee retains Licensor to perform any services with respect to the Licensed Software (for example: installation, implementation, maintenance, consulting and/or training services), Licensee and Licensor agree that such services shall be subject to Licensor’s then current standard terms, conditions and rates for such services unless otherwise agreed in writing by Licensor.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any xxxx, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil.
