Disengagement Assistance. Commencing 6 (six) months prior to expiration of this Agreement, or commencing upon any notice of termination (including notice of a termination by the Service Provider), and continuing through the effective date of expiration (as such effective date may be extended in terms of clause 28.5), or, if applicable, through the effective date of termination (as such effective date may be extended in terms of clause 28.5), and for up to 12 (twelve) months after such date, the Service Provider shall provide to the Company, or at the Company’s request to the Service Provider’s designate, such termination/expiration assistance as the Company may reasonably request to facilitate the transition of the Services to the Company or its designate and, to the extent applicable, without material interruption or degradation of the Services.
Disengagement Assistance. In connection with the termination or expiration by BTC or any BTC Recipient of its participation in any Service Module, State Street will perform the disengagement assistance services for the affected BTC Recipient(s) as provided in Exhibit F hereto (“Disengagement Assistance”). The provision of Disengagement Assistance by State Street shall be subject to (a) any restrictions or limitations imposed by applicable State Street Laws or (b) other measures reasonably necessary to protect the Intellectual Property or Confidential Information of State Street (including that of its customers).
Disengagement Assistance. In connection with the termination or expiration by BFA or any BFA Recipient of its participation in this Agreement, Provider will perform the disengagement assistance services for the affected BFA Recipient(s) as provided in Exhibit E hereto (“Disengagement Assistance”) and continue to provide the Services for the period of the Disengagement Assistance prior to BFA’s or the BFA Recipient’s termination of applicable Services. The provision of Disengagement Assistance by Provider shall be subject to any restrictions or limitations imposed by applicable Law. Provider Confidential Information received in connection with any such Disengagement Assistance shall be subject to the provisions of Article 18.

Disengagement Assistance. Upon termination or expiration of this Agreement, WinStar shall provide Xxxxxxxx and its designated third party providers all reasonable assistance as necessary to effect a smooth transition to a new supplier.
Disengagement Assistance. The Supplier agrees that, notwithstanding the termination of this Agreement for any reason whatsoever the Supplier will, if so required by the Customer, assist the Customer with the seamless transition of the delivery of the Goods and/or rendering of the Services to an incoming supplier. Any disengagement assistance required by the Customer is set out in Schedule B, alternatively in the relevant SOW (if applicable).
Disengagement Assistance. Upon DFS’ request prior to expiration of the Agreement, or any cessation or termination of Services under the Agreement (regardless of the basis), and as requested by DFS continuing for a period of time not to exceed *** months after such expiration, cessation or termination, BancTec will provide Disengagement Assistance as specified in Schedule J (Disengagement Assistance), subject to Section 10.3 of Schedule C (Compensation).
Disengagement Assistance. (a) Upon termination or expiration of this Agreement, WinStar may extend all or any portion of the Agreement beyond the effective date of termination one or more times as it elects, at its sole discretion, provided that the total of all such extensions shall not exceed twelve months (unless a longer time period is mutually agreed upon) following the original effective date of termination Supply Agreement Confidential - WinStar/Lucent 38 - (such period the "Disengagement Period").
(b) Upon termination or expiration of this Agreement, Lucent agrees to provide WinStar and its designated third party providers all reasonable assistance as necessary to effect a smooth transition to a new supplier. In the event this Agreement is terminated by WinStar for cause pursuant to this Agreement, Lucent shall bear WinStar's reasonable and verifiable Out-of-Pocket Expenses incurred with respect to transitioning to a new supplier.
Disengagement Assistance. 77.1.1 The Service Provider must perform all Services included in this Services Agreement in a manner that will effectively and efficiently allow for their transfer to Health or an alternative service provider, including an alternative operator of the Services.
Disengagement Assistance. Commencing upon the expiration or termination of this XXXX for any reason, and continuing for a minimum of six (6) months thereafter (the “The Disengagement Assistance Period”), Monkey agrees to provide Customer with reasonable disengagement assistance (including, if requested, in respect of migration of Customer data from the Monkey Software to another platform in a form specified by Monkey), as requested by Customer in writing at least thirty (30) days prior to the expiration or termination of this XXXX, in order to facilitate the smooth migration of Monkey Software from Monkey to Customer or the replacement vendor designated by Customer. Such disengagement assistance will include, without limitation, Monkey’s ongoing provision of Monkey Software. Such disengagement assistance may also include Monkey’s provision of professional services as agreed upon by the parties pursuant to a Statement of Work (including if data is to be migrated). During the Disengagement Assistance Period, (i) the fees payable by Customer for the Monkey Software and Support and Maintenance Services shall be equal to the then-applicable fees being paid by Customer, and (ii) the fees payable by Customer, on a time and expense basis, for the professional services shall be set forth in the applicable Statement of Work. During this Disengagement Assistance Period, all terms and conditions of this XXXX shall remain in full force and effect and continue until he expiration or termination of the Disengagement Assistance Period.
