Duties and Compensation. 2.1 The Executive shall serve the Corporation and any subsidiaries of the Corporation in such capacity or capacities and shall perform such duties and exercise such powers pertaining to the management and operation of the Corporation and any subsidiaries of the Corporation as may be determined from time to time by the board of directors of the Corporation consistent with the office of the Executive. The Executive shall:
(a) devote his full time and attention and his reasonable best efforts during normal business hours to the business and affairs of the Corporation;
(b) perform those duties that may reasonably be assigned to the Executive diligently and faithfully to the best of the Executive's abilities and in the best interests of the Corporation;
(c) faithfully observe and abide by all the rules, regulations and policies of the Corporation applicable to the Executive, (including without limitation the Corporation's policies respecting insider trading) from time to time in force which are brought xx xxx xxxxxxion of the Executive or which he should reasonably be aware; and
(d) use his reasonable best efforts to promote the interests and goodwill of the Corporation.
2.2 Subject to Article 3 hereof, the Annual Salary payable to the Executive shall be determined during the annual review process by the direct line reporting executive and approved where applicable by the Chief Operating Officer, the President, or the Compensation Committee of the Board of Directors.
2.3 The Executive shall also be entitled to receive the vacation and benefits set forth on a basis consistent with the company practice generally in effect for other executives of the corporation which benefits may be amended from time to time by the Corporation but subject always to the provisions of Article 3 hereof.
Duties and Compensation. The Contractor’s duties and compensation provisions for payment thereof shall be as set forth in Attachment A, and may be amended in writing from time to time, or supplemented with subsequent estimates for services to be rendered and payment received by the Contractor and agreed to by FUSD, and which collectively are hereby incorporated by reference.

Duties and Compensation. The Contractor’s duties will be serving as Chief Executive Officer to the Company, which may be amended in writing from time to time by the Contractor and agreed to by the Company, and which collectively are hereby incorporated by reference. Contractor’s cash compensation shall be ten thousand dollars ($10,000.00) per month. During the term of this Agreement, Contractor’s compensation may be revised by the Company’s Board of Directors, with Audit Committee input, based on changed circumstances.
Duties and Compensation. The duties of Employee shall encompass, but are not necessarily limited to, the job description attached to this Agreement and incorporated herein by this reference as Exhibit “A”. During the term of employment, the Employee shall report to, and shall act under the direction of, the President of the Employer. Compensation and benefits for this position shall be as set forth in Exhibit “B” attached to this Agreement and incorporated herein by this reference. In addition to Employee’s duties set forth on Exhibit “A”, Employee will be asked to perform tasks for Employer’s affiliates (as hereinafter defined) as directed by Employer.
Duties and Compensation. The Contractor’s duties, compensation and provisions for payment thereof shall be as set forth and attached as Schedule 1, which may be amended in writing from time to time by the Company, and which collectively are hereby incorporated by reference.
Duties and Compensation. The Consultant’s duties and compensation shall be as set forth on Exhibit A. In the event of a conflict between the provisions in this Agreement and Exhibit A, the provisions in this Agreement shall control. Payment for Services shall be provided to Consultant within thirty (30) days of Consultant providing a detailed invoice to the Town reflecting work performed to the date of the invoice.
Duties and Compensation. Employee shall perform any and all duties now or hereafter assigned to Employee by Employer, as well as other tasks whether or not assigned by Employer, for a salary as may from time to time be fixed by Employer. Employee's salary will constitute the full and exclusive monetary consideration and compensation for all services performed by Employer, and for the performance of all his or her promises and obligations hereunder. Employee's salary may be increased or decreased from time to time by Employer, in Employers sole discretion, without violating this Agreement.
Duties and Compensation. Kalkbrenner shall have the duties and compensation set forth on Schedule A attached hereto as well as any other duties mutually agreed by Kalkbrenner and the Company. The Company shall reimburse Kalkbrenner for all reasonable business expenses authorized by the Chairman, the Board or Committee thereof, the CEO of the Company or his duly authorized designee.
