Effect of Notice of Termination. Any notice of termination by Company, whether for Cause or without Cause, may specify that, during the notice period, Executive need not attend to any business on behalf of Company.
Effect of Notice of Termination. If on or prior to the date any incentive compensation is paid or any equity interests vests, the Executive gives notice of his intent to terminate his employment (or engagement as a consultant or otherwise) in the business of the Company and/or its affiliates (other than for Good Reason), the Executive shall not be entitled to receive any such incentive compensation and shall forfeit any such unvested equity interests. If on or prior to the date any incentive compensation is paid, the Company terminates the Executive’s employment (or engagement), the Executive shall not be entitled to receive any such incentive compensation.
Effect of Notice of Termination. (a) On the service of a notice of termination:
(i) if termination is prior to the Substantial Completion Date, in so far as any transfer shall be necessary to fully and effectively transfer such property to Owner as shall not already have been transferred to Owner pursuant to Section 11.9(f), Project Co shall transfer to, and there shall vest in Owner, free from all Encumbrances and any Encumbrances derived through Owner, such part of the Work and Facility as shall have been constructed and such items of the plant and equipment as shall have been procured by Project Co, and if Owner so elects:
(A) all plant, equipment and materials (other than those referred to in Section 28.4(a)(i)(B)) on or near to the Site shall remain available to Owner for the purposes of completing the Work; and
(B) all construction plant and equipment shall remain available to Owner for the purposes of completing the Work, subject to payment by Owner of Project Co’s reasonable charges;
(ii) in the event of a termination as provided for pursuant to this Project Agreement, Project Co shall cooperate with Owner and turn over to Owner copies of Project Co’s records, documentation and drawings necessary for Owner to proceed with the Work, including the legal assignment to Owner of any of Project Co’s rights in any agreement relating to the Work as Owner may require, and Project Co shall not do anything to impede Owner’s ability to proceed with the Work. Further, Project Co agrees to turn over to Owner, on a timely basis, enabling Project Co to make and retain copies as it may reasonably deem necessary, all of Project Co’s records, files, documents, materials, drawings, and any other items relating to the Project, whether located on the Site, at Project Co’s office or elsewhere (including all records as described in Section 18.1(a) and notwithstanding the fact that such provision only permits access by Owner to such records) and to vacate the Site in accordance with Owner’s reasonable instructions. Owner may retain such records, files, documents, materials, drawings and any other items for such time as it may need them and may reproduce any and all such items for its own use;
(iii) Project Co shall use commercially reasonable efforts to assign or otherwise transfer to Owner, free of Encumbrances (other than any Encumbrances derived through Owner), the benefit of all manufacturers’ warranties, including all documentation in respect thereof, in respect of mechanical and electrical plant and...
Effect of Notice of Termination. In the event of termination by Provider without cause or by IIBA with cause, the fees paid by Provider will not be refunded. If IIBA terminates this Agreement without cause, it shall refund Provider a pro-rated portion of the fees paid by Provider.
Effect of Notice of Termination. After Contractor receives notice of termination from ISC either for cause under Section 13 or for convenience under Section 14, upon the receipt of such notice, Contractor will immediately proceed with the following obligations, as applicable, regardless of any delay in determining or adjusting any amounts due under the Contract: Cease providing Internet Services on the date specified in the notice of termination. Place no further subcontracts for materials or services needed in providing Internet Services to ISC, except as necessary to complete any continuing portion of the Contract. Terminate all subcontracts to the extent they relate to the work terminated. Settle all outstanding liabilities and termination settlement proposals arising from the termination of subcontracts. Within thirty (30) days of the effective date of termination, ISC will pay all unpaid fees to Contractor provided the Contractor has provided ISC a final detailed invoice for Internet Services rendered, and those unpaid fees are in accordance with the Internet Services rendered.
Effect of Notice of Termination. If either Party gives notice of termination of the Agreement according to Section 10: (i) all unpaid invoices issued by Apple will be accelerated and become immediately due and payable on the effective date of termination; and (ii) Customer will cease placing new orders for Products from Apple on the effective date of termination.

Upon any notice of termination under Section 17(a) or (b), CSR will not open any new Reseller Accounts, provided that if notice of termination is delivered under Section 17(b)(i), the foregoing restriction will continue to apply only until the defaulting party has cured the material default or breach pursuant to Section 17(b)(i).

Upon the effective date of termination or expiration of this Agreement, Partner will (i) cease to represent itself as an authorized Partner of Siemens, and (ii) cease using Offerings and services provided to Partner under this Agreement. Partner will promptly, but in no event later than 15 days following the effective date of termination, deliver to Siemens all copies of any software and documentation, including summaries, abstracts, updates or changes thereof, and any other Confidential Information or proprietary information of Siemens in the possession of Partner. Termination does not relieve either party of its payment obligations under this Agreement or operate to discharge any liability incurred by either party prior to the effective date of termination. In the event this Agreement is terminated, Siemens will have no obligation to make any payments under this Agreement or otherwise except those attributable to lawful and legally compliant tasks already performed. Sections 9 (Taxes), 4.2 (Effect of Termination), 3 (Confidentiality), 8 (LOL), 5 (Trademarks and Intellectual Property), 12 (Export), 13.2 (Feedback) survive termination or expiration of this Agreement.
