Employee's Assistance. Employee agrees to assist Emulex in obtaining and/or maintaining patents, copyrights, mask work rights, and similar rights to any Creations assigned by Employee to Emulex if Emulex, in its sole discretion, requests such assistance. Employee shall sign all documents and do all other things deemed necessary by Emulex, at Emulex's expense, to obtain and/or maintain such rights, to assign them to Emulex, to defend them from invalidation, and to protect them against infringement by other parties. The obligations of this Paragraph are continuing and survive the termination of Employee's employment with Emulex. If Emulex requires Employee's assistance under this Paragraph after termination of employment with Emulex, Employee will be compensated for time actually spent in providing assistance at Employee's hourly pay rate at the date of Employee's termination.

Employee's Assistance. 2.6.1. Employee agrees to assist Company, or its designee, at Company expense, in every proper way to secure Company rights in the Company Intellectual Property and in any and all countries, including (a) the disclosure to Company of all pertinent information and data with respect thereto; (b) the execution of all assignments, applications, specifications, oaths, and other instruments that Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Company Intellectual Property. 2.6.2. Employee’s obligations hereunder, to the extent that it is in Employee’s power to do so, shall continue after the termination of Employee’s employment with Company for any reason. If Company is unable because of Employee’s mental or physical incapacity or for any other reason to secure Employee’s signature on any instrument, required at Company’s discretion in order to apply for, pursue or maintain any application for Intellectual Property rights (including patents or copyright registrations) covering and embodying any Company Intellectual Property, then Employee hereby irrevocably designates and appoints Company and its duly authorized officers and agents (at its discretion) as Employee’s agent and attorney-in-fact, to act for and in Employee’s behalf to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and/or protection or maintenance.
Employee's Assistance. The Employee shall assist the Corporation in obtaining patents and/or copyrights on all inventions, works of authorship, designs, improvements and discoveries deemed patentable or copyrightable by the Corporation in the United States and in all foreign countries, and shall execute all documents and do all things necessary to obtain letters patent, or copyrights, to vest the Corporation with full and extensive title thereto, and to protect the same against infringement by others.
Employee's Assistance. Employee agrees to provide all reasonable assistance to Company in preparing and prosecuting any and all proprietary rights applications pursuant to Section 2(d) above. In particular: (i) Employee agrees to perform, during and after the term of this Agreement, all acts deemed necessary or desirable by Company to permit and assist it, at its expense, in obtaining and enforcing the full benefits, enjoyment, rights and title throughout the world in all or any of the Inventions assigned and granted to Company pursuant to Section 2(b) above. Such acts may include, but are not limited to, execution of documents and assistance or cooperation in legal proceedings; (ii) If Company is unable for any reason to secure any signatures from Employee, its partners or staff, to apply for or to pursue any application for any United States or foreign letters patent or mask work or copyright registration covering inventions, mask works or original works of authorship assigned to Company as above, then Employee hereby irrevocably designates and appoints Company and its duly authorized officers and agents as its agent and attorney-in-fact, to act for and in Employee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or mask work or copyright registrations thereon with the same legal force and effect as if executed by Employee. Employee hereby waives and quitclaims to Company any and all claims, of any nature whatsoever, which Employee now or may hereafter have for infringement of any Non-Disclosure & Inventions Agreement Page 4 ------------------------------------------------------------------------------- patents, mask works or copyrights resulting from any such application for letters patent or mask work or copyright registrations assigned hereunder to Company; and, (iii) Employee's obligation to provide such assistance shall beyond the termination of other services provided to Company under this Agreement, but Company shall compensate Employee at a reasonable rate for the time spent by Employee in rendering such assistance.

The obligations of this Section are continuing and shall survive the termination of Employee’s employment with Xxxxxx. If Xxxxxx requires Employee’s assistance under this Section after termination of employment with Xxxxxx, Employee shall be compensated for time actually spent in providing assistance at Employee’s hourly pay rate at the date of Employee’s termination.

Employee's Assistance. Upon termination of Employee’s employment under this Agreement, during the Noncompetition Period, Employee agrees to assist Employer in the reasonable transition of Employee’s duties and business relationships with reasonable compensation to Employee for such assistance, but in no event more than the Base Salary.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates.   • Non-Recruitment of Employees During the Restricted Period, Executive will not, directly or indirectly, solicit, recruit or induce any Employee to (i) terminate his or her employment relationship with the Company or any of its Subsidiaries or (ii) work for any other person or entity engaged in the Business.
