(d) In respect of any approvals given or not given by the Bank or its Related Bodies Corporate for the appointment, employment, hiring or re-hiring of any person: (i) the Bank and its Related Bodies Corporate will not be liable to the Agent for any direct or indirect costs, losses (including consequential loss), damages or liabilities arising from or in connection with the actions or omissions of Bank Persons; and (ii) without limiting the indemnity given in clause 23.1 (“Indemnity”), the Agent indemnifies the Bank and its Related Bodies Corporate from and against any claim brought against the Bank or its Related Bodies Corporate for any direct or indirect costs, losses (including consequential loss), damages or liabilities arising from or in connection with the actions or omissions of Bank Persons. (e) The Bank agrees not to offer employment to current employees of the Branch to become Bank Staff without a prior notification to the Agent.

Engagement of Personnel. The Service Provider will engage such Personnel as may be necessary to provide the Services, provided that in the engagement of such Personnel, the Service Provider will: (a) engage or employ only such Personnel as are trained, competent and otherwise satisfy the standards and qualifications Prescribed by the Corporation; (b) ensure such Personnel are registered, licensed and approved as required by Applicable Law; and (c) maintain exclusive supervision and control over the Personnel engaged or employed directly or indirectly by the Service Provider to provide the Services, and exercise exclusive responsibility and authority for hiring, supervising, directing, compensating, disciplining, terminating and administering such Personnel, and costs related thereto, provided that the Service Provider complies with the applicable provisions of this Agreement.
Engagement of Personnel. Company shall provide, manage, and transport all Personnel required in connection with the performance of the Work and of its obligations hereunder, including: (a) professional engineers licensed to perform engineering services in each jurisdiction where the performance of the Work requires such licensing; (b) Company’s Project Manager, pursuant to Section 2.11.1; (c) lead project engineer, field engineers, and cost and schedule engineers; and (d) supervisors for the Work, all of whom shall have experience with solar-powered electric generation equipment similar to the equipment (in technology and magnitude to the extent relevant to the Work being performed) necessary to construct the Work and who are competent to perform their assigned duties in a safe and secure manner. Company shall require its Subcontractors to adhere to the same standard with respect to their Personnel. Where required by Applicable Laws, Company shall employ only licensed Personnel in good standing with their respective trades and licensing authorities to perform engineering, design, architectural and other professional services in the performance of the Work. To the extent required by Applicable Laws and Prudent Solar Industry Practices, all Personnel shall have received formal documented training in their area of expertise and certification.

Related to Engagement of Personnel

  • Employment of Personnel Manager shall use its diligent efforts to investigate, hire, pay, supervise and discharge the personnel necessary to be employed by it to properly maintain, operate and lease the Property, including without limitation a property manager or business manager at the Property. Such personnel shall in every instance be deemed agents or employees, as the case may be, of Manager. Owner has no right of supervision or direction of agents or employees of Manager whatsoever; however, Owner shall have the right to require the reassignment or termination of any employee. All Owner directives shall be communicated to Manager’s senior level management employees. Manager and all personnel of Manager who handle or who are responsible for handling Owner’s monies shall be bonded in favor of Owner. Manager agrees to obtain and keep in effect fidelity insurance in an amount not less than Two Hundred Fifty Thousand Dollars ($250,000). All reasonable salaries, wages and other compensation of personnel employed by Manager, including so-called fringe benefits, worker’s compensation, medical and health insurance and the like, shall be deemed to be reimbursable expenses of Manager. Manager may allow its employees who work at the Property and provide services to the Property after normal business hours, to reside at the Property for reduced rents (or rent fee as provided in the Operating Budget) in consideration of their benefit to Owner and the Property, provided such reduced rents are reflected in the Annual Business Plan.
