Engagement; Scope of Services. Subject to the terms and conditions set forth in this Agreement, the City hereby engages the Consultant to perform the Services for the Project on behalf of the City consistent with the terms of this Agreement.
Engagement; Scope of Services. Company hereby engages Consultant to perform the duties set forth in this Agreement. The engagement by Company of Consultant under this Agreement is non-exclusive and shall not limit Company's right to engage other persons (including but not limited to consultants and analysts) to conduct activities on behalf of Company. During the term of this Agreement Consultant may not perform comparable services for any person or entity involved in similar businesses in which Company (or any of its subsidiaries or affiliates) is engaged.

Vendor shall provide to the College the Services described on Exhibit A to this Agreement, including, without limtation, the creation, development and delivery of the photographic, video production services, graphic, pictorial and other means of creative expression(s) of, about and/or relating to College, and/or any of its programs, events, faculty, staff, students and/or guests (collectively, the “Work Product”). The College shall establish the goals to be achieved by the Services but not the details nor means by which such goals are accomplished.

The County, by and on behalf of the Department, hereby engages the Contractor to provide or perform those services described in detail in the document marked as “Work Statement,” hereinafter referred to as “the Scope of Services,” which is incorporated by reference in its entirety herein and attached hereto as Exhibit “A” to this Agreement. The Contractor accepts the engagement and agrees to devote its skills and the skills of its agents, servants and employees to the best of their abilities toward the successful completion of this engagement. The Contractor agrees to provide or perform the Scope of Services under the overall supervision of the Director of the Department or his designee, hereinafter “the Director.”

City hereby hires Provider to provide, and Provider hereby agrees that it shall perform, all the services and functions as set forth on Exhibit A attached hereto and made a part hereof (collectively, the "Services" or the “Project”), subject to and in accordance with the terms and conditions of this Agreement.

Employee providing services under the terms of this Agreement shall at all times remain the employee of Contractor and Xxxxx’x right to provide work direction is limited to the services described in Exhibit A. Contractor and Department shall mutually agree on a replacement in the event that the Employee is (i) unable to commence performance of the Services due to illness or other personal reasons or (ii) is unable to complete performance for any reason including, without limitation, if the Department determines in good faith that the Employee is not satisfactorily performing the Services required hereunder; provided that in the event that the Parties cannot agree on a replacement, Xxxxx shall have the right to deem this Agreement null and void in the case of (i) herein or terminate this Agreement in the case of (ii) herein upon ten (10) business days’ notice.

Subject to the terms and conditions set forth in this Agreement, the City hereby engages the Consultant to perform the Services for the Project on behalf of the City consistent with the terms of this Agreement. The term of the contract shall be three (3) years with two optional one year terms at the sole discretion of the City.

Engagement; Scope of Services. (a) Subject to the terms of this Agreement, the Service Recipient hereby engages the Service Provider to perform the services set forth on Exhibit A attached hereto (collectively, the “Services”). Subject to compliance with the SCM (as defined below), any additional services requested by the Service Recipient that are not included within the Services shall, if mutually agreed upon by the Parties, each in its sole discretion, be negotiated and included in this Agreement through amendments to Exhibit A hereto.
