Ensure that. (a) the Processor Personnel do not process Personal Data except in accordance with this Contract (and in particular Part A Authorised Processing Template of Annex 1 – Processing Personal Data);
(b) it uses best endeavours to ensure the reliability and integrity of any Processor Personnel who have access to the Personal Data and ensure that they:
(i) are aware of and comply with the Processor's duties under this clause 14;
(ii) are subject to appropriate confidentiality undertakings with the Processor or any Subprocessor;
(iii) are informed of the confidential nature of the Personal Data and do not provide any of the Personal Data to any third party unless directed in writing to do so by the Controller or as otherwise allowed by the Contract; and
(iv) have undergone adequate training in the use, care, protection and handling of Personal Data.
(c) the Processor must not transfer Personal Data outside of the UK and/or the EEA unless the prior written consent of the Controller has been obtained and the following conditions are fulfilled:
(d) the transfer is in accordance with Article 45 of the UK GDPR (or section 74A of DPA 2018) and/or the transfer is in accordance with Article 45 of the EU GDPR (where applicable); or
(e) the Controller or the Processor has provided appropriate safeguards in relation to the transfer (whether in accordance with UK GDPR Article 46 or section 75 of the DPA 2018) and/or the transfer is in accordance with Article 46 of the EU GDPR (where applicable) as determined by the Controller which could include relevant parties entering into:
(i) where the transfer is subject to UK GDPR:
(A) the International Data Transfer Agreement (the “IDTA”), as published by the Information Commissioner's Office from time to time under section 119A(1) of the DPA 2018 as well as any additional measures determined by the Controller;
(B) the European Commission's Standard Contractual Clauses per decision 2021/914/EU or such updated version of such Standard Contractual Clauses as are published by the European Commission from time to time (“EU SCCs”), together with the UK International Data Transfer Agreement Addendum to the EU SCCs (the “Addendum”) as published by the Information Commissioner's Office from time to time; and/or
(ii) where the transfer is subject to EU GDPR, the EU SCCs, as well as any additional measures determined by the Controller being implemented by the importing party;
(f) the Data Subject has enforceable rights and effective legal remed...
Ensure that. (a) the Borrower is wholly-owned directly or indirectly by the Guarantor; and
(b) the MLP General Partner is wholly-owned directly or indirectly by the Sponsor; and
(c) the MLP General Partner is the general partner of the Guarantor; and
(d) the Sponsor owns not less than one-third of the share capital and voting rights (subject to the limitations on voting rights relating to election of board members, amendments and certain other matters as set out in the Limited Partnership Agreement) of the Guarantor; and
(e) no person or group of persons acting in concert (other than the Sponsor or any wholly-owned subsidiaries thereof) owns more than 33% of the share capital or voting rights (subject to the limitations on voting rights relating to election of board members, amendments and certain other matters as set out in the Limited Partnership Agreement) of the Guarantor; and
(f) the Guarantor is and remains listed on the New York Stock Exchange, except as agreed in writing by the Security Trustee (acting on the instructions of the Lenders).
Ensure that i. It promptly provides all information reasonably requested by the Owner from time to time;
ii. All information provided to the Owner under or in connection with the Rental Contract is true, complete correct and not misleading;
iii. It promptly notifies the Owner of any changes to that information, including the Hirer’s details recorded in the Rental Agreement or the Hirer’s Uber driver status; and
Ensure that a) all Contracts for supply of services and material to an Eligible project (“Contracts”) will be awarded and managed in accordance with the Municipality’s relevant policies, procedures and resolutions, a copy of which will be provided to Saskatchewan in advance of Saskatchewan making payments to the Municipality; and
Ensure that. (a) the Supplier Personnel do not process Personal Data except in accordance with this Agreement (and in particular Annex A) or any further instructions from Customer;
(b) it takes reasonable steps to ensure the reliability and integrity of any Supplier Personnel who have access to the Personal Data and ensure that they:
i. are aware of and comply with the Supplier’s duties under this clause 2;
ii. are subject to appropriate confidentiality undertakings with the Supplier or any Sub-processor;
iii. are informed of the confidential nature of the Personal Data and do not publish, disclose or divulge any of the Personal Data to any third Party unless directed in writing to do so by the Customer or as otherwise permitted by this Agreement; and
iv. have undergone adequate training in the use, care, protection and handling of Personal Data
Ensure that. (i) all equipment, software, documentation, information and personnel required for the performance of such Empirix Professional Services is made available to Empirix on a timely basis, and (ii) all Reseller personnel assigned to assist Empirix are familiar with the requirements of Reseller or its customer, as the case may be, and have the expertise and capabilities necessary to permit Empirix to undertake and complete the Empirix Professional Services. Empirix’s employees shall not be required to communicate in any language other than English.
Ensure that. 1. All drivers and Monitors wear in plain view a uniform ID card clearly displaying his/her full name and the Transportation Provider's name; and
2. PROGRAM-BASED TRANSPORTATION ONLY> All drivers and Monitors wear in plain view a uniform photo ID card clearly displaying his/her picture, full name and the Transportation Provider's name.
Ensure that all referred Applicants shall provide verified results and, where applicable, verification security information to the University upon the submission of any application;
Ensure that all telecommunicators attend a 9-1-1 equipment and technology training refresher course every two years.
Ensure that the AHP Dwellings are used and continue to be used as AHP Dwellings;
