Equipment, Tools, and Supplies. All equipment, tools, and supplies, of any description, used and or useful in the operation of Seller’s ISP Business, as listed on Schedule 1.1.
Equipment, Tools, and Supplies. The Co-Employer shall provide employees with all necessary equipment, tools and supplies needed to perform their duties.

Participants will be provided with a standard suite of IT equipment necessary to perform official assigned duties remotely at the primary alternate worksite as soon as practicable after the approval of the telework request. A participant may decline deployment of equipment if, after consultation with their supervisor, they deem the equipment is not necessary to productively perform official assigned duties at the primary alternate worksite (e.g., no printer, one monitor instead of two, etc.). Standard equipment includes the following:
Equipment, Tools, and Supplies. (a) The Company will furnish employees general tools as are necessary to perform their work, except wire cutting pliers and pocket knives which will be furnished by the employee. (b) Employees who have the necessary personal tools of their trade on Company premises will be provided with a safe place to keep them. (c) Employees will be required to reimburse the Company for the cost of Company furnished tools that are lost, damaged, or stolen through negligence of the employees. (d) Potable drinking water will be furnished. (e) Employees will be furnished sufficient quantity of ice for drinking water during working hours. (f) Each January, regardless of length of service, each employee subject to this agreement will qualify for a reimbursement of up to a maximum $175.00 following the purchase of proper safety boots as required under the rules, which have been approved under the Company’s safety shoe program. In order to receive the reimbursement employees will be required to present to the company a receipt documenting the shoe purchase. New employees who join the Company will be reimbursed as outlined above as long as they purchase their boots after he/she employment receives their start date. It is understood that employees hired during the last quarter of the year must present proof of the need for a new pair of boots and will not be compensated for a pair in the following year unless such proof is presented. Employees who wear out the first pair of boots in the same calendar year may receive authorization to purchase a second pair of boots under this rule, when approved by the appropriate Carrier officer.

Situational telework: A universal laptop, docking station, one (1) monitor, webcam, telephone headset, keyboard, mouse, speakers, cables, and other related peripherals. The Telework Program Coordinator may approve issuing a printer, a second monitor, SOHO router, CISCO telephone, FOB, and/or fingerprint reader based on availability. b. Full-time Office Telework: A universal laptop, docking station, two (2) monitor, webcam, telephone headset, keyboard, mouse, speakers, cables, and other related peripherals. The Telework Program Coordinator may approve issuing a printer, a second monitor, SOHO router, CISCO telephone, FOB, and/or fingerprint reader based on availability. c. All other telework programs: A universal laptop, docking station, two (2) monitors, webcam, printer, SOHO router, telephone headset or CISCO telephone, keyboard, mouse, speakers, cables, FOB, fingerprint reader, and other related peripherals.
Equipment, Tools, and Supplies. ALEX will be solely responsible for providing any tools, supplies (except computer equipment, office supplies used on DIGIDEV’s premises which will be supplied by DIGIDEV), or other goods that AXXX xxx need or choose to use in order to perform the Services, except as specifically listed in the Agreement or in a Statement of Work.

  • Tools and Equipment As established by current practices, the Employer may determine and provide necessary tools, tool allowance, equipment and foul weather gear. The Employer will repair or replace employer-provided tools and equipment if damaged or worn out beyond usefulness in the normal course of business. Employees are accountable for equipment and/or tools assigned to them and will maintain them in a clean and serviceable condition.

  • Evaluation Software If the Software is an evaluation version or is provided to You for evaluation purposes, then, unless otherwise approved in writing by an authorized representative of Licensor, Your license to use the Software is limited solely for internal evaluation purposes in non-production use and in accordance with the terms of the evaluation offering under which You received the Software, and expires 90 days from installation (or such other period as may be indicated within the Software). Upon expiration of the evaluation period, You must discontinue use of the Software, return to an original state any actions performed by the Software, and delete the Software entirely from Your system and You may not download the Software again unless approved in writing by an authorized representative of Licensor. The Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. RESTRICTIONS

  • Equipment and Supplies Independent Contractor, at Independent Contractor's sole expense, shall provide all equipment, tools and supplies necessary to perform the Service.

  • Equipment and Software To use the Mobile Remote Deposit Services, you must obtain and maintain at your expense, compatible equipment and software that we may specify from time to time.

  • Materials and Supplies The cost of materials and supplies is allowable. Purchases should be charged at their actual prices after deducting all cash discounts, trade discounts, rebates, and allowances received. Withdrawals from general stores or stockrooms should be charged at cost under any recognized method of pricing, consistently applied. Incoming transportation charges are a proper part of materials and supply costs.

  • Equipment and Tools 40.01 The Employer will make available all necessary tools and equipment it requires for the performance of work assignments at no cost to the employees. Such tools and equipment will remain the property of the Employer and the employees will be required to take reasonable care of this property and may be required to sign out certain equipment and tools.

  • Customer Equipment “Customer Equipment” means any Customer-owned or provided software, hardware or services that you elect to use in connection with the Service(s). You agree to allow us and our agents the rights to insert CableCARDs and other hardware in the Customer Equipment, send software and/or downloads to the Customer Equipment and install, configure, maintain, inspect and upgrade the Customer Equipment. You warrant you are either the owner of the Customer Equipment or that you have the authority to give us access to the Customer Equipment. You should call Customer Service at 0-000-XXX-XXXX to find out if it meets our technical, security and other requirements. We reserve the right to disallow the use of Customer Equipment that we determine is not compatible with our network. We shall have no obligation to provide, maintain, or service Customer Equipment, including, but not limited to, Customer Equipment to which the Company or a third party has sent software or downloads. If you use Customer Equipment, you agree that the following limitation of liability shall apply: THE COMPANY DOES NOT WARRANT THAT CUSTOMER EQUIPMENT WILL ENABLE YOU TO SUCCESSFULLY INSTALL, ACCESS, OPERATE, OR USE THE SERVICE(S). YOU ACKNOWLEDGE THAT ANY SUCH INSTALLATION, ACCESS, OPERATION, OR USE COULD CAUSE CUSTOMER EQUIPMENT TO FAIL TO OPERATE OR COULD CAUSE DAMAGE TO CUSTOMER EQUIPMENT, YOU, YOUR PREMISES OR COMPANY EQUIPMENT. NEITHER THE COMPANY NOR ANY OF ITS AFFILIATES, SUPPLIERS OR AGENTS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY SUCH FAILURE OR DAMAGE, INCLUDING LACK OF 911/E911 CAPABILITY OR DIALING ASSOCIATED WITH A SECURITY SYSTEM. YOUR USE OF CUSTOMER EQUIPMENT MAY PREVENT PROVISION OF SERVICE. The foregoing limitation of liability is in addition to and shall not limit any other limitation of liability set forth in this Agreement.

  • Controls and Procedures 11.1. The Company has implemented controls and procedures that are reasonably designed to ensure compliance with applicable laws and regulations, as well as the terms of this Agreement. Without limiting the foregoing, these controls and procedures are reasonably designed to ensure, and MFD or a Trust may request certifications on an annual basis with respect to, each of the following: (a) Orders for Shares received by the Company for each Portfolio comply with the Portfolio’s restrictions with respect to purchases, transfers, redemptions and exchanges as set forth in each Portfolio’s prospectus and statement of additional information; (b) Orders for Shares received by the Company prior to the Portfolio’s pricing time set forth in its prospectus (e.g., the close of the New York Stock Exchange – normally 4:00 p.m. Eastern time) are segregated from those received by the Company at or after such time, and are properly transmitted to the Portfolios (or their agents) for execution at the current day’s net asset value (“NAV”); and orders received by the Company at or after such time are properly transmitted to the Portfolios (or their agents) for execution at the next day’s NAV; (c) Late trading in Shares by Policy holders is identified and prevented and market timing is appropriately addressed; (d) Compliance with applicable state securities laws, including without limitation “blue sky” laws and related rules and regulations; (e) Compliance with all applicable federal, state and foreign laws, rules and regulations regarding the detection and prevention of money laundering activity; and (f) Effective business continuity and disaster recovery systems with respect to the services contemplated by the Agreement.

  • Materials and Equipment ‌ Material means property that may be consumed or expended during performance, component parts of a higher assembly, or items that lose their individual identity through incorporation into an end item. Equipment means a tangible item that is functionally complete for its intended purpose, durable, nonexpendable, and needed for performance. Materials and Equipment shall be priced in accordance with the terms of the task order award, contract type, and applicable FAR and agency-specific regulatory supplements. Unless otherwise directed by task order terms and conditions, the Contractor may apply indirect costs to materials and equipment consistent with the Contractor’s usual accounting practices.
