Ethical Conduct and Compliance. 6.7.1 Adobe Business Partner Code of Conduct Reseller must conduct its business in a manner that reflects favorably upon the Software Products and Adobe. Without prejudice to any other provision in this Agreement, Xxxxxxxx agrees to comply with the principles outlined in the Adobe Business Partner Code of Conduct set forth at xxxx://xxx.xxxxx.xxx/corporateresponsibility/pdfs/adobe_business_partner_code_of_conduct.pdf (or successor website thereto) and incorporated into this Agreement by reference. 6.7.2 Reseller Compliance with Law; Anti-corruption (a) In performance of this Agreement, Reseller must comply with all applicable Laws in all countries in which Reseller conducts business. The fact that in some countries certain Laws prohibiting particular conduct are not enforced in practice, or that violation is not subject to public criticism or censure, will not excuse noncompliance with those Laws. (b) Reseller warrants and represents, and will so certify if requested by Adobe, that neither Reseller nor any of its officers, directors, employees, agents or other representatives has provided or will provide, directly or indirectly through any third party, to any government official, employee of any government entity or instrumentality, or any candidate for political or public office, anything of value for the purpose of: (i) influencing any act or decision of such person in their official capacity;
Ethical Conduct and Compliance. Neither Party, nor any of its employees or agents, has offered, received or been offered, directly or indirectly, any illegal or improper bribe or kickback (whether in the form of a payment, gift, undue advantage, or thing of value), or will offer or accept the same in connection with this Agreement. All parties agree to comply with the US Foreign Corrupt Practices Act of 1977, the UK Bribery Act of 2010, and any equivalent anti-corruption requirements in other jurisdictions that are reasonably applicable to this Agreement. Modest and reasonable gifts, meals, entertainment, and other hospitality, provided in the ordinary course of business and without any corrupt intent to obtain or retain business, or influence a government decision, will not violate the above restriction. If Subscriber learns of any violation of the above restrictions by Zendesk, Subscriber will use reasonable efforts to promptly notify Zendesk at xxxxxxxxxxx@xxxxxxx.xxx.

(c) Reseller further warrants and represents that: (i) none of its officers, directors, employees, agents, or other representatives are a government official, employee of any government entity or instrumentality, or candidate for political or public office, and (ii) it will communicate to all of its employees, agents and third parties performing any services or actions in furtherance of this Agreement, the requirements of Clause 6.7.2 (b) above, including the prohibitions on corruptly influencing any government official, employee of any government entity or instrumentality, or any candidate for political or public off...

Ethical Conduct and Compliance. Reseller shall conduct its business in a manner that does not adversely affect the reputation and goodwill of the Software Products and Devolutions. Reseller warrants and represents, and will so certify if requested by Devolutions, that neither Reseller nor any of its officers, directors, employees, agents or other representatives has provided or will provide, directly or indirectly through any third party, to any government official, employee of any government entity or instrumentality, or any candidate for political or public office, anything of value for the purpose of: (i) influencing any act or decision of such person in their official capacity; (ii) inducing such person to use their influence with such governmental agency or instrumentality to affect or influence any act or decision thereof; or (iii) securing any improper advantage. If Reseller breaches any of the covenants set forth in this Section 7.6: (i) at the election of Devolutions, this Agreement shall become void; (ii) Devolutions shall have a right of action against Reseller for the amount of any Reseller Program Benefits granted to Reseller under the Reseller Program arising from any transaction in violation of this Section 7.6; and (iii) all Reseller Program Benefits shall cease immediately.

  • Professional Conduct Any Firm providing legal services to Citizens shall ensure that its personnel complies with all applicable standards of ethics and rules of professional responsibility, including the Florida Rules of Professional Conduct promulgated by the Florida Supreme Court for attorneys practicing in Florida (or similar standards applicable to attorneys practicing outside the State of Florida). Such standards include rules related to conflicts of interest and confidentiality that are intended to protect Citizens and Citizens’ information. Additionally, in keeping with the vision and mission of Citizens as entrusted by the Florida legislature, Citizens expects all attorneys and legal professionals acting on its behalf, or on behalf of Citizens’ insureds, to adhere to the initiatives for Professional Conduct as promoted by the Florida Bar Center for Professionalism. On January 30, 2015 the Florida Bar Board of Governors approved “Professionalism Expectations.” In keeping with the vision and mission of Citizens as entrusted by the Florida legislature, Citizens expects all attorneys and legal professionals acting on its behalf, or on behalf of Citizens’ insureds, to adhere to the letter and spirit of Professional Conduct as promoted by the Florida Bar’s Standing Committee on Professionalism expressed within this document.

  • General Conduct The BSC has specific policies governing conduct in the units, including, but not limited to, assault, harassment, sexual harassment, host, alcohol, party and substance abuse policies. Member agrees to read and abide by these policies. Failure to follow BSC conduct policies will lead to a range of sanctions up to and including termination of this contract and BSC membership.

  • Privacy Compliance The Provider shall comply with all applicable federal, state, and local laws, rules, and regulations pertaining to Student Data privacy and security, all as may be amended from time to time.

  • Business Conduct Merger Sub was formed on October 16, 2023. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • Information Technology Accessibility Standards Any information technology related products or services purchased, used or maintained through this Grant must be compatible with the principles and goals contained in the Electronic and Information Technology Accessibility Standards adopted by the Architectural and Transportation Barriers Compliance Board under Section 508 of the federal Rehabilitation Act of 1973 (29 U.S.C. §794d), as amended.   • Legal Compliance Contractor represents and warrants that it shall secure all notices and comply with all applicable laws, ordinances, rules and regulations of any governmental entity in conjunction with the performance of obligations under the Contract. Prior to award and during the Contract term and any renewals thereof, Contractor must establish to the satisfaction of the Commissioner that it meets or exceeds all requirements of the Bid and Contract and any applicable laws, including but not limited to, permits, licensing, and shall provide such proof as required by the Commissioner. Failure to comply or failure to provide proof may constitute grounds for the Commissioner to terminate or suspend the Contract, in whole or in part, or to take any other action deemed necessary by the Commissioner. Contractor also agrees to disclose information and provide affirmations and certifications to comply with Sections 139-j and 139-k of the State Finance Law.
