Exit Services. The following services will be provided upon receipt of a Termination Notice to exit from this Service. SS-Payroll-05 HR/Payroll/Benefits Migration Service Provider will make commercially reasonable best efforts to assist Service Receiver in exiting of this agreement. These efforts include: • Support of data extraction requests from the Service Receiver • Providing Subject Matter Expertise in helping the Service Receiver understand current state business processes, functional data mapping, and impacts of design decisions Time and Materials Based on Additional Pricing Section SS-Payroll-06 HR/Payroll/Benefits Service Provider will provide the following knowledge transfer services: • Existing non-sensitive documentation maintained by Service Provider will be given to the Service Receiver as it relates to Payroll/HR/Benefit services Time and Materials Based on Additional Pricing Section

These efforts include: • Support of data extraction requests from the Service Receiver SS-PCard Processing-02 P-Card Transaction Processing Migration • Providing Subject Matter Expertise in helping the Service Receiver understand current state business processes, and functional data mapping Time and Materials Based on Additional Pricing Section Service Provider will provide the following knowledge transfer services: SS-PCard Processing-03 P-Card Transaction Processing Knowledge Transfer • Existing non-sensitive documentation maintained by the Service Provider will be given to the Service Receiver as it relates to P-Card Transaction Processing services Time and Materials Based on Additional Pricing Section
Exit Services. Service Provider will provide the following services at the request of Service Recipient in connection with the termination of the Service: • Provide consulting services for design and implementation of a new solution to replace this Service • Provide restorations as needed to transfer key system configurations and authorized data, within the Service Period • Provide access to current documentation towards preventing a lapse in ongoing backup\restore services • Assist with data segregation (where applicable) and data migration to Service Recipients’ new solution prior to termination of this Service.
Exit Services. The Supplier shall, upon the Customer’s request, in addition to continuing to provide the Services which were provided by the Supplier prior to termination, provide new services requested by the Customer in order to facilitate the transfer or transition of the affected Services, including providing to the Customer reasonable information requested in connection with the affected Services (the “Exit Services”).
Exit Services. The Service Provider will provide the following services in connection with the termination of the Service: • Provide documentation for each system, where applicable For requests for supplemental services relating to the Service by Service Recipient not described in this Service Schedule or not included within the pricing documented in this Service Schedule or the Agreement, Service Recipient will provide a project request and submit such request to Service Provider for consideration by Service Provider. Supplemental services include projects to replace existing systems or significantly increase deployment scope of existing systems.

Exit Services. In the event of any expiration or termination of this Agreement, Vendor shall provide such assistance as agreed by parties to enable Customer to transition the provision of the Services provided by Vendor either in-house or to a third party. The scope and costs of such transitional assistance shall be agreed by Vendor and Customer in writing in a Work Order.
