Export and Legal Compliance. 12.1 The parties acknowledge that certain equipment, software and technical data which may be provided hereunder may be subject to export and re- export controls under the U.S. Export Administration Regulations and/or similar regulations of the U.S. or any other country. No party shall export or re-export any such equipment, software, technical data or any direct product thereof in violation of any such laws. 12.2 Customer is responsible for complying with alt laws and regulations, including but not limited to import and customs laws and regulations. MCI shall provide reasonable assistance to Customer and its affiliates to facilitate such compliance. Such assistance may include preparation of import and customs forms and/or, where requested by Customer, acting as Customer's agent in the import process.

Buyer shall not export or re-export any such Equipment or associated technical data or any direct product thereof in violation of any such laws. 13.2 Buyer shall comply with all laws and regulations. including but not limited to import and custom laws and regulations. 13.3 Buyer shall not distribute the Equipment outside of those areas in which MCIWW provides wireless service.

The then current power rates will be posted to the Guide or customers will be notified by invoice message, billing insert, email, or mail [**] prior to rates being effective. MRCs for Power Options are not discountable. MRCs will begin accruing on the Service Activation Date applicable to each Service, unless Customer has not provided Verizon with all information reasonably requested by Verizon for the provisioning of Services. If Customer fails to provide Verizon with such information, MRCs will begin accruing on the [**] following the date of Customer’s execution of the Agreement or Customer’s placement of an order for Data Center Services, as applicable. Notwithstanding anything to the contrary in the Agreement, Verizon will not waive, and Customer will pay, any standard installation and any other NRCs for Data Center Colocation services. Install fees for contract renewals are not applicable unless there is a change in configuration. A. Data Center Colocation Service — Standard.

Without limiting the generality of the foregoing the parties further agree: 17.7.1 Customer shall not export, re-export, release, transfer or allow the diversion of any items, hardware, software, technology, or the direct product of such technology obtained by Customer under these Service Terms without first complying fully with all applicable Export Laws and obtaining any and all required licenses from United States and other governmental authorities. 17.7.2 Customer shall not conduct business with any company, individual, organization or country that is subject to trade sanctions, embargoes, or other restrictions under applicable Export Laws, nor any entity that is involved in an end use prohibited under Export Laws including but not limited to chemical or biological weapons proliferation of nuclear or missile technology proliferation, in either case without complying fully with all applicable Export Laws and obtaining any and all required licenses from United States and other governmental authorities. 17.7.3 Customer shall cooperate with and provide all necessary information to Verizon in order to facilitate full compliance with all trade-related laws and regulations. 17.7.4 Unless prohibited by law, Xxxxxxxx agrees to provide notice to Verizon of trade compliance related communications received from and/or actions taken by government export officials and/or customs authorities, as relate specifically to the System and/or CPE Services provided herein by or to Customer. Notice shall be provided to Verizon within 10 days of receiving the above referenced communications or notice of actions to be taken by government officials. Such notice shall include the details of any pending investigation and to what extent Verizon items, hardware, technology, or services are involved. 17.7.5 Customer further agrees to release, hold harmless, defend, and indemnify Verizon, its officers, directors, shareholders, agents, and employees, from and against any claims, breaches of th...
