Extended Hardware Warranty. For each SBN, Contractor hereby grants to MSV an option to purchase, for the price specified in Article 4.3, an annually renewable extended warranty for Ground Segment components and any ground-based Space Segment hardware, commencing after the end of the Initial Operations Period for such SBN. Such warranty shall be an extension of the warranty set forth in Articles 14.2.2 and 14.2.3. Ninety (90) days prior to the expiration of the then-current term of the warranty, Contractor shall notify MSV of the upcoming expiration date. MSV shall notify Contractor of its intent to renew the extended warranty at least thirty (30) days prior to the expiration of the then-current term of the warranty.

Extended Hardware Warranty. Subject to the payment of the applicable Annual Support & Maintenance Fee and compliance by End User with the terms of this CAMA and the Documentation, Panduit will provide End User with the Extended Hardware Warranty. All Hardware is warranted against defects in material and workmanship for the one (1) year period following Panduit’s receipt of End User’s Annual Support and Maintenance Fee (the “Extended Warranty Period”). Panduit warrants that its firmware designed by Panduit for use with the Hardware will execute its functions when properly installed during the Extended Warranty Period. Panduit does not warrant that the operation of the Hardware or the firmware will be uninterrupted or error-free. During the Extended Warranty Period. Panduit will, at its discretion, either repair or replace Hardware that proves to be defective. For warranty service or repair, the Hardware claimed to be defective must be returned to a service facility designated by Panduit. End User shall prepay all the shipping charges to Panduit and if, in the opinion of Panduit, the Hardware is defective, Panduit shall pay shipping charges to return the Hardware to End User. However, End User shall pay all shipping charges, duties and taxes for Hardware returned to Panduit from another country. The Hardware is not designed, intended, authorized or warranted to be suitable for use as components in systems used in any life support or critical applications, including but not limited to, any applications intended to support or sustain life, any medical applications, any systems used for commercial transportation or nuclear facilities or any other applications where product failure could lead to personal injury, death or catastrophic property damage. Accordingly, Panduit disclaims any and all liability arising out of the use of the Hardware in any life sustaining or critical application. If End User uses the Hardware in any life support or critical application, End User, not Panduit, assumes full responsibility for such use. Further, Panduit reserves the right to refuse to service any Hardware used in any life support or critical application, and disclaims any and all liability arising out of Panduit’s service or refusal to service such product. Extended Hardware Warranty. The electronic components inside the MeltLab Convertor box are further warranted through the end of 2010 against manufacturing defect and normal wear and tear. This includes the transformer, the converter boards, and the converter modules. It does not include damage due to external causes such as but not limited to: lightning, fire, molten iron, electrical surges, incorrect wiring, or physical abuse. To prevent abuse of this clause, we further stipulate that the hardware must have been in working condition prior to the implementation of this contract. Skipping years and only buying the contract when a problem happens will not cover preexisting hardware problems.

  • Hardware Warranty Company warrants that for a period of one (1) year from delivery of Hardware, Hardware will be free from defects in material and workmanship in normal use, but does not cover any of the following: (i) improper installation, maintenance, adjustment, repair or modification by Customer or a third party; (ii) misuse, neglect, or any other cause other than ordinary use, including without limitation, accidents or acts of God; (iii) improper environment, excessive or inadequate heating or air conditioning, electrical power failures, surges, water damage or other irregularities; (iv) third party software or software drivers; or (v) damage during shipment.

  • Software Warranty We warrant that the Tyler Software will perform without Defects during the term of this Agreement. If the Tyler Software does not perform as warranted, we will use all reasonable efforts, consistent with industry standards, to cure the Defect in accordance with the maintenance and support process set forth in Section C(9), below, the SLA and our then current Support Call Process.

  • Extended Warranty If the Quote includes an extended warranty, the extended warranty coverage period warranty will be for a 5-year term, which includes the hardware manufacturer’s warranty plus the 4-year extended term.

  • Service Warranty Provider has carefully examined and analyzed the provisions of this Agreement, including but not limited to all exhibits attached and incorporated into it, and can and will perform, or cause, the Services to be performed in strict accordance with the provisions and requirements of the Agreement. Services will be performed in a timely, professional and workmanlike manner in accordance with all applicable industry and professional standards.

  • Limited Software Warranty MyECheck represents, warrants, and covenants that: MyECheck warrants to the original end user (“Customer”), and not to subsequent end users, of the Extreme Networks software product (“Software”) that for ninety (90) days from the date of installation of the Software from MyECheck, the Software shall substantially conform with the specification for the Software at the (“Documentation”). MyECheck does not warrant (i) that the Software is error free, (ii) that Customer will be able to operate the Software without problems or interruptions or (iii) that the Software will be free of vulnerability to intrusion or attack. Except for the limited warranty set forth in this section, the Software is provided “AS IS.”

  • Product Warranty Seller provides general warranties of fitness and general warranties that the goods are free from defects, for 1 year from acceptance of the goods, except as may otherwise be set forth in the Description/Proposal, or other attached warranty.

  • Manufacturer’s Warranty The Goods include the manufacturer’s standard limited parts warranty to replace defective parts covered under such warranty exclusive of labor. Labor is warranted by the Elevator Contractor for 90 days following installation. The manufacturer’s parts warranty may require that the Goods be maintained throughout the warranty period by an authorized manufacturer’s representative under a separate maintenance contract. Any warranty is conditioned on written notice to the Elevator Contractor within warranty period and contingent upon receipt of final payment to Elevator Contractor.

  • Services Warranty The Contractor warrants and represents that each of its employees, Subcontractors, or agents assigned to perform any services under the terms of this Agreement shall have the skills, training, and background reasonably commensurate with his or her level of performance or responsibility, so as to be able to perform in a competent and professional manner. The Contractor further warrants that the services provided hereunder will conform to the requirements of this Agreement. All warranties, including any special warranties specified elsewhere herein, shall inure to the Judicial Council, its successors, assigns, customer agencies, and any other recipients of the services provided hereunder.

  • Replacement Parts Warranty If during the regular or extended warranty period’s faults develop, the Contractor shall promptly repair or, upon demand, replace the defective unit or component part affected. All costs for labor and material and transportation incurred to repair or replace defective Product during the warranty period shall be borne solely by the Contractor, and the State or Authorized User shall in no event be liable or responsible therefor. Any part of component replaced by the Contractor under the Contract warranty shall be replaced at no cost to the Authorized User and guaranteed for the greater of: a) the warranty period under paragraph (d) above; or b) if a separate warranty for that part or component is generally offered by the manufacturer, the standard commercial warranty period offered by the manufacturer for the individual part or component.

  • Warranty Period Except as may be otherwise specified or agreed, Contractor shall repair all defects in materials, equipment, or workmanship appearing within one year from the date of Substantial Completion of the Work. If Substantial Completion occurs by phase, then the warranty period for that the Work performed for each phase begins on the date of Substantial Completion of that phase, or as otherwise stipulated on the Certificate of Substantial Completion for the particular phase.
