FACILITY MINIMUM SERVICE TERM. 4.1 Customer acknowledges that the Rates and charges described in Section 3 of this Service and Pricing Exhibit are based on the commitment of Customer to utilize the Facilities for a specified minimum period of time. Therefore, notwithstanding anything in this Agreement to the contrary, Customer shall be liable for and shall pay to Qwest all Rates, fees and charges which accrue under this Agreement for each Facility for the entire Facility Minimum Service Term (as defined in Section 4.2 of this Service and Pricing Exhibit) applicable to each such Facility, regardless of whether or not Customer utilizes all or any part of such Facility during all or any part of the Facility Minimum Service Term applicable to such Facility, except as is set forth in Section 4.3 of this Service and Pricing Exhibit.

FACILITY MINIMUM SERVICE TERM. 8.1 This Agreement shall be effective upon the Effective Date and continue until the expiration (or termination) of the last to expire (terminate) Order Form submitted pursuant to this Agreement. Upon expiration of any Order Form, such Order Form shall automatically renew on a monthly basis under the terms and conditions of this Agreement and the then effective rates for the Service. The minimum service term for each On-Net facilityService order hereunder shall beis set forth in the (a) Order Formone (1) year for Service provided to Customer in a multi-tenant building and (b) two (2) years for Service provided to Customer in a single-tenant building (“Minimum Service Term”). If Customer terminates this Agreement or a particular On-Net, or Off-Net, Service facility prior to the conclusion of the term of the facilityService, or IPN terminates this Agreement for Cause, Customer shall pay (a) for all accrued and unpaid charges for the canceled facilityService provided through the effective date of such cancellation, plus (b) a cancellation charge of one hundred percent (100%) of the balance of the monthly recurring charges (then in effect at the time of cancellation) that otherwise would have become due for the unexpired portion of the applicable Minimum Service Term for the canceled facilityService, plus (c) thirty percent (30%) of the balance of the monthly recurring charges (then in effect at the time of cancellation) that otherwise would have become due for the unexpired portion of the applicable term in excess of the Minimum Service Term for the canceled facilityService. It is agreed that IPN’s damages shall be difficult, if not impossible, to ascertain if a On-Net facilityService is cancelled prior to the completion of its term, thus, the amounts set forth herein are intended to establish liquidated damages in the event of cancellation and are not intended as a penalty. In addition to the foregoing, in the event Customer terminates a facilityService prior to the end of the FacilityService Minimum Term, Customer shall be liable for any early termination fees charged by the Off-Net FacilityService provider.

  • Service Term XOOM agrees to act as your exclusive natural gas supplier and will provide competitive retail natural gas service to you. The term of this Contract will begin when your local utility switches your account to XOOM and will continue on a month-to-month basis as set forth in the accompanying Product Sheet.

  • Benchmark Unavailability Period Upon the Borrower’s receipt of notice of the commencement of a Benchmark Unavailability Period, the Borrower may revoke any pending request for a SOFR Borrowing of, conversion to or continuation of SOFR Loans to be made, converted or continued during any Benchmark Unavailability Period and, failing that, the Borrower will be deemed to have converted any such request into a request for a Borrowing of or conversion to Base Rate Loans. During a Benchmark Unavailability Period or at any time that a tenor for the then-current Benchmark is not an Available Tenor, the component of Base Rate based upon the then-current Benchmark or such tenor for such Benchmark, as applicable, will not be used in any determination of Base Rate.

  • Service Period The Service Period of this Agreement is for 1 year in respect of the unit and starts on the Start Date as defined in the Terms and Conditions, or, in the case of an extension of renewal of the provision of Support Services, starts on the date of payment of the Charges.

  • Minimum Liquidity The Borrower shall not permit Liquidity at any time to be less than $50,000,000.

  • SERVICES TERM Unless otherwise agreed in writing, the Service that you order will start at the earlier of (a) your first use of the Service, (b) the date you purchased the Service, or (c) the start date contained in the Order Form, and, in each case, will end at the expiration of the Services Term unless sooner terminated as set forth below. Subscriptions automatically renew for successive terms of the same duration as the original Services Term, unless either party gives written notice to the other party of its intention not to renew at least thirty (30) days before the expiration of the applicable Services Term. Any Services that you order must be consumed during the applicable Services Term and any unused Services will expire.

  • No Other Employment; Minimum Time Commitment During the Period of Employment, the Executive shall (i) devote substantially all of the Executive’s business time, energy and skill to the performance of the Executive’s duties for the Company, (ii) perform such duties in a faithful, effective and efficient manner to the best of his abilities, and (iii) hold no other employment without the express written approval of the Board. The Executive’s service on the boards of directors (or similar body) of other business entities is subject to the approval of the Board. The Company shall have the right to require the Executive to resign from any board or similar body (including, without limitation, any association, corporate, civic or charitable board or similar body) which he may then serve if the Board reasonably determines that the Executive’s service on such board or body interferes with the effective discharge of the Executive’s duties and responsibilities to the Company or that any business related to such service is then in competition with any business of the Company or any of its Affiliates, successors or assigns.

  • Minimum Sales 4.1 The minimum volume of sales of the Products that CSR commits to use its best efforts to achieve in the Territory on an annual basis in the first Agreement Year is 60,000 gallons (avg. 5,000 gallons per month). RCAI will review the annual volumes of sales of the Products prior to the beginning of any successive term during which this Agreement may continue and RCAI may change and adjust such minimums as it, in its sole judgment, sees fit.
