Flight Schedule. 7.1 FlyEliteJets shall use all reasonable endeavours to complete and adhere to the Flight Schedule as set out in the Charter Agreement, however FlyEliteJets shall have the right to depart from the Flight Schedule for any cause beyond its reasonable control, including by reason of any of the passengers arriving late, and the Charterer shall reimburse FlyEliteJets on demand for any additional expenses incurred as a result, in accordance with clause 6.6. 7.2 If for any reason beyond FlyEliteJets’ control the Aircraft is diverted from any destination shown in the Flight Schedule to another destination the flight shall be deemed to be complete when the Aircraft arrives at that other destination. 7.3 In the event that the Charterer and/or the passengers do not arrive for the Chartered Flight, or arrive over 60 minutes late such other time as advised by the Carrier, or refuse to comply with FlyEliteJets or the Carriers instructions this Agreement shall be deemed terminated and the full Charter price and any additional costs shall be charged in accordance with clause 6.3.

Flight Schedule. The Parties will mutually agree on the initial flight schedule prior to the Services Commencement Date for the first Committed Aircraft (as subsequently amended in accordance with Section 2.10.2, the “Flight Schedule”). Flight Schedule. 12.1. The flight schedule shall be laid down in the annex to the charter contract and be binding for the Customer. 12.2. The times given in the flight schedule and in the transport documents shall be approximate times. The Carrier shall guarantee that these times are observed and shall be entitled to change these times provided that the circumstances do not lie within their control or that this is necessary for reasons of flight safety. 12.3. Provided that the passengers do not arrive in time at the airport or the luggage does not arrive in time for loading, the Carrier shall not be obliged to make a delayed flight. The Provider is entitled to invoice all additional costs incurring from the delayed flight, including the costs for the waiting aircraft and the crew, in addition to the agreed charter sum, or to consider the flight of the Customer as being cancelled and to invoice the cancellation fees as below stipulated. 12.4. Any changes in the flight schedule, agreed in the charter contract, can be made by the Customer only after notifying in advance the Provider, no less than 5 working days before take-off, being subject to the Carrier`s decision. The Provider shall not guarantee the changes in the flight schedule requested by the Customer and shall be entitled to invoice the Customer all additional costs generated by these changes, including all costs for the aircraft and crew who is waiting or to cancel the flight requested by the Customer and invoice the cancellation fees as below stipulated.

The Carrier shall guarantee that these times are observed and shall be entitled to change theses times provided that the circumstances do not lie within their control or that this is necessary for reasons of flight safety. The additional costs for the Client or the passengers resulting thereof shall be paid by the Client. 12.3 Provided that there are delays for reasons the Carrier is made responsible for, the Carrier shall be reserved the right to decide whether they transport the passengers by other means financed by the Carrier or whether they shall be booked into hotels chosen by the Carrier until the flight can be carried through. Concerning the transport of freight, the Carrier can decide to store the goods until the flight is carried through or they find an alternate means of transport at their costs. 12.4 Provided that the passengers do not arrive in time at the airport or the luggage or freight does not arrive in time for loading, the Carrier shall not be obliged to make a delayed flight. The Carrier is entitled to invoice the Client all additional costs incurring from the delayed flight, including the costs for the waiting aircraft and the crew, in addition to the agreed charter sum, or to consider the flight of the Client as being cancelled and to invoice the cancellation fees stipulated in item 15.3.

Flight Schedule. At least one (1) month prior to the start of each calendar quarter during the Term (provided that the first calendar quarter shall be deemed to commence on the date of execution of the Agreement and end on June 30, 2022), the Parties will mutually agree in writing on a commercially reasonable operating flight schedule for the Scheduled Flights (the “Flight Schedule”) to take place in such calendar quarter, which will be based in part on the Air Carriers’ historical demand and comply with regulatory constraints. The Parties may mutually agree to modify the Flight Schedule and the time period to which each Flight Schedule covers. The Air Carriers shall operate the Scheduled Flights, unless otherwise agreed between the Parties. The Air Carriers shall use reasonable best efforts to: (i) accommodate any changes to the Flight Schedule requested by Blade; and (ii) schedule crews and routine maintenance on the Owned Aircraft in a manner that will avoid the unavailability of Owned Aircraft necessary to service the Flight Schedule.
