ADJUSTMENTS TO FEES METROPOLITAN may, from time to time, change the method for determining any or all of the fees charged pursuant to this agreement so long as the new method conforms with the intent of the parties, is reasonable and reflects changes in market rates and/or the cost for providing such services.

Such interconnection shall be provided: (a) under non- discriminatory terms, conditions (including technical standards and specifications), and rates; (b) of a quality no less favorable than that provided for its own like services, for like services of non-affiliated service suppliers, or for like services of its subsidiaries or other affiliates; (c) in a timely fashion, on terms, conditions (including technical standards and specifications), and cost-oriented rates, that are transparent, reasonable, having regard to economic feasibility, and sufficiently unbundled so that the supplier need not pay for network components or facilities that it does not require for the services to be provided; and (d) upon request, at points in addition to the network termination points offered to the majority of users, subject to charges that reflect the cost of construction of necessary additional facilities. Public Availability of the Procedures for Interconnection Negotiations 2. Each Party shall make publicly available the applicable procedures for interconnection negotiations with a major supplier in its territory.

Each Order incorporates these General Terms and Conditions, the definitions set out in the Enabling Articles, and any Exhibits and Addenda specified in the Enabling Articles or referenced in these General Terms and Conditions and will be interpreted consistently with the Enabling Articles. Supplier agrees to the Order by executing the Order, performing Work, or engaging in any conduct that recognizes the Order. Any provision of Supplier's documents that adds to or conflicts with the Order is rejected and is deemed null and void. The term of an Order will begin on the date specified in the Order or, if no date is specified, upon Supplier’s agreement to the Order, and will continue until the earliest of: (i) the expiration date set out in the Order; (ii) completion and acceptance of the Work; or (iii) Purchaser’s notifying Supplier of early termination of the Order.

1.1. The Information System consists of technical sensors, processors, a GSM/GPRS mobile gateway, platforms, APIs, software as a service (SaaS) solutions, which Customer can access the Internet, application or other designated medium (collectively, the “Portal”) in order to use the services and access certain data, as well as of the vehicle-based and other components (the “Hardware”). The Information System collects, processes, monitors, analyzes and sends certain data interactively over the wireless network from the vehicle to UD Trucks Group in order to enable UD Trucks Group’s systems to further process the data and to provide the Services, depending on the service level chosen by Customer. UD Trucks Group may process and use such data for their own internal purposes, including but not limited to product and services research and development to, for example, provide, support, enhance and maintain the Services and/or other services and develop new products and services, solving quality issues, accident research investigations, warranty and contract or regulatory compliance related matters (such as product liability), surveillance of contractual and/or regulatory compliance by Customer marketing, and proactive maintenance and diagnostics and in so doing may share or transfer such data to UD Trucks Group entities, Authorized Providers (as defined below) and/or other third parties, including third parties outside the EU. For avoidance of doubt, data and information, including personal data, may be shared and/or transferred to third parties for the marketing purposes of such third parties. Speaker shall own the copyright in all materials provided for or created by Speaker at the Event except for materials specifically created solely for ORGANIZATION’s use or materials incorporating ORGANIZATION’s intellectual property. To the extent the Speaker provides their intellectual property to ORGANIZATION for use in the Event, Speaker grants ORGANIZATION a nonexclusive, worldwide, royalty free license to use, reproduce, and distribute the intellectual property in connection with the Event;
b. Speaker grants ORGANIZATION and its agents, licensees, members, and employees a royalty-free, perpetual license to publish, reproduce or otherwise use the Speaker’s name, picture, likeness, comments, voice for any lawful purpose in all media in connection with the Event;
c. Xxxxxxx is knowingly and voluntarily taking part in the activities for which their image is being captured and understands the associated requirements;
