GENERAL UNIVERSITY RESPONSIBILITIES. In administrating the Program, the University will monitor the implementation of terms and conditions of appointment by Program Directors and ensure that these conditions of appointment are responsive to the health and well-being of residents: 1. Provide a monetary stipend and University benefits to the Resident as set forth in Section V of this Agreement. 2. Use its best efforts with available resources, to provide the Resident with staff support, patient support services, and facilities in accordance with Federal, State, Local, TJC and ACGME requirements. 3. Use its best efforts with available resources, to provide an educational training program that meets ACGME requirements. 4. Orient the Resident to Hospitals’ facilities, philosophies, rules, regulations and policies and the institutional and program requirements of the ACGME and RRC. 5. Provide the Resident with faculty and Medical (and Dental) Staff supervision for all educational and clinical activities as outlined in GME Policy 3364-86-025-00 and The University of Toledo Medical Staff Policy 3364-87-26. 6. Provide the Resident an appropriate level of responsibility commensurate with Resident’s education, ability and experience. 7. Maintain an environment conducive to the health, well being, security and personal safety of the Resident. 8. Evaluate the educational and professional progress and achievement of the Resident on a regular basis. 9. Provide the following services: food services, sleeping quarters and security to Residents who are on duty in the Hospital; laundry services for Residents’ white coats will be provided without charge. When on call overnight, the Resident will receive an allowance for meals. 10. Provide the Resident with a Certificate of Completion upon satisfactory completion of the Program.

Use its best efforts with available resources, to provide an educational training program that meets Accrediting Body requirements. 5. Orient the Resident to UTMC and/or major participating hospital facilities, philosophies, rules, regulations and policies and the institutional and program requirements of the CCC and Accrediting Body. 6. Provide the Resident with faculty and Medical (and Dental) Staff supervision for all educational and clinical activities as outlined in GME Policy 3364-86-025-00 and The University of Toledo Medical Staff Policy 3364-87-26. 7. Provide the Resident an appropriate level of responsibility commensurate with Resident’s education, ability and experience. 8. Maintain an environment conducive to the health, well being, security and personal safety of the Resident. 9. Evaluate the educational and professional progress and achievement of the Resident on a regular basis. 10.   • University Responsibilities 4.1 The University will provide a room accommodation to The Resident for a period of one academic year or the portion of the academic year remaining when occupancy begins (limited to the subsequent fall and spring semesters) exclusive of the Winter Recess period unless The Resident is assigned to a facility that remains open during this time or is approved to live on-campus during Winter Recess. Services provided by the University begin on the official check-in dates for the specific area and include access to the assigned building and room. 4.2 In accordance with University policy, the University will provide staff that will help facilitate a living experience that complements the academic mission of the University. 4.3 Exclusive of unanticipated weather events and building system failures that may disrupt service and subject to the availability of applicable resources, the University will provide adequate light, heat, electricity, hot water and telecommunication services (limited to video and internet connection) to residents. Student rooms shall be furnished.

  • City Responsibilities 2.8.1 CITY shall make available to CONSULTANT all technical data that is in CITY'S possession, reasonably required by CONSULTANT relating to the SERVICES. 2.8.2 CITY shall provide access to and make all provisions for CONSULTANT to enter upon public and private lands, to the fullest extent permitted by law, as reasonably required for CONSULTANT to perform the SERVICES. 2.8.3 CITY shall examine all reports, correspondence, and other documents presented by CONSULTANT upon request of CITY, and render, in writing, decisions pertaining thereto within a reasonable time so as not to delay the work of CONSULTANT. 2.8.4 It is expressly understood and agreed that all work done by CONSULTANT shall be subject to inspection and acceptance by CITY and approval of SERVICES shall not forfeit the right of CITY to require correction, and nothing contained herein shall relieve CONSULTANT of the responsibility of the SERVICES required under the terms of this Contract until all SERVICES have been completed and accepted by CITY.

  • Licensee’s Responsibilities Licensee will be responsible for any and all damage to or relocation of existing facilities. Further, Licensee shall reimburse the City for all costs of replacing or repairing any property of the City, or of others, that is damaged by or on behalf of Licensee as a result of activities under this Agreement.

  • General Responsibilities Issuer hereby engages Distributor to act as exclusive distributor of the shares of each class of the Funds. The Funds subject to this Agreement as of the date hereof are identified on SCHEDULE A, which may be amended from time to time in accordance with Section 11 below. Sales of a Fund's shares shall be made only to investors residing in those states in which such Fund is registered. After effectiveness of each Fund’s registration statement, Distributor will hold itself available to receive, as agent for the Fund, and will receive by mail, telex, telephone, or such other method as may be agreed upon between Distributor and Issuer, orders for the purchase of Fund shares, and will accept or reject such orders on behalf of the Fund in accordance with the provisions of the applicable Fund’s prospectus. Distributor will be available to transmit orders, as promptly as possible after it accepts such orders, to the Fund’s transfer agent for processing at the shares’ net asset value next determined in accordance with the prospectuses.

  • County Responsibilities 5.1 The COUNTY shall designate a COUNTY staff member to act as COUNTY’s Project Manager. It is agreed to by the parties that the COUNTY’s Project Manager will decide all questions, difficulties, or disputes, of whatever nature, which may arise relative to the interpretation of the plans, construction, prosecution and fulfillment of the Scope of Services, and as to the character, quality, amount and value of any work done, and materials furnished, under or by reason of this Agreement. The COUNTY’s Project Manager may appoint representatives as desired that will be authorized to inspect all work done and all materials furnished. 5.2 The COUNTY shall pay in accordance with the provisions set forth in this Agreement. 5.3 The COUNTY retains the right to inspect all work to verify compliance with the contract documents. Such inspection may extend to all or any part of the work and to the manufacture, preparation or fabrication of the materials to be used.

  • Professional Responsibilities Other activities to support the delivery of the Xxxxxx Xxxxxx Business Plan and Xxxxxx Mission Strategic Plan, as requested by your manager • As an employee, be responsible under the Work Health & Safety Act for the health and safety of all persons they come into contact with, during employment • All hazards and injuries must be reported through the normal process as set out in Xxxxxx Mission’s Work Health, Safety and Rehabilitation Quality Management System and site procedures • Participate in the review and maintenance of industry specific and internal audit processes, as per Xxxxxx Mission’s standard policy and procedures • In relation to Xxxxxx Mission and the Uniting Church in Australia, attend such functions, meetings, seminars, training courses as directed by your supervisor • In relation to Xxxxxx Mission attend worship services as encouraged by your supervisor • Participate on a quarterly basis in Xxxxxx Mission’s Employee contribution and development process • Take responsibility for personal career development and training • Participate in Xxxxxx Mission’s Orientation program, so as to gain an understanding of, and • promote, the application of the EEO, Affirmative Action, Privacy Act, Work Health & Safety Act and other relevant legislation • Administer Xxxxxx Mission’s philosophy of care and other relevant policy documents as appropriate • Demonstrate responsible stewardship of all resources, and willingness to report impropriety in keeping with the values of Xxxxxx Mission • Ensure the reputation and integrity of Xxxxxx Mission is maintained at all times • Maintain confidentiality

  • Company Responsibilities In the case of a piggyback registration of Warrant Shares, the Company shall use its best efforts to keep the Holder advised in writing as to the initiation, effectiveness and completion of such registration. At its expense the Company shall: (a) prepare and file a registration statement (and such amendments and supplements thereto) with respect to such Registrable Securities and use its best efforts to cause such registration statement to become and remain effective for a period of 180 days or until the Holder or Holders have completed the distribution described in the registration statement relating thereto, whichever first occurs; (b) furnish such number of copies of a Prospectus in conformity with the requirements of applicable law, and such other documents incident thereto as a Holder from time to time may reasonably request; and (c) use every reasonable effort to register or qualify the Registrable Securities covered by such registration statement under the state Blue Sky laws of such jurisdictions as the Company's Board of Directors may reasonably determine, and do any and all other acts and things which may be necessary under said Blue Sky laws to enable the sellers of the Registrable Securities to consummate the public sale or other disposition of the Registrable Securities owned by them in such jurisdictions, except that the Company shall not for any purpose be required to qualify to do business as a foreign corporation in any jurisdiction wherein the Registrable Securities are so qualified.

  • Agency Responsibilities Agency is responsible for (a) Agency’s use of Axon Devices; (b) breach of this Agreement or violation of applicable law by Agency or an Agency end user; and (c) a dispute between Agency and a third-party over Agency’s use of Axon Devices.

  • Specific Responsibilities Without limiting the responsibilities of the Manager, the Manager will: 1. Maintain office facilities (which may be in the offices of the Manager or a corporate affiliate but shall be in such location as the Trust reasonably determines). 2. Furnish statistical and research data, clerical services and stationery and office supplies. 3. Determine the daily pricing of the portfolio securities and computation of the net asset value and the net income of Fund in accordance with the Prospectus, resolutions of the Trust’s Board of Trustees, and the procedures set forth in EXHIBIT A: NET ASSET VALUE CALCULATIONS. 8. Keep and maintain the financial accounts and records of the Fund and provide the Trust with certain reports, as needed or requested by the Fund. 9. Provide officers for the Trust as requested by the Trust’s Board of Trustees. 10. Perform fund accounting services for the Fund as set forth in EXHIBIT B: FUND ACCOUNTING FUNCTIONS. 11. Generally assist in all aspects of the operations of the Fund.

  • General Responsibilities of the Parties 1. The Parties will work together in a spirit of cooperation and partnership, with the responsibilities and accountabilities set out in this Agreement, to implement the Programme Documents in full in a timely, efficient, and effective, manner. 2. The Parties agree to carry out their respective responsibilities in accordance with the provisions of this Agreement, including the Programme Documents. 3. The Parties shall keep each other informed of all relevant activities pertaining to the implementation of the Programme Documents, and shall hold consultations when either Party considers it appropriate, including any circumstance that may affect the achievement of the results of the Programme and the Programme Documents. 4. The Parties shall fulfill their commitments with the fullest regard for the terms and conditions of this Agreement and the principles of the United Nations.
