Subject to this Agreement, from the Commencement Date, the Xxxx Parties must, at Eldorado’s cost and pursuant to an Approved Program, use commercially reasonable efforts to identify and explore for Projects which are reasonably anticipated to host large scale economic reserves of Minerals (a “Target Project”). The Xxxx Parties acknowledge and agree that the primary focus of Target Project generation activities will be styles of gold deposit and mineralization that host larger accumulations of gold within the range of known deposit occurrences. For avoidance of doubt, Eldorado’s sole remedy for a breach of this Section (other than in respect of a situation where a Xxxx Party identities a Target Project and reserves or uses same for its own or a third party’s advantage) shall be termination of this Agreement.

This Agreement shall not apply to the following: - A Project that a Party can demonstrate was underway prior to the date of this Agreement. - A Project for which a confidentially agreement prevents disclosure.

Upon identification of a Project, the Parties shall jointly prepare a proposed plan for the acquisition and execution of the Project, which shall include a detailed forecasted budget therefore. Upon the award of a prime contract regarding a Project to Lloyds, the Parties shall attempt in good faith to negotiate and enter into a subcontract agreement whereby the scope of Lightbridge's services on the Project, and compensation to Lightbridge therefore, shall be specified.
