Indemnification and Reimbursement of Legal Fees. Cambridge Heart hereby confirms that, in the event that the Executive is a party to any lawsuit by reason of the fact that he was an employee, a director or an officer of Cambridge Heart or by reason of any action taken or omitted by the Executive in such capacity, the Executive shall be entitled to be indemnified by Cambridge Heart against all expenses (including attorneys’ fees) incurred by him in connection with such lawsuit in accordance with the terms and procedures set forth in the Amended and Restated Certificate of Incorporation of Cambridge Heart.
