Independent Contract Status. During the term of this Agreement, OpenTech shall be deemed an independent contractor and shall not be entitled to receive any benefits of employment generally available to Customer’s employees.
Independent Contract Status a) The parties to this IGA intend that the relationship between them contemplated by the IGA is that of independent contractor. Garfield County, and any agent, employee, or servant of Garfield County shall not be deemed to be an employee, agent, or servant of PitkinCounty.
b) Garfield County is not required to offer his services exclusively to Pitkin County under this IGA. Garfield County may choose to work for other individuals or entities during the term of this IGA, provided that the basic services and deliverable products required under this IGA are submitted in the manner and on the schedule defined under this IGA.
c) Garfield County warrants that all work produced will conform to all applicable standard of care, skill and diligence in the performance of Garfield County's obligations under this IGA.
d) Garfield County shall not attempt to oversee or supervise the work or actions of any Pitkin County employee, servant or agent in the course of completing work under this IGA.
e) Garfield County is not entitled to any Workers' Compensation benefits through Pitkin County and is responsible for payment of any federal, state, FICA and other income taxes.
f) Garfield County shall be required to complete and submit to the County, a Form W-9 Taxpayer Identification Number Request.
Independent Contract Status. The Operating Partnership and Manager agree that the status of Manager is that of independent contractor with Manager having the entire responsibility for the operation and management of the Properties except as expressly limited herein. The parties are not by this Agreement entering into an employer-employee relationship or a joint venture or partnership arrangement.

C. [PARTNER 1], its employees and agents, shall not be entitled to any benefits accorded to [LEAD AGENCY’S] employees including worker’s compensation, disability insurance, paid time off, or sick pay.

It is specifically agreed that in the making and execution of this MOU, YCH and any agents and employees of YCH are independent contractors and are not and shall not be construed to be agents or employees of County and that YCH shall have no authority, expressed or implied, to act on behalf of County or to bind County to any obligation whatsoever. It is the express intention of the parties that Contractor is an independent contractor and not an employee, agent, joint venture or partner of Research Foundation. Independent Contract Status. This Agreement does not constitute a general agency. Except for the limited purpose of soliciting orders and providing customer support in accordance with the terms of this Agreement, the Representative is not an agent or legal representative of Manufacturer for any purpose. Neither the Representative nor any of its directors, officers, employees or agents (including the Authorized Salespersons) is or shall be considered an employee of Manufacturer. Neither the Representative nor any of its directors, officers, employees or agents (including the Authorized Salespersons) is granted and shall exercise the right or authority to assume or create any obligation or responsibility on behalf of or in the name of Manufacturer including, without limitation, any guarantees, warranties or other contractual obligations. The Representative shall not, and shall cause its employees to not, misrepresent the Representative's authority under this Agreement to its employees, agents or any third party. The Representative shall take no action, which could confer on Manufacturer “permanent establishment”, or equivalent status (as defined in any applicable income tax law) in the Territory or otherwise subject Manufacturer to income taxation in any state or political subdivision thereof.
Independent Contract Status. This Contract is by and between two independent CONTRACTORS and is not intended to and shall not be construed to create the relationship of agent, servant, employee, partnership, joint venture or association.
Independent Contract Status. SCHA and Project Manager intend Project Manager to act as an independent contractor in the performance of the Services. Project Manager shall have the right to control and determine the methods and means of performing the Services. Project Manager shall use his own expertise and judgment in performing the Services, recognizing that SCHA is relying on Project Manager to consult, when appropriate, the SCHA Board of Directors and the Baggins End Committee.
