The parties understand that the Board may not lawfully delegate the power or authority which, by law, is vested in it, nor may the Superintendent lawfully delegate the power or authority which, by law, is vested in him/her; and this Agreement shall not be construed so as to constitute a delegation of the power or authority of either. JURISDICTION AND AUTHORITY OF THE SCHOOL BOARD. It is expressly agreed that all rights that are vested in the Board, except those clearly and expressly relinquished herein by the Board, shall continue to be vested exclusively in and be exercised exclusively by the Board without prior negotiations with the Association, either as to the taking of action under such rights or with respect to the consequence of such action during the term of the Agreement. Nothing in this Agreement shall be construed to limit the powers and responsibilities conferred upon the Board or the Superintendent under the Constitution of the State. The parties understand that neither the Board nor the Superintendent may lawfully delegate powers, discretions, and authorities which, by law, are vested in them, and this Agreement shall not be construed so as to limit or impair their respective statutory powers, discretions, and authorities. The fact that management rights have not been listed in this Agreement is not intended to be, nor shall it be restrictive of, or a waiver of, any rights of management, unless specifically surrendered by the Agreement, whether or not such rights have been exercised by the Board in the past.
