Key Project Personnel.
(a) Where there are Key Project Personnel the Supplier shall:
(i) use best endeavours to retain Key Project Personnel for the duration of the provision of the Supply;
(ii) take reasonable steps to ensure that Key Project Personnel dedicate their time fully to the Supply (unless otherwise agreed or approved by the City in writing);
(iii) promptly inform the City should any of the Key Project Personnel leave, or give notice of an intention to leave the Supplier, and obtain a substitute or substitutes;
(iv) not reassign or allow the reassignment of the Key Project Personnel to other projects during the term of this Agreement without the City’s prior written consent (such consent not to be unreasonably withheld or delayed); and
(v) take all reasonable steps to ensure that the Key Project Personnel perform their roles and responsibilities in accordance with any organisational structure agreed in writing between the Parties.
(b) If:
(i) the Supplier wishes to reassign or to replace an individual designated as Key Project Personnel; or
(ii) an individual designated as Key Project Personnel gives notice of his or her intention to leave or is otherwise no longer able to perform the duties, including for reasons of illness, injury or personal hardship, the Supplier shall provide a substitute with experience and qualifications equivalent or greater than the Key Project Personnel to be replaced, and shall provide documentation to the City to establish such experience and qualifications.
Key Project Personnel. The key Project personnel whom the Design Professional shall assign are as set forth in Article 11. Such personnel shall not be changed without the written approval of the Owner, which approval shall not be unreasonably withheld.
Key Project Personnel. The Key Project Personnel identified in Exhibit 1 shall be primarily responsible for carrying out the Services on behalf of the Consultant. The Key Project Personnel shall not be changed without the Village’s prior written approval.
Key Project Personnel. The Borrower/Recipient or the Lead Project Agency shall appoint the Project Director and all other key Project personnel in the manner specified in the Agreement or otherwise approved by the Fund. All key Project personnel shall have qualifications and experience specified in the Agreement or otherwise approved by the Fund. The Borrower/Recipient shall exercise best efforts to ensure continuity in key Project personnel throughout the Project Implementation Period. The Borrower/Recipient or the Lead Project Agency shall insure key Project personnel against health and accident risks to the extent consistent with sound commercial practice or its customary practice in respect of its national civil service, whichever is appropriate.
Key Project Personnel. Contractor agrees to provide the services of Xxxxxx Xxxxxxx Associate respectively for the full term of this contract. No substitutions will be made without prior written approval by the City. The City reserves the right to request specific qualifications for personnel substituted under this section.

Key Project Personnel. The Key Project Personnel identified in Exhibit A shall be primarily responsible for carrying out the Services on behalf of the Consultant. Consultant shall notify the City as soon as practicable following resignation or termination of Key Project Personnel. No new Key Project Personnel shall be reassigned or added without the City’s prior written approval.
Key Project Personnel. The Key Project Personnel identified in Exhibit A shall be primarilyresponsible for carrying out the Services on behalf of the Firm. The Key Project Personnel shall notbe changed without the Village's prior written approval, which shall not be unreasonably withheld.
Key Project Personnel. The Key Project Personnel identified in the Proposal shall be primarily responsible for carrying out the Services on behalf of the Consultant. The Key Project Personnel shall not be changed without the City’s prior written approval.
Key Project Personnel. (a) Exhibit N identifies the key Personnel of Contractor who will be assigned to the Work (“Key Personnel”). Contractor shall not remove or reassign any of the Key Personnel without Company’s prior written approval, which shall not be unreasonably withheld, delayed, or conditioned by Company (it being agreed that the lack of an available replacement with at least equal qualifications and experience shall be reasonable grounds for withholding such approval); provided, however, that Contractor may remove any of the Key Personnel upon written notice to Company, but without Company’s prior written approval, if (i) Contractor permanently ceases to employ (and has no other contractual relationship with) the relevant Key Personnel or (ii) the relevant Key Personnel dies, retires, or has a disability or disease that necessitates his or her reassignment to another role (and is so reassigned in compliance with all Applicable Laws) (collectively, the “Permitted Replacements”). All requests for the substitution of any of the Key Personnel (including Permitted Replacements) shall include (A) a detailed explanation and reason for the request and (B) the resume of professional education and experience of the replacement candidate for such Key Personnel of equal or greater qualifications and experience. Should Company approve the replacement of any Key Personnel, Contractor shall allow for an overlap of at least one (1) Month during which both the Key Personnel to be replaced and the Company-approved new Key Personnel shall work together.
(b) If Contractor, in breach of this Section 1.20, removes any Key Personnel, Contractor shall pay to Company liquidated damages in the amounts specified on Exhibit N (“Key Personnel LDs”); provided, that Key Personnel LDs shall not be payable for Permitted Replacements. Payment of such Key Personnel LDs shall be Company’s sole and exclusive remedy and Contractor’s sole and exclusive liability for breach of this Section 1.20.
