Licenses to Customer. 9.3.2.1 Agilent hereby grants to Customer a worldwide, fully paid-up, royalty-free, perpetual, non-sublicensable (except in accordance with this Section 9.3.2.1), non-transferable and non-assignable (except to a Permitted Assignee), (x) non-exclusive license under Joint Process Improvements; and (y) non-exclusive license under analytical methods that are developed by Agilent or its Affiliates, employees or consultants in the performance of a Statement of Work or a Purchase Order, (“Analytical Methods”) (together with Joint Process Improvements, collectively, “Licensed Technology”) to manufacture, have manufactured, produce, have produced, develop, have developed, use, have used, offer for sale, have offered for sale, sell, have sold, import, and have imported the Product and Finished Product, subject to the following: (i) any sublicense granted by Customer to a Third Party manufacturer or a Third Party that Customer has granted a license under Customer Intellectual Property to develop or manufacture Product (“Customer Licensee”) and/or Finished Product shall be restricted to using the Licensed Technology for the sole purpose of performing services (including development and manufacturing services) for the Product or Finished Product exclusively for Customer, Customer’s Affiliates, Customer Licensees or a Permitted Assignee and (ii) prior to disclosing any Licensed Technology to any Third Party, Customer shall enter into a valid written confidentiality agreement with such Third Party that (a) requires the Third Party to maintain the confidentiality of Agilent Proprietary Information contained in the Licensed Technology under terms no less restrictive than those set forth in Article 14 of this Agreement and (b) restricts the Third Party from using the Licensed Technology for any purpose other than to perform services for the Product or Finished Product exclusively for Customer, Customer’s Affiliates, Customer Licensees or a Permitted Assignee in accordance with this Section 9.3.2.1. In addition, any sublicense to Analytical Methods granted by Customer under this Section 9.3.2.1 to a Third Party manufacturer of Finished Product shall be restricted to those Analytical Methods that are necessary to manufacture and release the Finished Product. Licenses to Customer. ORGANIC hereby grants to the Authorized Licensees a perpetual, irrevocable, limited, non-exclusive, non-transferable, worldwide license to use, execute, display, reproduce, maintain, modify, and prepare derivative works from the Organic Software (in object code and source code), Organic Materials and, except to the extent agreed to by the parties in a Statement of Work or otherwise, Third Party Materials (and related Documentation), solely for use in connection with the development, implementation, modification, support, maintenance and operation (including without limitation the display of Customer Content) of (a) Internet websites and pages owned or operated by or for Authorized Licensees or (b) Internet websites and pages that are owned by or operated for franchisees of CUSTOMER that are not Authorized Licensees; provided that such Internet websites and pages relate primarily to the business of retail sale or rental (in stores or over the Internet) of pre-recorded music products, pre-recorded video products, electronic games, and other home entertainment products and services. A permitted assignment of this Agreement by CUSTOMER shall not affect the licenses to Blockbuster Inc., Affiliates of Blockbuster Inc. and franchisees of Blockbuster Inc., including entities that become Affiliates or franchisees of Blockbuster Inc. following such assignment, to utilize the Organic Software, Organic Materials and Third Party Materials for so long as such entities are Affiliates or franchisees of Blockbuster Inc. ORGANIC will provide CUSTOMER on expiration or termination of this Agreement for any reason, or upon CUSTOMER's request, with sufficient Documentation and source code for Authorized Users to fully utilize the Organic Software in accordance with this Agreement. Except for the licenses and rights expressly granted in this Agreement, ORGANIC retains all right, title and interest in the Organic Software and Organic Materials.
Licenses to Customer. Notwithstanding any other provision in this Agreement to the contrary, the Service Provider hereby grants to the Customer Group an irrevocable, perpetual, nonexclusive, worldwide, paid-up license to access, use, execute, reproduce and prepare Derivative Works of the Procedures Manual(s).

No Acquiror Company has received notice from any Governmental Authority or any other Person regarding: (a) any actual, alleged, possible or potential contravention of any Acquiror Permit; or (b) any actual, proposed, possible or potential revocation, withdrawal, suspension, cancellation, termination of, or modification to, any Acquiror Permit. All applications required to have been filed for the renewal of such Company Permits have been duly filed on a timely basis with the appropriate Persons, and all other filings required to have been made with respect to such Acquiror Permits have been duly made on a timely basis with the appropriate Persons. All Acquiror Permits are renewable by their terms or in the ordinary course of business without the need to comply with any special qualification procedures or to pay any amounts other than routine fees or similar charges, all of which have, to the extent due, been duly paid.

  • Research Licenses The Parties shall, and do hereby grant to each other all required licenses (on a non-exclusive, non-sublicenseable, royalty-free, for research and development purposes only basis) in respect of an individual Party’s Intellectual Property necessary for the other Party to conduct the activities contemplated hereunder this Agreement.
