Licensing Services. CTTC, from and after the date of this Agreement, shall use all commercial reasonableness and shall engage in duly diligent efforts to find acceptable Transferees and Distributors for Technologies, and shall perform the following Licensing and other services for MARINEO and DELTA in connection therewith 3.2.1 Preparation, including: (i) business planning for Licensing; and (ii) defining objectives and goals of collaboration with Candidate Transferees. Said preparation documents, if any, are proprietary to CTTC and will not be distributed outside of CTTC. However, any such documents shall be made available to MARINEO and/or DELTA for review upon written request of MARINEO and DELTA.

Licensing Services. 2.5.1 BOOKEASY grants to the Customer a non-exclusive licence to use the BookEasy™ Tourism Technology at the Licensed Premises:  to copy and distribute copies of the Software to the Customer’s computers located at the Licensed Premises for the use of the Customer’s employees during the course of their duties.  to use the Trade Marks with correct attribution, solely as a means of describing the BookEasy™ Tourism Technology to the Customer’s members and the public;  to use during the course of its business, the materials and methods comprising the BookEasy™ Tourism Technology; to continuously update the Website with the Customer Data using the Software; (together the “Licence”). 2.5.2 The Licence will survive for the Term of this Licence Agreement or until this Licence Agreement is terminated.
Licensing Services. (1) maintain files of dog licenses and dog licenses that have expired and the owners of these dogs who live in CITY’s jurisdiction; (2) issue new and renewed licenses to dog license applicants within CITY’s jurisdiction; (3) conduct follow-up enforcement of vaccinated but unlicensed dogs and unvaccinated and unlicensed dogs within CITY’s jurisdiction. Such enforcement efforts shall include, but are not limited to, written correspondence and telephone communication with dog owners; (4) with CITY, jointly organize and fund rabies vaccination clinics for animal owners residing within CITY, which may be held at least annually within CITY or within close proximity of CITY. Joint funding by CITY and COUNTY may include provision of services or funds. Prior to commencement of rabies vaccination clinics, COUNTY and CITY shall agree as to the level of funding or scope of services each party shall contribute for the operation of the rabies vaccination clinics; (5) provide computer support for services provided to CITY under this Agreement; and (6) Provide dog owners with reasonable advance notice of the need for license renewals prior to expiration of existing license.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Hosting Services NCR Voyix shall furnish facilities, equipment, computer programs and services, as specified from time to time by NCR Voyix, that NCR Voyix deems necessary for operation and maintenance of the System (collectively, the “Hosting Services”).

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Ongoing Services It is important to review every investment you hold and at regular intervals. At the time of, or prior to, our recommendation to you we will discuss our on-going service proposition. This is confirmed in our ‘service proposition and engagement’ document which will be sent to you separately from this agreement.

  • Manufacturing Services Patheon will perform the Manufacturing Services for Products to be distributed and sold by Client in the Territory for the fees specified in Schedules B and C to the relevant Product Agreement. Schedule B to each Product Agreement sets forth a list of cost items that are included in the Price for Products; all cost items that are not included in this list are excluded from the Price and are subject to additional fees to be paid by Client. Patheon may amend the fees set out in Schedules B and C to a Product Agreement as set forth in Article 4. Patheon will perform the Manufacturing Services solely at the Manufacturing Site, unless otherwise agreed in writing by Client. If the parties agree that Patheon will supply, and Client will purchase, at least a specified minimum percentage of Client’s requirements for a Product under a Product Agreement (the “Required Percentage”), then the applicable Product Agreement will set forth the Required Percentage and the time period during which the obligation will apply (the “Required Period”). But this obligation (if any) will cease to apply to Client with respect to the Product if Patheon fails to remain in material compliance with its obligations under this Agreement or the applicable Product Agreement, or Patheon suspends performance under this Agreement or the applicable Product Agreement in connection with a Force Majeure Event or where Patheon is or will be prevented from supplying the Product as a result of the action of a Regulatory Authority. Subject to its obligation (if any) to purchase the Required Percentage of a Product during the Required Period, Client may, at any time, obtain Product from a third party or may, at any time, qualify a third party to perform Manufacturing Services for the Product. In performing the Manufacturing Services, Patheon and Client agree that:

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times. The Student Policy and Information Guide may be found at: xxxx://xxxx.xxxx/policy-guide, as well as in paper form when requested at the University Housing & Dining Services Administrative Offices.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").
