(d) Take such action as required by the feedback provided by BUYER, including, reworking any units of Product returned to Manufacturer as non-conforming. (e) Assist BUYER in establishing an interface between the ATE and BUYER via the Internet to allow BUYER personnel to review the test results. (f) Manufacturer will package and ship modules to BUYER.
Manufacturer Responsibilities a) During the first 90 days after this Agreement begins, Manufacturer will provide to PRIVATE LABEL NATIONAL RESELLER working copies and licensee of the Product Software, to be used for prospective customer demonstration and training of PRIVATE LABEL NATIONAL RESELLER personnel. b) All licenses to PRIVATE LABEL NATIONAL RESELLER will be granted for the duration of this Agreement. c) During the first 90 days after this Agreement begins, Manufacturer will provide to PRIVATE LABEL NATIONAL RESELLER copies of User Implementation Manuals, Product User Manuels and Training manuals for all Products. d) Manufacturer will provide business development and marketing support to PRIVATE LABEL NATIONAL RESELLER to promote Product Sales to prospective Customers. e) Manufacturer will participate in quarterly Marketing Product Management meeting to determine development priorities for the Products, and to address any current development needs or improvements. f) Manufacturer may provide pilot copies at special pricing to introduce the Product in new markets. Such pilot programs will be discussed by Parties and will be agreed to on an as needed basis.
Manufacturer Responsibilities. Upon written request by Hyperfine, Manufacturer shall: i) certify in writing that its Product manufacturing processes comply with applicable PCR; ii) provide Hyperfine with compliance information regarding applicable PCR for the consumable (MRO) materials which Manufacturer adds to the Product and which are not typically listed on the BOM (for example, solder paste), and for open source Components, if any, for which Hyperfine has delegated independent selection authority to Manufacturer; iii) provide Hyperfine with SVHC compliance information on Products received through Passive Sourcing, as may be required of Manufacturer under REACH Article 33; iv) provide Hyperfine with Product environmental documentation received from Component suppliers through Passive Sourcing; and v) provide disclosures legally required regarding Conflict Minerals. Except as expressly provided above, Manufacturer has no responsibility or obligation to evaluate, document or demonstrate that any design, Specification(s), BOM, Components, Products, packaging or labeling satisfy any PCR which may be applicable to the Components and/or Product(s).

Manufacturer Responsibilities. Without limiting any of Manufacturer’s responsibilities herein, and to the extent further enumerated elsewhere in the Agreement in accordance therewith, the Parties agree that included within the Price of the Product, Manufacturer shall do the following: (a) all complaint investigation and reporting; (b) analytical and microbiological release testing for component, chemical, bulk and Product as indicated on Specifications (c) pure-buy administration (e.g., supplier management, audits, other activities and tools necessary to maintain efficient supplier relations, etc.); (d) storage for all Raw Materials in accordance with required specifications and temperature guidelines; (e) transportation for all incoming Raw Materials; (f) input and maintenance of all Specifications, including test methods, Raw Materials, component, WIP and Product Specifications; (g) perform root cause/corrective action and track trends on all Product non-conformances in accordance with Buyer’s requirements; and (h) provide the lead role in troubleshooting and addressing day-to-day technical issues in manufacturing, testing and validation with the exception of testing of the ***.
Manufacturer Responsibilities. Manufacturer shall manufacture the Products in compliance with the Specifications. As set forth in Attachment C, Customer or Manufacturer, respectively, shall, in strict compliance with the Specifications, purchase and provide all raw materials, components, packaging, labeling and shipping materials, labor, utilities and equipment necessary to manufacture the Products and pack the Products for shipping, all in strict compliance with the Specifications. Use of materials shall be on a first in, first out basis, unless otherwise agreed to in writing by Customer. Manufacturer shall prepare and deliver in a timely fashion all reports and information reasonably requested by Customer, including, without limitation, product quality, and daily production and shipping reports. Upon the date hereof and each Anniversary Date hereafter, Manufacturer shall provide Customer with a list of all assets that are located at one of Manufacturer’s facilities but are owned by Customer. Manufacturer shall cooperate to ensure that such assets are conspicuously marked as being owned by Customer and shall not move any such assets without the prior written approval of Customer. In addition, Manufacturer agrees to sign such further documents or instruments (including, without limitation, a Form UCC-1) requested by Customer to protect Customer’s interest in such assets.

Manufacturer Responsibilities. Manufacturer acknowledges that the Equipment Testing may require Amazon to gain access, or to attempt to gain access, to technology infrastructures, confidential information, data, assets, or devices that are owned by Manufacturer or that are licensed or leased from, or hosted or otherwise provided and owned by third parties (collectively, the “Manufacturer Property”). In performing the Equipment Testing, Amazon may, if relevant to the Equipment Testing pursuant to this Authorization, circumvent technology or physical measures designed to protect against unauthorized access to Manufacturer Property, including those that effectively control access to material protected by various intellectual property laws, as well as use or provide technology to achieve any such circumvention.

  • Specific Responsibilities Without limiting the responsibilities of the Manager, the Manager will: 1. Maintain office facilities (which may be in the offices of the Manager or a corporate affiliate but shall be in such location as the Trust reasonably determines). 2. Compile data for, prepare for execution by the Fund and file all the Fund’s federal and state tax returns and required tax filings other than those required by this Agreement to be made by the Fund’s custodian and transfer agent. 4. Prepare compliance filings pursuant to state securities laws with the advice of the Trust’s counsel. 5. Prepare the Trust’s Annual and Semi-Annual Reports to Shareholders and amendments to its Registration Statements (on Form N-1A or any replacement therefor). 6. Compile data for, prepare and file timely Notices to the SEC required pursuant to Rule 24f-2 under the 1940 Act. 7. Determine the daily pricing of the portfolio securities and computation of the net asset value and the net income of Fund in accordance with the Prospectus, resolutions of the Trust’s Board of Trustees, and the procedures set forth in EXHIBIT A: NET ASSET VALUE CALCULATIONS. 8. Keep and maintain the financial accounts and records of the Fund and provide the Trust with certain reports, as needed or requested by the Fund. 9. Provide officers for the Trust as requested by the Trust’s Board of Trustees. 10. Perform fund accounting services for the Fund as set forth in EXHIBIT B: FUND ACCOUNTING FUNCTIONS. 11. Generally assist in all aspects of the operations of the Fund.

  • Owner Responsibilities The project owner or the engineer or architect of record acting as the owner’s agent shall fund special inspection services.

  • Contractor Responsibilities 19.1. Contractor shall perform national criminal history checks for Ohio, Indiana, and Kentucky, and 10-panel drug screening tests on all prospective employees performing work under this RFP or coming onto a CMHA property and any resulting contract and provide summaries of the results to the Authority if requested. For the purposes of this section, the term “employees” includes contractor. Prospective employees whose criminal background check discloses a misdemeanor or felony involving crimes of moral turpitude, sexual offenses or harm to persons or property shall not be employed to perform work under this RFP or any resulting contract. Contractor is required to perform drug screening of all employees and to ensure acceptable test results. Criminal history and drug screening checks will be completed at the sole expense of the contractor. Any employee of the Contractor suspected of being under the influence of drugs and or alcohol will be reported to the appropriate personnel at CMHA and/or other local law enforcement. If the employee is determined to be under the influence of drugs or alcohol in any form or manner, or believed by proper authority to be dealing in illicit sale of alcohol or drugs they will be removed and shall not be allowed to return to any job site on the Authority’s property. The Contractor’s contract may be suspended and/or terminated should such a situation occur or if the Contractor fails to submit results pursuant to this section. 19.1.1. If CMHA requests additional drug screening, the test shall be performed within 24 hours and the summary shall be sent directly to CMHA from the testing facility. 19.2. Contractor(s) shall provide uniforms and ID Badges identifying Contractor for all employees working on CMHA’s properties. No employees will be allowed on CMHA’s properties out of uniform and without his/her ID badge on his/her person. Contractor(s) must submit a picture of the uniform and a sample of his/her ID badge if requested by CMHA. 19.3. Contractor’s personnel shall be neat and conduct all work in a professional and efficient manner. If any employee of Contractor is deemed unacceptable by CMHA, Contractor shall immediately replace such personnel with an acceptable substitute to CMHA. 19.4. Contractor(s) shall practice acceptable safety precautions so as not to cause harm to any persons or property while performing services under this RFP or any resulting contract. Contractor(s) shall follow industry safety standards, and use only industry approved safety equipment in accordance with the manufacturer’s specifications in the performance of all duties. 19.5. Contractor(s) shall pay all of its employees, including any and all approved Sub-Contractors, at least the legal minimum wages as determined by the United States Department of Labor and the United States Department of Housing and Urban Development and Department of Labor Prevailing Wage. Wage Determinations can be accessed via the Department of Labor website, xxx.xxxx.xxx. 19.6. Upon completion of the work, Contractor(s) shall clean up the area where the work was performed and Contractor(s) shall remove any debris generated by the products and/or services at CMHA premises. At no time, will Contractor(s) discard debris into any CMHA refuse container. 19.7. Contractor(s) shall clearly mark all work areas that might reasonably be expected to endanger the health and safety of residents, guests, or any other persons. Contractor(s) will provide such signs, markers and barricades as required to identify all work areas and minimize inherent dangers. 19.8. The contractor shall be responsible for notifying CMHA immediately of any damages (i.e. fire, container leaking) deemed to be a health or safety hazard whether the damage is caused by the contractor or other means. 19.9. The Contractor shall be responsible for safeguarding all CMHA property provided for Contractor use. At the close of each workday, CMHA facilities, property and materials shall be inspected and secured.

  • Licensee Responsibilities Licensee is responsible for Licensee’s Users’ compliance with this Agreement. Licensee is responsible for all of Licensee’s uses and accounts. Licensee will be responsible for maintaining the security of Licensee’s accounts, passwords and files. Licensee and Users cannot share Licensee’s accounts or passwords or allow any third party to use Licensee’s accounts or passwords. Licensee will exercise reasonable precautions to prevent unauthorized use of the Software.
