Mobile Bidding Services. (this section applies only if Customer has purchased BidPal’s Mobile Bidding Services) BidPal is providing electronic devices for a fundraising event. BidPal is not engaged as a Commercial Fundraiser or providing Fundraising Counsel. For purposes of this Agreement, "Commercial Fundraiser" means any individual or entity that does any of following for compensation: (i) solicits assets for charitable purposes, (ii) receives or controls such solicited assets, or (iii) employs any compensated person to do items (i) or (ii). For purposes of this Agreement, "Fundraising Counsel" means an entity that for compensation, plans, manages, consults or prepares material for solicitation of assets for charitable purposes. Customer acknowledges and agrees that BidPal is not involved in any actual transaction between third parties, and, as such, has no control over or responsibility for the delivery, quality, safety or legality of the items advertised, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items. Customer further acknowledges and agrees that BidPal does not guarantee the accurate completion of any transaction by third parties. As an intermediary, BidPal shall not and cannot be responsible for Customer's organizational dealings with its clients, funders, or other supporters. In the event that a dispute arises among one or more third party users of the Services, or between a buyer and a seller, Customer agrees to release and indemnify BidPal from any and all claims, demands and damages (actual and consequential) of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If Customer is a California resident, Customer further agrees to waive California Civil Code §1542, which provides: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." BidPal does not represent or warrant that the Event will be profitable or successful, or that it will achieve any particular result. Nothing in this Agreement shall be construed as BidPal's assumption of Customer's responsibilities and obligations relating to the Event, Customer's general business operations or any other obligation of Customer to third parties.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that:

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits.   • Scaling Services Scaling services shall be performed by Forest Service personnel or parties under contract to Forest Service, except that weighing services may be performed by personnel or parties approved by Forest Service. Scaling shall be provided in accordance with the instructions and specifications in A9. Scalers shall be currently certified to perform accurate Scaling services. The Scaling services provided shall be selected exclusively by Forest Service. Scaling services may be Continuous, Intermittent, or Extended. “Continuous Scaling Services” is Scaling at one site five (5) 8-hour shifts a week, exclusive of Sundays and Federal holidays. “Intermittent Scaling Services” are non-continuous Scaling services. “Extended Scaling Services” are Scaling services exceeding Continuous Scaling Services and may include Sundays and designated Federal holidays. Upon written request of Purchaser and approval of Contracting Officer, Forest Service may provide other services, such as but not limited to grading, tagging, or marking of Scaled logs.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are in the SLA. The remedies above are Customer’s sole remedies for breach of the warranties in this section. Customer waives any breach of warranty claims not made during the warranty period.

  • Design Services The Engineer shall perform services during the schematic design phase, the design development phase, the contract documents phase, and the bidding period as hereinafter specified.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.
