Mobile Bidding Services. (this section applies only if Customer has purchased BidPal’s Mobile Bidding Services) BidPal is providing electronic devices for a fundraising event. BidPal is not engaged as a Commercial Fundraiser or providing Fundraising Counsel. For purposes of this Agreement, "Commercial Fundraiser" means any individual or entity that does any of following for compensation: (i) solicits assets for charitable purposes, (ii) receives or controls such solicited assets, or (iii) employs any compensated person to do items (i) or (ii). For purposes of this Agreement, "Fundraising Counsel" means an entity that for compensation, plans, manages, consults or prepares material for solicitation of assets for charitable purposes. Customer acknowledges and agrees that BidPal is not involved in any actual transaction between third parties, and, as such, has no control over or responsibility for the delivery, quality, safety or legality of the items advertised, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items. Customer further acknowledges and agrees that BidPal does not guarantee the accurate completion of any transaction by third parties. As an intermediary, BidPal shall not and cannot be responsible for Customer's organizational dealings with its clients, funders, or other supporters. In the event that a dispute arises among one or more third party users of the Services, or between a buyer and a seller, Customer agrees to release and indemnify BidPal from any and all claims, demands and damages (actual and consequential) of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If Customer is a California resident, Customer further agrees to waive California Civil Code §1542, which provides: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." BidPal does not represent or warrant that the Event will be profitable or successful, or that it will achieve any particular result. Nothing in this Agreement shall be construed as BidPal's assumption of Customer's responsibilities and obligations relating to the Event, Customer's general business operations or any other obligation of Customer to third parties.

Mobile Bidding Services. This section only applies if Customer has purchased Mobile Bidding Services. (a) Responsibilities of OneCause. OneCause has the following obligations when providing Customer with Mobile Bidding Services: (i) OneCause shall provide “basic” telephone support as defined in the customer order form. OneCause will make every effort to answer all calls, however, during periods of high call volume customer may experience a slight delay in response. Customer will have unlimited access to the OneCause customer support web site. “Premium” support clients will receive expedited and priority support including extended support hours. (ii) OneCause shall provide all the necessary software and/or equipment (defined on Order Form) and technical expertise for the Full Service Event. If technical problems arise at the Event that preclude the use of the OneCause equipment, OneCause will work with Customer on an appropriate backup solution including extending the auction. If Customer purchases printers for the fundraising event, OneCause will provide a paper-based back-up process that will allow the Event to proceed to its completion. OneCause does not warrant this back-up process to function with the same capability or efficiency as the OneCause electronic system. (iii) OneCause shall use its own resources for equipment set-up at the Event for Full Service Events. If the work-rules of the Event Venue require the use of additional resources, costs for those additional resources will be the sole responsibility of the Customer, unless said additional resources are requested in writing by OneCause. (iv) If purchased, OneCause shall supply staff to conduct registration and checkout using OneCause terminals, including swiping credit cards at registration and processing payment at checkout. OneCause will not be responsible for collecting cash or check payments.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Likewise if such Hosting contributes to or directly causes a Security Incident, Supplier shall be responsible for the obligations set forth in Appendix 1, as applicable. 14 Change Management

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I.   • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing.   • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2. Customer is making a binding offer to acquire the Services described in the Order on the terms set out in this Agreement, which Megaport may accept at its discretion. An agreement to supply a Service is formed on the date Megaport provisions that Service and charges apply from the Billing Commencement Date.
