Modifier. The final number of shares earned will equal the product of (1) the Earned Performance Units multiplied by (2) the “Comparative TSR Modifier”, determined in accordance with the table below. Intermediate values between threshold and target and between target and max levels of Comparative TSR will be determined by straight-line interpolation.
Modifier. The Modifier shall be a fraction the denominator of which is the closing price of a share of the Company Stock on the Award Date and the numerator shall be the closing price of a share of Company Stock on the business day immediately preceding the date the award is paid.
Modifier. Following the completion of the Performance Period, the Conditional PRU Award will be adjusted by the TSR modifier as set forth in this Section 3(b) (the “TSR modifier”). The TSR modifier will be equal to zero if the minimum level is not met, resulting in no payout under this Agreement, and the modifier cannot exceed 150%. A Recipient’s PRU Award (if any) shall equal the Conditional PRU Award multiplied by the TSR modifier, as approved by the Committee. The TSR modifier will be as follows based on the Company’s fiscal three-year performance as compared to the fiscal three-year performance of the TSR Peer Group over the same period: 0% if performance is below the minimum level, 60% if performance is at the minimum level, 100% if performance is at the target level, and 150% if performance is at or above the maximum level. For performance between the minimum level and the target level, a proportionate TSR modifier percentage between 60% and 100% will be applied based on relative performance between minimum and target. For performance between the target level and the maximum level, a proportionate TSR modifier percentage between 100% and 150% will be applied based on relative performance between target and maximum. The TSR modifier with respect to the Company’s TSR relative to the TSR of the TSR Peer Group during the Performance Period will be as follows for the entire Performance Period: (10th percentile) (50th percentile) (80th percentile or above) TSR Modifier .60 1.00 1.50 * Company TSR and TSR Peer Group TSR will be computed using average six-month closing prices preceding the 12/29/15 and 12/31/18 measurement dates, and shall in each case assume reinvestment of dividends paid during the Performance Period.
Modifier. Total Shareholder Return (“TSR”) for the Company over the Performance Period shall be compared against TSR over the Performance Period for the companies comprising the S&P 500 as of the last day of the Performance Period, and will modify the number of final Units awarded according to the following table: Company TSR Performance 0-25th Percentile 25th-75th Percentile 75th-100th Percentile TSR Modifier 25% Reduction No Change 25% Increase If the Company’s TSR percentile rank is between 0 and the 25th percentile, then the percentage reduction in the final number of Units awarded will be 25%. If the Company’s TSR percentile rank is between the 75th and 100th percentile, then the percentage increase in the final number of Units awarded will be 25%.
Modifier. The total number of Performance Share Units earned, if any, based on the Performance Goals as set forth in Section 5 of this Exhibit A shall then be subject to adjustment, determined by multiplying (i) such total number of Performance Share Units earned as determined in accordance with Section 5 of this Exhibit A by (ii) the Relative TSR Multiplier Percentage which is determined based on the Company’s TSR relative to the companies in the S&P 500 (the “Comparator Group”) over the Comparison Period (defined below), as set forth in the following chart: Performance Level Threshold Target Relative TSR Percentile Achieved At or less than 25th Between the 25th and 75th Relative TSR Multiplier Percentage 75% No Modifier Ceiling At or above 75th 125% For the avoidance of doubt, in no event may the Relative TSR Multiplier Percentage be less than 75% or greater than 125%. The period on which TSR is measured (“Comparison Period”) shall be the three fiscal years ended December 28, 2024. In the event the Company’s absolute TSR for the Comparison Period is less than zero, no positive adjustment shall be made. The final number of Performance Share Units to vest based on this calculation shall be rounded to the nearest whole share, with no payment for any fractional shares.
Modifier. The total number of Performance Share Units earned, if any, based on the Performance Goals as set forth in Section 5 of this Exhibit A shall then be subject to adjustment, determined by multiplying (i) such total number of Performance Share Units earned as determined in accordance with Section 5 of this Exhibit A by (ii) the Relative TSR Multiplier Percentage which is determined based on the Company’s TSR relative to the companies in the S&P 500 (the “Comparator Group”) over the Comparison Period (defined below), as set forth in the following chart: Threshold At or less than 25th 75% Target Between the 25th and 75th No modifier Ceiling At or above 75th 125% For the avoidance of doubt, in no event may the Relative TSR Multiplier Percentage be less than 75% or greater than 125%. The period on which TSR is measured (“Comparison Period”) shall be the three fiscal years ended December 30, 2023. In the event the Company’s absolute TSR for the Comparison Period is less than zero, no positive adjustment shall be made. The final number of Performance Share Units to vest based on this calculation shall be rounded to the nearest whole share, with no payment for any fractional shares.

Modifier. The total number of PSUs that will become vested will range from 0 to XX% of the Target PSUs and will equal the Vested Percentage, as modified by the TSR Modifier Percentage as set forth in the following table: Below or equal to the XXth percentile -XX% The XXth percentile 0% (no modification) Above or equal to the XXth percentile +XX% If the TSR Percentile Ranking is less then XXth percentile but greater than the XXth percentile, or less than the XXth percentile but greater than the XXth percentile, the TSR Modifier Percentage will be interpolated on a straight-line basis between the respective levels.
Modifier. Following the completion of the Performance Period, the Target PRSU Amount will be adjusted by the TSR Modifier as set forth below (the “TSR Modifier”). A Recipient’s actual PRSU Award (if any) shall equal the Target PRSU Amount multiplied by the TSR Modifier, as determined and approved by the Committee (the “Actual PRSU Amount”). (i) If the Company achieves less than 10% TSR, then the TSR Modifier will be equal to zero. (ii) If the Company achieves between 10 and 30% TSR, then the TSR Modifier will be 1.0 to 3.0 (linearly interpolated). (iii) If the Company achieves greater than 30% TSR, then the TSR Modifier will be 3.0.
