Music Services. TouchTunes shall make the following music services (the “Music Services”) available to Operator: 3.1. TouchTunes shall make a wide selection of musical titles (“Titles”) available for play on the Jukeboxes in accordance with this Section 3. 3.2. TouchTunes will make available (i) a custom music programming service or a fixed non-interactive music programming service (the “Non-Interactive Background Music Service”) to Operator, which will provide a selection of Titles grouped together and provided on a Jukebox as distinct background lists and (ii) an interactive service that will provide Operator with some free or promotional plays of music (the “Interactive Background Music Service (Free Plays),” along with the Non-Interactive Background Music Service, the “Background Music Service”). TouchTunes shall have the right to increase the fees for the Non-Interactive Background Music Service once per fiscal year upon at least forty-five (45) days’ written notice to Operator. 3.3. TouchTunes will make technical support for the Music Services available to Operator via a special service telephone number. Operator shall not disclose such special service telephone number to any Establishment or any other person. 3.4. Within five (5) days after the date hereof, Operator must provide TouchTunes, via TouchTunes’ Tempo website, operator dashboard or other password-protected area of a TouchTunes website as specified by TouchTunes, with one or more email addresses to enable TouchTunes to send automated messages for key system failures or other messages related to the Jukeboxes and/or Music Services provided hereunder to Operator. Such messages may include, but shall not be limited to, messages that a Jukebox’s xxxx acceptor is not functioning, full or failing, messages relating to a Hard Drive failure, messages about unscheduled reboots or messages about other serious hardware problems related to a Jukebox. Operator or its designated service personnel shall regularly monitor such email addresses for any such messages. In no event shall TouchTunes be required to send such messages, which are solely at the discretion of TouchTunes and for the convenience of Operator.
Music Services. Supplier provides MUZAK(R) subscription music programming (the "Music Service") to commercial establishments. Subscriber owns, operates, franchises or controls the commercial establishments listed in Exhibit "B" ("Serviced Premises"). The parties agree that, subject to paragraph 6 below, Supplier shall provide the Music Service to each of the Serviced Premises. Music Services. Our digital Internet radio and music services are available to users online and through automotive and mobile original equipment manufacturers (“OEMs”) on a white label basis, which allow certain OEMs to customize the radio and music services with their own logos, branding and systems. Our users are able to listen to a variety of music, radio personalities, news, sports, comedy and the audio of live music events. Our revenue structure for our digital Internet radio and music services varies and may be in the form of (i) a free service to the listener supported by paid advertising, (ii) paid premium subscription services, and/or (iii) a fixed fee per user. The fees generated from ad-supported and subscription services are generally subject to revenue sharing arrangements with music right holders and labels, and fees to festivals, clubs, events, concerts, artists, promoters, venues, music labels and publishers (“Content Providers”). Our podcasts are available to users online alongside our digital Internet radio. Our users are able to listen to a variety of podcasts, from music, radio personalities, news, entertainment, comedy and sports. The podcasts are available on the LiveXLive platforms and also on other leading podcast listening platforms such as Apple Music, Spotify, and Amazon. Similar to our digital Internet radio fee structure, we monetize podcasts through (i) paid advertising or (ii) paid premium subscription services. We own one of the largest networks of podcast content in North America, which generates more than 2.48 billion downloads per year and 300+ episodes distributed per week across a stable of hundreds of top podcasts. In April 2021, we announced an agreement with Samsung for all PodcastOne distributed content to be available via the Listen tab on Samsung TV.
Music Services. 3.1 The Supplier will supply up to seven hundred and fifty (750) Tracks at any time to the Player(s) to include up to twenty (20) Track updates per month to the Music Profile(s) as appropriate. The Supplier will quote reasonable and proper additional costs to the Client if the Client wishes to increase the number of Tracks supplied in excess of the foregoing. 3.2 The Supplier shall update the Service in accordance with the relevant provisions of Schedule 1. 3.3 Updated Tracks and/or new Messages will be sent by post, satellite, lSDN or modem according to the level of service shown in this Agreement. Delivery of tapes, CD's, CD Rom’s, DVD's is dependent on the post service. The Supplier is not liable for any losses or damage caused by postal delays. 3.4 The Supplier may at any time supply new Tracks and/or Messages by way of SD or other memory card(s) or storage media (“Storage Media”). Where Supplier does so, Client shall be responsible for returning any previously supplied Storage Media to the Supplier in accordance with the Supplier’s reasonable instructions. If the Client fails to return any such Storage Media, the Supplier shall be entitled to require the Client to pay the Supplier’s reasonable replacement costs for such Storage Media and the Client shall pay such costs on demand. 3.5 The Supplier will on installation provide a Music Profile, as pre-agreed with the Client. Thereafter excluding the updating and refreshing content in line with this Music Profile, any additional sourcing of Tracks to generate a unique, new and non previously used Music Profile for the Client will be subject to an administration fee of £150 + VAT per 75 Tracks profiled. 3.6 Additional production services can be requested of the Supplier where sound effects, idents, jingles, stings or other background music or other audio production work is required. This will be subject to availability and costs, and may be subject to additional licensing requirements which will be quoted and advised to the Client on request.

  • Basic Services The Architect/Engineer’s Basic Services include all disciplines identified in Article 15 and all related usual and customary design, consultant, and other services necessary and reasonably inferable to complete the Project, or any phase of the Project, in accordance with the Owner’s requirements and the terms of this Agreement.

  • Specific Services Contractor shall provide the services described in Exhibit “A” attached hereto. No additional services shall be performed by Contractor unless approved in advance in writing by the County stating the dollar value of the services, the method of payment, and any adjustment in contract time or other contract terms. All such services are to be coordinated with County and the results of the work shall be monitored by the Director of Health and Human Services Agency or his or her designee.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.   • Web Services Our Web Services are designed to enable you to easily establish a presence on the Internet. Our Web Hosting and Design is composed of our Web Hosting and Design Publishing Component and other miscellaneous components. These components may be used independently or in conjunction with each other.

  • Diagnostic Services Procedures ordered by a recognized Provider because of specific symptoms to diagnose a specific condition or disease. Some examples include, but are not limited to:

  • Mastectomy Services Inpatient

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits.   • Internet Services Transfer Agent shall make available to Fund and Shareholders, through its web sites, including but not limited to xxx.xxxxxxxxxxxxx.xxx (collectively, “Web Site”), online access to certain Account and Shareholder information and certain transaction capabilities (“Internet Services”), subject to Transfer Agent’s security procedures and the terms and conditions set forth herein and on the Web Site. Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Transfer Agent shall at all times use reasonable care in performing Internet Services under this Agreement.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Chiropractic Services This plan covers chiropractic visits up to the benefit limit shown in the Summary of Medical Benefits. The benefit limit applies to any visit for the purposes of chiropractic treatment or diagnosis.
