Nature of Position. District will engage Contractor and Contractor will accept such engagement as is outlined in Schedule A and will undertake and perform such duties and services as are set forth in Schedule A and as may reasonably be further assigned to him/her by the Board of School Directors or by its Superintendent, or her/his designee. Contractor will be engaged as an independent contractor and not an employee of the District and, except as otherwise provided in Schedule A, will determine his/her own method of operation in accomplishing such tasks as may be assigned. Contractor will not be entitled to receive any compensation, commissions or benefits other than those expressly provided in this Agreement.

B. Effective as of the Commencement Date, Employee was appointed by the Board to serve as a Class 3 director on the Board for a term ending at the 2024 annual meeting. The Board will use its best efforts to cause the nomination of Employee thereafter for reelection as Class 3 director to the Board for successive terms, at every time at which Class 3 directors are nominated to the stockholders for election, as long as Employee serves as Chief Executive Officer of the Company, unless Employee declines such nomination in writing to the Board. As with all members of the Board, Employee’s continuation as a director requires election as a director by the stockholders whenever Class 3 directors are to be elected by the stockholders. If Employee ceases to serve as Chief Executive Officer of the Company for any reason and the Board thereafter requests that the Employee resigns as a director of the Board, the Employee shall immediately resign as a director.

Nature of Position. A. Employee shall render full-time professional services to Company in the capacity of Chairman of the Board and as Chief Executive Officer of the Company. Employee shall at all times faithfully, industriously, and to the best of his ability, perform all duties that may be required by virtue of his positions, as set forth in Company's by-laws or corporate policies, to the reasonable satisfaction of the Board. B. Employee's office shall be in San Diego County, California. C. Company understands that Employee is currently engaged in outside investment activities, which activities are described in Appendix A. Employee shall be permitted to continue in said investment activities, provided that they do not adversely affect the performance of his duties to Company. In addition, Employee shall be permitted to make passive investments of any kind without limitation under this Section 2.C.
