Necessary Upgrades. Transmission Owner shall design, procure, and construct the Necessary Upgrades, as identified in Appendix B, at MHVDC Connection Customer’s sole expense. Transmission Owner will utilize efforts that are consistent with Good Utility Practice to place such facilities in service by the dates set forth in Appendix C. Transmission Owner shall not be required to undertake any action which is inconsistent with its standard safety practices, its material and equipment specifications, its design criteria and construction procedures, its labor agreements, and Applicable Laws and Regulations. In the event Transmission Owner expects that it will not be able to complete the Necessary Upgrades by the specified dates in Appendix C, Transmission Owner shall promptly provide written notice to MHVDC Connection Customer, identify revised target in-service dates for such facilities, and shall undertake efforts consistent with Good Utility Practice to meet the revised dates. If, at any time, MHVDC Connection Customer determines that the completion of the Necessary Upgrades will not be required until after the Commercial Operation Date, MHVDC Connection Customer will provide written notice to Transmission Owner of such later date upon which the completion of the Necessary Upgrades will be required.

Necessary Upgrades. The Development will require the following necessary upgrades: a. All water and sewer services for change of use will be subject to the requirements of the Town of Maynard Water and Sewer Regulations including engineering designs/ review/ approval to meet industry standard for proposed use. b. Conversion of (1) telephone poles to underground utilities. Telephone pole A is located on the Property and services associated with this pole will be relocated underground. c. Reconstruction of the pedestrian crossing facilities and equipment at the intersection of Powder Mill Road and Waltham Street to achieve compliance with current ADA and Massachusetts AAB regulations, including, but not limited to: i. Reconstruction of all pedestrian curb ramps ii. Replacement of all pedestrian traffic signal posts, including pedestrian signal heads and push buttons. iii. Removal and restriping crosswalk pavement markings iv. Removal and reconstruction of all existing concrete sidewalk adjacent to the site development parcel from the edge of the Waltham Street bridge to the Easterly limit of the project site on Powder Mill Road. v. Repaving of sections of Powder Mill Road and Waltham Street as required for the intersection to achieve such ADA and AAB compliance. A design plan prepared by a Professional Engineer registered in Massachusetts, shall be prepared and submitted to the Town DPW/Engineering staff for approval prior to Approval of the project by the Planning Board. The above specified work shall be completed by the Developer prior to any Certificate of Occupancy being issued for any units in the proposed Development.

Related to Necessary Upgrades

  • System Upgrades The Connecting Transmission Owner shall procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Attachment 6 of this Agreement. To the extent that design work is necessary in addition to that already accomplished in the Class Year Interconnection Facilities Study for the Interconnection Customer, the Connecting Transmission Owner shall perform or cause to be performed such work. If all the Parties agree, the Interconnection Customer may construct System Upgrade Facilities and System Deliverability Upgrades. 5.2.1 As described in Section 32.3.5.3 of the SGIP in Attachment Z of the ISO OATT, the responsibility of the Interconnection Customer for the cost of the System Upgrade Facilities and System Deliverability Upgrades described in Attachment 6 of this Agreement shall be determined in accordance with Attachment S of the ISO OATT, as required by Section 32.3.5.3.2

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate PNG’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. PNG shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Network Upgrades The Transmission Owner shall design, procure, construct, install, and own the Network Upgrades described in Attachment 6 of this Agreement. If the Transmission Owner and the Interconnection Customer agree, the Interconnection Customer may construct Network Upgrades that are located on land owned by the Interconnection Customer. Unless the Transmission Owner elects to pay for Network Upgrades, the actual cost of the Network Upgrades, including overheads, shall be borne initially by the Interconnection Customer.

  • Necessary Approvals Each Party shall be responsible for obtaining and keeping in effect all approvals from, and rights granted by, governmental authorities, building and property owners, other carriers, and any other persons that may be required in connection with the performance of its obligations under this Agreement. Each Party shall reasonably cooperate with the other Party in obtaining and maintaining any required approvals and rights for which such Party is responsible.

  • Upgrades If this copy of the Software is an upgrade from an earlier version of the Software, it is provided to you on a license exchange basis. You agree by your installation and use of such copy of the Software to voluntarily terminate your earlier XXXX and that you will not continue to use the earlier version of the Software or transfer it to another person or entity unless such transfer is pursuant to Section 3.

  • Necessary Governmental Approvals The parties shall have received all approvals and actions of or by all Governmental Bodies which are necessary to consummate the transactions contemplated hereby, which are either specified in Schedule 5.3(B)(ii) or otherwise required to be obtained prior to the Closing by applicable Requirements of Laws.

  • Maintenance Programme (i) The Contractor shall prepare a monthly maintenance programme (the “Maintenance Programme”) in consultation with the Authority’s Engineer and submit the same to the Authority’s Engineer not later than 10 (ten) days prior to the commencement of the month in which the Maintenance is to be carried out. For this purpose a joint monthly inspection by the Contractor and the Authority’s Engineer shall be undertaken. The Maintenance Programme shall contain the following: (a) The condition of the road in the format prescribed by the Authority’s Engineer; (b) the proposed maintenance Works; and (c) deployment of resources for maintenance Works.

  • Interconnection Customer Authority Consistent with Good Utility Practice, this LGIA, and the CAISO Tariff, the Interconnection Customer may take actions or inactions with regard to the Large Generating Facility or the Interconnection Customer’s Interconnection Facilities during an Emergency Condition in order to (i) preserve public health and safety, (ii) preserve the reliability of the Large Generating Facility or the Interconnection Customer’s Interconnection Facilities,

  • State Approval of Replacement Personnel The Engineer may not replace the project manager or key personnel without prior consent of the State. The State must be satisfied that the new project manager or other key personnel is qualified to provide the authorized services. If the State determines that the new project manager or key personnel is not acceptable, the Engineer may not use that person in that capacity and shall replace him or her with one satisfactory to the State within forty-five (45) days.
