Notice of Investigations. Each of Textron and Licensee shall promptly give the other written notice of any investigation, claim, demand, lawsuit or other action by any governmental or regulatory agency or private party involving the Property and any Hazardous Substance or Environmental Law of which such party has knowledge. If either Textron or Licensee learns, or is notified by any governmental regulatory authority, that any removal or other remediation of any Hazardous Substance affecting the Property is necessary, the party responsible for causing or permitting the presence, use, discharge, disposal, storage, release, or threatened release of such Hazardous Substance shall promptly take all necessary remedial actions in accordance with Environmental Law.

Notice of Investigations. Each Party shall promptly notify the other Party in the event that it becomes subject to or aware of any FDA or other Governmental Authority inspection, investigation, or other inquiry or a FDA warning letter, untitled letter, or other material governmental notice or communication relating to the services or products covered by this Agreement promptly after the Party becomes aware of such inspection, investigation, inquiry, letter, notice, or communication, except to the extent that the disclosing Party’s counsel reasonably believes that such disclosure to the other Party could violate Applicable Laws (including privacy laws) or have a significant adverse impact on the disclosing Party’s legal position or defense (including the loss of attorney-client privilege) with respect to any such inspection, investigation or other inquiry. In the event that the Party determines that disclosure could violate Applicable Laws (including privacy laws) or have a significant adverse impact on the disclosing Party’s legal position or defense (including the loss of attorney-client privilege), the Party shall promptly notify the other Party that it is exercising its right not to make such disclosure.
Notice of Investigations. During the term of this Agreement, each Party shall promptly notify the other Party and the Authority of any summons, citation, Notice, letter or other communication, written or oral, received by that Party from any state environmental protection agency, the United States Environmental Protection Agency or any other entity concerning (i) any alleged violations of any Environmental Law or (ii) any investigation or request for information relating to Hazardous Materials with respect to the Work or the Site.

Notice of Investigations. The Service Provider shall notify the Authority immediately if it becomes the subject of any investigation of or proceedings against the Service Provider by any police, Government or regulatory body and provide the Authority with any information it reasonably requests concerning that investigation. The Service Provider shall ensure that those persons engaged in providing the Services give all reasonable assistance to the Authority in the investigation of disciplinary complaints and similar matters involving the Authority’s staff.
