Operating Cost Component. Comprising from the Delivery Date, ***** United States dollars (U.S. *****) per day. The Operating Cost Component shall provide for all costs of vessel operation under the Charter. The Operating Cost Component is subject to annual adjustment, up or down, to reflect changes in such operating costs in accordance with clause 2 of this Schedule III. The amount of the Operating Cost Component, which initially formed the basis of this agreement in respect of the Charter, was based on estimated operating costs for the year 2006. These estimates (except for Other Costs) shall be readjusted as of the Delivery Date in accordance with clause 2 of this Schedule III.
Operating Cost Component. The Operating Cost Component of the Total Monthly Power Costs for each month applies to all Participants based upon their respective GES. The Operating Cost Component for a month shall consist of the sum of: (i) one-twelfth of the Operation and Maintenance Expenses, other than Fuel Costs, for the Fiscal Year included in the then current Project Annual Budget and not otherwise included under Section 17.6 or Section 17.9; plus (ii) one-twelfth of the Operating Reserve Requirement; provided that the Operating Cost Component shall not include any amount with respect to the Operating Reserve Requirement to the extent there is on deposit in the Operating Reserve Fund an amount equal to the Operating Reserve Requirement, and provided further, that the Operating Cost Component for a month shall not be less than the amount required to pay (a) the accrued and unpaid Operation and Maintenance Expenses, other than Fuel Costs, for which funds are not available in the Operating Fund and (b) the expected Operation and Maintenance Expenses for the next succeeding month.
Operating Cost Component. The Operating Cost Component of the Monthly Power Costs shall consist of: the costs (other than amounts included in the Fuel Cost Component) incurred by MMWEC with respect to producing and delivering Capacity and Energy, Ancillary Services and Electricity Products, if any, during any Agreement Year, including, but not limited to: (i) ordinary operation and maintenance costs, costs of repairs, replacements and reconstruction of the Facilities or the Project that do not entail Capital Improvements-Discretionary or Capital Improvements-Extraordinary, the retirement from service, decommissioning and termination of the Facilities or the Project; the Administrative and General Component, costs relating to litigation and other adversarial proceedings (including attorneys’ fees and disbursements and other amounts paid as a result thereof), insurance costs (including, but not limited to, amounts to fund any self-insurance program and outage insurance), overhead costs, taxes (including PILOTs) and any other governmental charges required to be paid by MMWEC with respect to the Project, and any other costs payable in connection with the output of the Project, (ii) all costs related to the conducting of the business of MMWEC with respect to the Project, including the applicable portion of salaries, fees for legal, engineering, financial and other services and all other expenses properly related to the conduct of such affairs of MMWEC, including the Administrative and General Component, (iii) any costs relating to the Project, including without limitation any costs relating to funding or maintaining Working Capital or similar reserves incurred by MMWEC prior to any termination of the Project pursuant to Section 19.1, and (iv) costs incurred by MMWEC pursuant to the Operating Agreement. The FERC Accounts comprising the Operating Cost Component, including the Administrative and General Component, are set forth in Exhibit B.

Related to Operating Cost Component

  • Operating Costs Tenant shall pay to Landlord the Tenant’s Percentage of Operating Costs (as hereinafter defined) incurred by Landlord in any calendar year. Tenant shall remit to Landlord, on the first day of each calendar month, estimated payments on account of Operating Costs, such monthly amounts to be sufficient to provide Landlord, by the end of the calendar year, a sum equal to the Operating Costs, as reasonably estimated by Landlord from time to time. The initial monthly estimated payments shall be in an amount equal to 1/12th of the Initial Estimate of Tenant’s Percentage of Operating Costs for the Calendar Year. If, at the expiration of the year in respect of which monthly installments of Operating Costs shall have been made as aforesaid, the total of such monthly remittances is greater than the actual Operating Costs for such year, Landlord shall promptly pay to Tenant, or credit against the next accruing payments to be made by Tenant pursuant to this subsection 4.2.3, the difference; if the total of such remittances is less than the Operating Costs for such year, Tenant shall pay the difference to Landlord within twenty (20) days from the date Landlord shall furnish to Tenant an itemized statement of the Operating Costs, prepared, allocated and computed in accordance with generally accepted accounting principles. Any reimbursement for Operating Costs due and payable by Tenant with respect to periods of less than twelve (12) months shall be equitably prorated.

  • Operating Expenses The Lessor shall have no obligation to provide any services, perform any acts, or pay expenses, charges, obligations or costs of any kind whatsoever with respect to the Premises. The Lessee hereby agrees to pay one-hundred percent (100%) of any and all Operating Expenses as hereafter defined for the entire term of the Lease and any extensions thereof in accordance with specific provisions hereinafter set forth. The term “Operating Expenses” shall include all costs to the Lessor of operating and maintaining the Premises, and shall include, without limitation, real estate and personal property taxes and assessments, management fee(s), heating, air conditioning, HVAC, electricity, water, waste disposal, sewage, operating materials and supplies, service agreements and charges, lawn care, snow removal, restriping, repairs, repaving, cleaning and custodial, security, insurance, the cost of contesting the validity or applicability of any governmental acts which may affect operating expenses, and all other direct operating costs of operating and maintaining the Premises and related parking areas, unless expressly excluded from operating expenses.

  • Common Area Operating Expenses Lessee shall pay to Lessor during the term hereof, in addition to the Base Rent, Lessee's Share (as specified in Paragraph 1.6(b)) of all Common Area Operating Expenses, as hereinafter defined, during each calendar year of the term of this Lease, in accordance with the following provisions:

  • Project Cost An updated cost spreadsheet reflecting the current forecasted cost vs. the latest approved budget vs. the baseline budget should be included in this section. One way to track project cost is to show: (1) Baseline Budget, (2) Latest Approved Budget, (3) Current Forecasted Cost Estimate, (4) Expenditures or Commitments to Date, and (5) Variance between Current Forecasted Cost and Latest Approved Budget. Line items should include all significant cost centers, such as prior costs, right-of-way, preliminary engineering, environmental mitigation, general engineering consultant, section design contracts, construction administration, utilities, construction packages, force accounts/task orders, wrap-up insurance, construction contingencies, management contingencies, and other contingencies. The line items can be broken-up in enough detail such that specific areas of cost change can be sufficiently tracked and future improvements made to the overall cost estimating methodology. A Program Total line should be included at the bottom of the spreadsheet. Narratives, tables, and/or graphs should accompany the updated cost spreadsheet, basically detailing the current cost status, reasons for cost deviations, impacts of cost overruns, and efforts to mitigate cost overruns. The following information should be provided:

  • Limit on Operating Expenses The Advisor hereby agrees to limit the Fund’s current Operating Expenses to an annual rate, expressed as a percentage of the Fund’s average daily net assets for the month, to the amounts listed in Appendix A (the “Annual Limit”). In the event that the current Operating Expenses of the Fund, as accrued each month, exceed its Annual Limit, the Advisor will pay to the Fund, on a monthly basis, the excess expense within the first ten days of the month following the month in which such Operating Expenses were incurred (each payment, a “Fund Reimbursement Payment”).

  • Construction Cost Budget The total cost to District of all elements of the Project designed or specified by the Architect, as adjusted during and at the end of the design phase in accordance with this Agreement and the Agreement for Architectural Services. The Construction Cost Budget does not include the compensation of the Project Design Team, the Program Manager (if any), the Construction Manager and any subconsultants, the cost of the land, rights-of-way, or financing which are the responsibility of the District.

  • Project Cost Overruns In the event that the Recipient determines that the moneys granted pursuant to Section II hereof, together with the Local Subdivision Contribution, are insufficient to pay in full the costs of the Project, the Recipient may make a request for supplemental assistance to its District Committee. The Recipient must demonstrate that such funding is necessary for the completion of the Project and the cost overrun was the result of circumstances beyond the Recipient's control, that it could not have been avoided with the exercise of due care, and that such circumstances could not have been anticipated at the time of the Recipient's initial application. Should the District Committee approve such request the action shall be recorded in the District Committee's official meeting minutes and provided to the OPWC Director for the execution of an amendment to this Agreement.

  • Construction Cost 3.1. Construction Cost does not include the fees of the ARCHITECT/ENGINEER and consultants, the cost of the land, rights- of-way, or other costs, which is the responsibility of the State as provided in Paragraphs 2.2 through 2.3. or any of the contingencies available for the project unless specifically stated otherwise. 3.2. Labor furnished by the State for the Project, however, with respect only to the construction of such components thereof as have been designed by the ARCHITECT/ENGINEER, shall be included in the Construction Cost at current market rates. Materials and equipment furnished by the State shall be included at current market prices, except that used materials and equipment shall be included as if purchased new for the Project.

  • Direct Expenses 1. Fees and expenses of its directors (except the fees of those directors who are deemed to be "interested persons" of the Fund as that term is defined in the Investment Company Act of 1940) and the meetings thereof;

  • Common Area Expenses In the event the demised premises are situated in a shopping center or in a commercial building in which there are common areas, Lessee agrees to pay his pro-rata share of maintenance, taxes, and insurance for the common area.
