Other Services and Expenses. Charges for performing any services not contemplated or specifically covered in Exhibit C will be charged to the Trust on the basis of the prevailing rate for such services in the community in which the Trustee maintains its principal trust office. The out-of-pocket costs incurred by the Trustee in the discharge of its duties, including but not limited to fees and expenses incurred for experts hired pursuant to Section 7.06 hereof and in connection with the listing of the Units on a stock exchange and in printing additional orders of Certificates, are to be reimbursed to the Trustee by the Trust at actual cost. The Trustee shall be reimbursed by the Trust for actual expenditures made on account of any unusual duties in connection with matters pertaining to the Trust. In the event of litigation involving the Trust, audits or inspections of the records of the Trust pertaining to the transactions affecting the Trust or any other unusual or extraordinary services rendered in connection with the administration of the Trust, the Trustee shall be entitled to receive reasonable compensation from the Trust for the services rendered. The initial organizational costs of the Trust, including the printing of the initial Certificates and the fees of legal counsel of the Trustee, will be paid by the Company.
Other Services and Expenses. Charges for performing any services not contemplated or specifically covered in Exhibit C will be charged to the Trust on the basis of the Trustee’s then prevailing rate for such services; provided, however, that during any period prior to the Opinion Date which is not an Insignificant Investor Period, any services rendered by the Trustee in enforcing the terms and conditions of the Conveyance or the Support Agreement shall not be deemed to be services not contemplated or specifically covered in Exhibit C; and provided further that services by the Trustee on behalf of the Trust in connection with the defense of any litigation against the Trust or the Trustee, in connection with any audit of the books and records of the Trust by the Internal Revenue Service, in connection with any investigation by the Securities and Exchange Commission or other governmental bodies involving the Trust and other matters which increase the obligations of the Trustee beyond those contemplated by this Agreement and are not the result of discretionary action on the part of the Trustee shall constitute services not contemplated or specifically covered in Exhibit C. The initial organizational costs of the Trust, including the printing of the initial Certificates, the Trustee’s acceptance fee, out of pocket expenses and the fees of legal counsel of the Trustee, will be paid by the Company. During any period prior to the opinion Date which is not an Insignificant Investor Period, the Trustee shall cause the Trust to pay directly out of the Trust Estate all expenses, taxes and liabilities incurred and relating to the Trust, including but not limited to fees and expenses incurred for experts hired pursuant to Section 7.05 hereof; provided, however, that The Bank of New York may incur, and shall be reimbursed out of the Trust Estate for, the actual cost to The Bank of New York of all of its out-of-pocket costs and expenses

Other Services and Expenses. ACH will not provide and/or be financially responsible for any services, supplies and/or equipment which are not specifically contained in this AGREEMENT. 1.25 PHARMACEUTICALS. 1.25.0 COUNTY INMATES/DETAINEES. ACH will provide COUNTY INMATES/DETAINEES pharmaceuticals including prescription medications, prescribed over-the-counter medications, psychotropic medications, and SPECIFIED MEDICATIONS. ACH will be financially responsible for the cost of prescription medications, prescribed over-the-counter medications, and psychotropic medications prescribed by ACH practitioners, with the following exception: ACH will not be financially responsible for the cost of SPECIFIED MEDICATIONS. 1.25.1 INMATES/DETAINEES HOUSED FOR U.S. IMMIGRATION AND CUSTOMS ENFORCEMENT (ICE). ACH will provide all medically-indicated prescription medications and prescribed over-the-counter medications for INMATES/DETAINEES housed for ICE. ACH will not be responsible for the cost of any pharmaceuticals or over-the-counter medications given to INMATES/DETAINEES housed for ICE. Prescribed over-the-counter medications for INMATES/DETAINEES housed for ICE will be invoiced monthly to the COUNTY. All other prescription medications for INMATES/DETAINEES housed for ICE will be billed directly to ICE by the applicable pharmacy, and any prescription medications which ICE refuses to pay will be billed back to the COUNTY. 1.25.2 NON-COUNTY INMATES/DETAINEES (for purposes of this section, not to include INMATES/DETAINEES housed for ICE). ACH will provide, and be responsible for the cost of, prescribed over-the-counter medications for NON-COUNTY INMATES/DETAINEES. ACH will provide, but not be responsible for the cost of, prescription medications for NON-COUNTY INMATES/DETAINEES. Prescription medications will be invoiced monthly to the COUNTY, allowing the COUNTY to seek reimbursement from the responsible authority of the NON-COUNTY INMATE/DETAINEE.

  • Transition and Expenses If the Asset Representations Reviewer resigns or is removed, the Asset Representations Reviewer will cooperate with the Issuer and take all actions reasonably requested to assist the Issuer in making an orderly transition of the Asset Representations Reviewer’s rights and obligations under this Agreement to the successor Asset Representations Reviewer. The Asset Representations Reviewer will pay the reasonable expenses (including the fees and expenses of counsel) of transitioning the Asset Representations Reviewer’s obligations under this Agreement and preparing the successor Asset Representations Reviewer to take on such obligations on receipt of an invoice with reasonable detail of the expenses from the Issuer or the successor Asset Representations Reviewer.

(c) All such fees, taxes, and other administrative expenses charged to the account shall be collected either from the assets in the account or from any contributions to or distributions from such account if not paid by the Depositor, Designated Beneficiary or Responsible Individual, but the Depositor, Designated Beneficiary and Responsible Individual shall be responsible for any deficiency. (d) In the event that for any reason the Custodian is not certain as to who is entitled to receive all or part of the Custodial Funds, the Custodian reserves the right to withhold any payment from the Custodial Account, to request a court ruling to determine the disposition of the Custodial assets, and to charge the Custodial Account for any expenses incurred in obtaining such legal determination.
