Outside Agreements. The Articles and Appendices of this agreement and any understandings related hereto comprise the fundamental agreement of the parties. Any items not amended by this agreement or otherwise interpreted by the parties are covered in the appropriate uptown outside agreements.
Outside Agreements. This Agreement does not preclude or preempt any of the Parties from entering into non-conflicting agreements with other parties outside of this Agreement. Such agreements shall not nullify the force and effect of this Agreement.
Outside Agreements. The employer shall not enter into any other agreements with employees in the bargaining unit, individually or collectively, which, in any way, conflict with the provisions hereof.
Outside Agreements. Any individual arrangement, agreement, or contract between the District and an individual teacher heretofore executed, shall be subject to and consistent with the terms and conditions of this agreement and any individual arrangement, agreement, or contract hereafter executed shall be expressly made subject to and consistent with the terms of this or subsequent agreements to be executed by the parties. If an individual arrangement, agreement, or contract contains any language inconsistent with this Agreement, this Agreement during its duration shall be controlling. The foregoing does not apply to compensation for non-bargaining unit work.
Outside Agreements. This Agreement does not preclude or preempt either the SDCC or CBKN from individually entering into agreements with one or more other parties outside of this Agreement. Such agreements shall not nullify the force and effect of this Agreement.
Outside Agreements.
A. The XXXX is non-exclusive and does not affect the right of a Signatory to enter into an Outside Agreement, provided that no Signatory shall enter into an Outside Agreement:
1. That causes the PRP Holder to breach the XXXX, including removing a Covered Event from the XXXX (including by encumbering PRP such that there is no PRP Holder); or
2. With the Signatory’s intent of preventing an Event from becoming a Covered Event to avoid its obligations under the XXXX (including by encumbering PRP such that there would be no PRP Holder). By way of example, an Outside Agreement in which the Signatory:
a. Retains United States commercial rights and control of the PRP – such an Outside Agreement with any provision preventing the Event from becoming a Covered Event would be prohibited by this Article VII.A.1.;
b. Divests United States commercial rights, but retains control of the PRP, and takes a non- exclusive license to United States commercial rights – such an Outside Agreement with any provision preventing the Event from becoming a Covered Event would be prohibited by this Article VII.A.1;
c. Divests United States commercial rights and divests control of the PRP to a non- Signatory, and takes a non-exclusive license to United States commercial rights – this Outside Agreement can prevent the Event from becoming a Covered Event because the Signatory does not retain exclusive United States commercial rights or control of the PRP. Such Outside Agreement would not be prohibited by this Article VII.A.1.
d. Divests United States commercial rights and divests control of the PRP to a non- Signatory, and does not take a non-exclusive license to United States commercial rights– this Outside Agreement can prevent the Event from becoming a Covered Event because the Signatory does not retain United States commercial rights or control of the PRP. Such Outside Agreement would not be prohibited by this Article VII.A.1.
Outside Agreements. Seller hereby agrees to cause 270 Center and TH Group to execute their respective Outside Agreements effective as of the Effective Date.
Outside Agreements. Licensee agrees to abide by any agreements and/or contracts currently in force and effect between the Center and any contractor and between the City of Mesa (the “City”) and any service contractor.
Outside Agreements. No future agreement with any outside agency, including the federal government, regarding a substantial change in the terms and conditions ofemployment ofpolice officers, shall be agreed to by the City without its either seeking the approval of the FOP, or providing the FOP the opportunity to seek intervenor status in any such matter.
Outside Agreements. Other than as delivered with the Property Information or as disclosed in the Permitted Exceptions, to Seller’s knowledge, there is no other agreement, understanding or restriction with or for the benefit of any person or entity, private, public or quasi-public, that will be binding upon Purchaser after Closing and which may prevent or limit in any way the current use or Purchaser’s intended use of the Property or for any uses allowed by current zoning regulations.
