Paid License. Paid Licenses granted are subject to the condition that the Licensee must ensure the maximum number of Authorized Users accessing and using the Software concurrently is equal to the number of User Licenses for which the necessary Fees have been paid to the Reseller or the Licensor. The Licensee may purchase additional User Licenses at any time on payment of the appropriate Fees to the Reseller or the Licensor.

Paid License. Conditioned upon your compliance with the terms and conditions of this Agreement, including the applicable payment terms agreed upon between NeuVector and you, NeuVector grants you a revocable, non-exclusive, non-sublicensable and non-transferable license to install and use the Software in order to benefit from its functionality as designed by NeuVector, solely for your internal business purposes, for the number of instances of use, or virtual machines, agreed upon between NeuVector and you (“Paid License”). Paid License. If you purchased a subscription plan license to the Software from Caribou or from an authorized reseller, then conditioned upon your compliance with the terms and conditions of this Agreement, Caribou grants you a non-exclusive and non-transferable license to Execute the Software solely in executable form as set forth in this agreement for the licensed size class indicated on your Purchase / Renewal Invoice or applicable purchasing documentation accompanying the Software. Paid License. To acquire a Paid License, You must sign up for a Subscription to the Software by visiting the purchasing page on Our website xxxxx://xxx.xxxxxxx.xx, choosing an appropriate Plan (Starter, Pro or Enterprise; see item 3.2 below) and going through the checkout process. To complete the checkout process You will be redirected to the website of our payment provider Stripe Inc. (hereinafter: Stripe ), where You will need to register by providing contact, billing and payment information (hereinafter: Registration Data ). For more information on the process for registration and payment at Stripe please see xxxxx://xxx.xxxxxx.xxx. After completion of the checkout process, Stripe sends You an order confirmation and payment receipt via email and informs Us about the registration and new Subscription. If a Trial License already exists for the same email address, it is automatically converted to a Paid License as stipulated in Your Subscription. Otherwise, a new License is created. The Paid License record consists of Your email address, License Key, Subscription status, product and quantity information, the applicable Expiration Date, and Stripe-specific customer and subscription ID. As soon as the Paid License is provisioned in Our system, You will receive Your License Key from Us via email. At this point, You can provide this License Key to the Software when prompted, to enable use. If applicable, this License Key may be the same key used during Your trial, to ensure a seamless transition from trial to paid use.

  • User License We grant you a non-assignable, non-sublicensable, non-exclusive, worldwide right and license to internally use and install the Software for the number of user(s) set forth in the Order Form for Commercial purposes.

  • API License If you are purchasing an application programming interface ("API") license, other than a Learn API as defined below, we grant you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license to access each API set forth in the Order Form. The API(s) are provided in the form of a web service that enables a "connection" into our servers. We will provide you with the information necessary to enable your secure use of the API(s). You may not use or install the API(s) for any other purpose without our written consent, and may not copy, rent, adapt, disassemble, lease, assign, sublicense, reverse engineer, modify or decompile, the API(s) or any part thereof. We reserve the right to limit the number and/or frequency of API requests or take other actions necessary to protect the integrity of our services.

  • Software License Subject to the terms of this Agreement, Viasat grants to you a personal, non-exclusive, non-assignable and non-transferable license to use and display the software provided by or on behalf of Viasat (including any updates) only for the purpose of accessing the Service ("Software") on any computer(s) on which you are the primary user or which you are authorized to use. Our Privacy Policies provide important information about the Software applications we utilize. Please read the terms very carefully, as they contain important disclosures about the use and security of data transmitted to and from your computer. Unauthorized copying of the Software, including, without limitation, software that has been modified, merged or included with the Software, or the written materials associated therewith, is expressly forbidden. Any attempt to sublicense, assign or transfer any of the rights, duties or obligations under this license is void and may result in termination by Viasat of this Agreement and the license. You agree that you shall not copy or duplicate or permit anyone else to copy or duplicate any part of the Software, or create or attempt to create, or permit others to create or attempt to create, by reverse engineering or otherwise, the source programs or any part thereof from the object programs or from other information made available under this Agreement.

  • Sublicense (a) The license granted in Paragraph 2.1 includes the right of LICENSEE to grant Sublicenses to third parties during the Term but only for as long as the license to Patent Rights is exclusive.

For clarity, a single Software license may be re-allocated to another Developer in the event that the original Developer is no longer employed by you or has been assigned to a new role where access to the Software will no longer be required on a permanent basis.

  • Permits and License Contractor represents and warrants that it will comply with all applicable laws and maintain all permits and licenses required by applicable city, county, state, and federal rules, regulations, statutes, codes, and other laws that pertain to this Contract.
