PARTIES' PERSONNEL. 10.1.1. Key Personnel Without Client's prior written consent, which consent shall not be unreasonably withheld, Contractor shall not reassign any individual designated as Key Personnel during the thirty-six (36) month period beginning on the date stated in the Transition Plan in which respect Contractor has fully and successfully transitioned all of Client's data center operations to Contractor's data center Contractor shall obtain Client's prior written consent thirty (30) days, or such shorter time as agreed by the parties, in advance of any assignment of any Key Personnel individual resulting in the alteration or reduction of time expended by such individual in performance of Contractor's duties under this Agreement. If any one of the Key Personnel is reassigned, becomes incapacitated, or ceases to be employed by Contractor and therefore becomes unable to perform the functions or responsibilities assigned to him or her, Contractor shall promptly replace such person with another person who is at least as well qualified as the person who initially performed that person's functions.
PARTIES' PERSONNEL. Each party’s personnel are, and shall at all times remain, employees or contractors of such party, and each party shall exercise control over the conduct of their personnel and shall pay all wages, employee benefits and related expenses to the full extent required by law including, without limitation, all governmental employment taxes and unemployment insurance.
PARTIES' PERSONNEL. Each Party is solely responsible for the acts and omissions of its and its Related Partiesemployees and contractors in connection with performing the Services, at all times and in any location.
PARTIES' PERSONNEL. There shall be no employer-employee relationship between the Parties’ employees. Each Party will ensure that, unless agreed otherwise in writing, none of the other Party’s Personnel shall be treated and/or regarded as an employee of the other Party.
