Replacement of Personnel i. Except as the Trust may otherwise agree, no changes shall be made in the Key Personnel i.e., MD/CEO of the hospital, MEDCO. If, for any reason beyond the reasonable control of the Service Provider it becomes necessary to replace any of the Personnel, the Service Provider shall forthwith provide as a replacement to a person of equivalent or better qualifications. The procedure of change of MD/ CEO prescribed herein shall be followed.
Replacement of Personnel. 1. The Contractor shall not make changes to the personnel agreed under the terms of the Contract without notifying the Contracting Authority, which may oppose such a change on the basis of the Contract.
2. The Contractor must on its own initiative propose the replacement of Project Team members in the following cases:
(a) In the event of death, illness or accident of a Project Team member.
(b) If it becomes necessary to replace a Project Team member for any other reasons beyond the Contractor’s control (resignation etc.).
3. Moreover, in the course of the execution of the Contract and on the basis of a written and justified request, the Contracting Authority may request a replacement if it considers that a Project Team member is inefficient or does not perform its duties under the Contract.
4. Where a Project Team member must be replaced, the replacement must meet the minimum qualification criteria as set in the tender documents. In cases where the evaluation process involved the marking of the project team, the replacement should meet at least the marks granted by the member to be replaced. Where the Contractor is unable to provide such a replacement, the Contracting Authority may either decide to terminate the Contract, if the due execution thereof is jeopardised, or, if it considers that this is not the case, accept the replacement, it being understood that an amendment of the Contract shall follow to reduce accordingly the Contract Value.
5. Any expenses which may be necessary due to the replacement of personnel are the responsibility of the Contractor. Where the Project Team member is not replaced immediately and sometime elapses before the new member assumes its duties, the Contracting Authority may request the Contractor to assign temporarily to the project another person pending the arrival of the new member, or to take other measures to compensate for such temporary absence.
6. The Contracting Authority, additional to any other matters that are regulated independently, may deduct an amount, according to each case, for the Project Team member that is replaced as a setoff for the period that it will be required for the new member to adjust to and get acquainted with the Contract Scope, but also for the Administrative Cost that the Contracting Authority will incur following this replacement.
Replacement of Personnel. Each Party shall have the right, at any time, to designate by written notice to the other Party a replacement for any of such Parties’ members on any of the committees mentioned in this Section 3, provided in such replacement has a functionally equivalent position (regardless of title) to the person being replaced.
Replacement of Personnel. The Buyer may require the immediate replacement of personnel at the Suppliers cost if the Buyer deems this personnel to be acting in a blameable manner or to be unfit to perform the Service.
Replacement of Personnel. 38.2.1 Health may Notify the Service Provider that it requires the Service Provider to replace any of the Service Provider Personnel (including Key Personnel) involved in performing the Services for the reasons stated in the Notice. After receipt of that Notice, the Service Provider must replace that person with another person of suitable ability and qualifications.
38.2.2 The Service Provider remains obliged to perform the Services and meet the Outcomes in accordance with this Services Agreement in the event that Health requires the Service Provider to replace any of the Service Provider Personnel. The unavailability of Personnel during any replacement process will not limit the Service Provider's obligations to provide the Services or meet the Outcomes under this Services Agreement.
Replacement of Personnel. Notwithstanding anything to the contrary contained elsewhere in this Agreement, if the County believes that the performance or conduct of any Vendor Personnel or Subcontractor is unsatisfactory for any reason, or is not in compliance with the provisions of this Agreement, the County may so notify Vendor, and shall provide an explanation of the unsatisfactory or noncompliant performance or conduct. At the County’s request, Vendor shall promptly remove such person. In such event, Vendor shall promptly replace that person with another person acceptable to the County and meeting all of the applicable requirements described in this Section.
Replacement of Personnel. If for any reason any of the Contractor's personnel has an extended illness, or is terminated either by the employee's choice or the Contractor's choice, the Contractor shall be responsible for the replacement of personnel necessary to complete the Work on time. The Contractor shall remove from the Work and replace any person whose performance, attendance, or conduct is unsatisfactory.
Replacement of Personnel. (a) If any Consultant employee or agent performing Services hereunder solely at USCC’s site is replaced (i) for the reasons set forth in Section 2.2(b)(i), or (ii) by Consultant other than at USCC’s direction, the choice of replacement personnel shall be subject to USCC’s approval, which will not be unreasonably withheld. In addition, Consultant shall not charge USCC for activities relating to required knowledge transfer to the replacement and otherwise preparing the replacement to perform Services at USCC’s site.
(b) If USCC requests that any Consultant employee or agent be replaced within one week after such employee or agent begins performing Services hereunder for the reasons set forth in Section 2.2(b)(ii), and such employee or agent is replaced, then Consultant shall not charge USCC for any Services performed by or expenses incurred by such replaced employee or agent.
Replacement of Personnel. PCCA, in its sole discretion, shall have the right to demand that Engineer replace any personnel providing Services to PCCA under the terms of a Service Order. Upon receipt of PCCA’s demand, Engineer will immediately replace the specified personnel with personnel substantially equal in ability and qualifications. The criteria for demanding replacement of an individual will be based on, but not limited to, the following: technical incompetence, inability to meet the position qualifications, failure to perform an assignment, poor attendance, ethics violation, unsafe work habits, damage to PCCA property, or reasonable PCCA dissatisfaction.
Replacement of Personnel. In the event CITY’S Designated Representative, in his/her sole judgment and determination, determines any personnel/contractors assigned by CONSULTANT are not meeting the requirements of this AGREEMENT, CONSULTANT shall immediately replace that person and failure to do so shall be a material breach of this Agreement.
