Period of Performance and Term. Unless earlier terminated as provided in Paragraph 10 of this Agreement, the Subaward Period of Performance shall start on July 1, 2017 and end on June 30, 2019. This Agreement shall remain in effect until receipt of final payment by SCDOA. The funding provided during the finite term of this subaward shall be used to assure vehicle preventative maintenance and record keeping extending throughout the useful life of the vehicle as required by the lease and maintenance agreements. Failure to do so will be deemed a breach of this subaward Agreement. The obligation to honor and fully perform those agreements shall survive the term of this subaward Agreement. Failure to meet this obligation will be considered in future competitive solicitation for subawards and program funds, and may be enforced by setoff from future subawards or program funds and also by any other means allowed by law.

The vehicle use after final payment under this subaward will remain restricted to its intended use supported by the subaward recordkeeping obligations and maintenance agreements. Failure to do so will be deemed a breach of this Subaward Agreement. The obligation to honor and fully perform those agreements shall survive the term of this subaward Agreement. Failure to meet this obligation will be considered in future competitive solicitation for subawards and program funds, and may be enforced by setoff from future subawards or program funds and also by any other means allowed by law.

The period of performance for Subrecipient, meaning the time during which the Subrecipient may incur new obligations to carry out activities under this agreement, shall start on the day of October 15, 2018 and end on the day of May 31, 2019. This agreement and its terms and conditions shall remain in effect during any period that the Subrecipient has control over CDBG-NDR funds provided through this agreement, including program income as alternatively defined in 81 FR 36574.

The period of performance for Subrecipient, meaning the time during which the Subrecipient may incur new obligations to carry out activities under this agreement, shall start and end as described in Attachment A, attached hereto. This agreement and its terms and conditions shall remain in effect during any period that the Subrecipient has control over CDBG-NDR funds provided through this agreement, including program income as alternatively defined in 81 FR 36574.
Period of Performance and Term. The period of performance for the Service shall commence and end upon mutually agreed upon dates. Unless otherwise agreed in writing by Veritas, all Services expire unless used and delivered in the twelve (12) months following the effective date of the SOW. Upon expiration or early termination, no credit or refund of prepaid Fees for unused Services shall be due. The Agreement may be terminated early at any time by either party: (i) upon written notice if the other party breaches any material term of the Agreement, and such breach remains uncorrected for thirty (30) days following written notice; or (ii) immediately, if the other party becomes the subject of a voluntary or involuntary petition in bankruptcy or any involuntary proceeding relating to insolvency, receivership, liquidation, or similar action for the benefit of creditors as a consequence of debt, or if the other party otherwise ceases or threatens to cease business. Veritas will have no liability to Customer under any terminated SOW. Subject to any termination conditions and payments specified in the SOW, upon termination, Veritas will be entitled to be paid for all work performed, including Fees and expenses, up to the effective date of termination.

The period of performance for Subrecipient, meaning the time during which the Subrecipient may incur new obligations to carry out activities under this agreement, shall start on the day of , 20 and end on the day of of 20 . This agreement and its terms and conditions shall remain in effect during any period that the Subrecipient has control over CDBG-DR funds provided through this agreement, including program income as defined in [cite to the appropriate definition in either 24 CFR 570.500(a) or 24 CFR 570.489(e), as amended, or the applicable Federal Register Notice if there is an applicable Federal Register Notice that waives the regulatory definition and provides an alternative definition. Failure to do so will be deemed a breach of this Agreement and will be considered in future allocations of program funds, and may be enforced by setoff from future allocations or program funds and also by any other means allowed by law.

The period of performance for the Subrecipient, meaning the time during which the Subrecipient may incur new obligations to carry out activities under this Agreement, shall become effective upon the date this Agreement is signed by both Parties, and end no later than March 31, 2024. Notwithstanding the forgoing, the Subrecipient shall also be entitled to reimbursement for administrative and planning activities completed beginning June 1, 2018 through the date this Agreement is signed by both Parties. The Subrecipient will provide a final performance and expenditure report, provided by the Grantee, to the Grantee within 90 days following project completion. This Agreement and its terms and conditions shall remain in effect during any period that the Subrecipient has control over Grant Funds provided through this Agreement, including Program Income as defined in 24 CFR 570.500.
