Period of Performance and Term. Unless earlier terminated as provided in Paragraph 10 of this Agreement, the Subaward Period of Performance shall start on July 1, 2017 and end on June 30, 2019. This Agreement shall remain in effect until receipt of final payment by SCDOA. The funding provided during the finite term of this subaward shall be used to assure vehicle preventative maintenance and record keeping extending throughout the useful life of the vehicle as required by the lease and maintenance agreements. Failure to do so will be deemed a breach of this subaward Agreement. The obligation to honor and fully perform those agreements shall survive the term of this subaward Agreement. Failure to meet this obligation will be considered in future competitive solicitation for subawards and program funds, and may be enforced by setoff from future subawards or program funds and also by any other means allowed by law.

This Agreement shall remain in effect until receipt of final payment by SCDOA. The funding provided during the finite term of this subaward shall be used to assure vehicle preventative maintenance and record keeping extending throughout the useful life of the vehicle for the purposes of vehicle maintenance and repair. The vehicle use after final payment under this subaward will remain restricted to its intended use supported by the subaward recordkeeping obligations and maintenance agreements. Failure to do so will be deemed a breach of this subaward Agreement. The obligation to honor and fully perform those agreements shall survive the term of this subaward Agreement. Failure to meet this obligation will be considered in future competitive solicitation for subawards and program funds, and may be enforced by setoff from future subawards or program funds and also by any other means allowed by law.
Period of Performance and Term. The period of performance for Subrecipient, meaning the time during which the Subrecipient may incur new obligations to carry out activities under this agreement, shall start and end as described in Attachment A, attached hereto. This agreement and its terms and conditions shall remain in effect during any period that the Subrecipient has control over CDBG-NDR funds provided through this agreement, including program income as alternatively defined in 81 FR 36574.

To obtain such an extension the Sub-Recipient must submit a written formal letter to the Grantee, requesting such extension, ninety (90) days prior to the 22nd day of January, 2019. Grantee shall approve or deny the completion date extension request in writing within sixty (60) days of receipt of said request. This agreement and its terms and conditions shall remain in effect during any period that the Sub-recipient has control over CDBG-DR funds provided through this agreement, including program income as defined in 77 Federal Register 22591, April 16, 2012 and Section VIII of this agreement.

Period of Performance and Term. The period of performance for the Service shall commence and end upon mutually agreed upon dates. Unless otherwise agreed in writing by Veritas, all Services expire unless used and delivered in the twelve (12) months following the effective date of the SOW. Upon expiration or early termination, no credit or refund of prepaid Fees for unused Services shall be due. The Agreement may be terminated early at any time by either party: (i) upon written notice if the other party breaches any material term of the Agreement, and such breach remains uncorrected for thirty (30) days following written notice; or (ii) immediately, if the other party becomes the subject of a voluntary or involuntary petition in bankruptcy or any involuntary proceeding relating to insolvency, receivership, liquidation, or similar action for the benefit of creditors as a consequence of debt, or if the other party otherwise ceases or threatens to cease business. Veritas will have no liability to Customer under any terminated SOW. Subject to any termination conditions and payments specified in the SOW, upon termination, Veritas will be entitled to be paid for all work performed, including Fees and expenses, up to the effective date of termination.
