PERSONNEL AND SYSTEM SAFETY. Notwithstanding any other provisions of this Agreement, if at any time Company reasonably determines that the Facility may endanger Company's personnel, and/or the continued operation of the Facility may endanger the integrity of the Company System or have an adverse effect on Company's other customers' electric service, Company shall have the right to disconnect the Facility from the Company System, as determined in the sole discretion of the Company System Operator. The Facility shall immediately comply with the dispatch instruction, which may be initiated through remote control, and shall remain disconnected (and in Seller-Attributable Non-Generation status if so determined), until such time as Company is satisfied that the condition(s) referred to above have been corrected. If Company disconnects the Facility from the Company System for personnel or system safety reasons, it shall as soon as practicable notify Seller by telephone, and thereafter make reasonable efforts to confirm, in writing (with email being acceptable), within three (3) Days of the disconnection, the reasons for the disconnection. If the reason for the disconnection constitutes Seller-Attributable Non-Generation, Company will notify Seller (1) whether the conditions resulting in such disconnection have been resolved (in which case no additional time after such confirmation shall count as Seller-Attributable Non-Generation); or (2) that conditions resulting in such disconnection have not been resolved so that Seller can take such appropriate corrective actions. Seller shall notify Company in writing when such corrective action has been completed; provided, however, that Seller shall remain in Seller-Attributable Non-Generation until Company is satisfied that the condition resulting in the disconnection has been corrected. Company shall use reasonable efforts to inspect such corrective measures (if necessary) and confirm the resolution of such condition within three (3) Business Days after Seller's notification. METERING Meters. Company shall purchase, own, install and maintain the Revenue Metering Package suitable for measuring the export of electric energy from the Facility sold to Company in kilowatts and kilowatt-hours on a time-of-day basis and of reactive power flow in kilovars and true root mean square kilovar-hours. PERSONNEL AND SYSTEM SAFETY. The S.E. (O&M) Circle, MSEDCL, of the MSEDCL shall act as a Nodal Officer for implementing this agreement in its true spirit and facilitating the power generation . Notwithstanding any other provisions of this agreement, the MSEDCL shall have the right to disconnect the Generation facility from the MSEDCL’s electrical system, if at any time the MSEDCL determines that-
PERSONNEL AND SYSTEM SAFETY. Notwithstanding any other provisions of this Agreement, if at any time Company reasonably determines that the Facility may endanger Company's personnel, and/or the continued operation of the Facility may endanger the integrity of the Company System or have an adverse effect on Company's other customers' electric service, Company shall have the right to curtail or disconnect, as determined in the sole discretion of the Company System Operator, Facility from the Company System. The Facility shall remain curtailed or disconnected, as the case may be, until such time as Company is satisfied that the condition(s) referred to above have been corrected, and Company shall not be obligated to accept or pay for any electric energy from Seller except for such electric energy as is accepted by Company from Seller during such period. If Company curtails or disconnects the Facility from the Company System for personnel or system safety reasons, it shall as soon as practicable notify Seller by telephone and thereafter confirm in writing the reasons for the curtailment or disconnection. In the event that Company initiates a Curtailment Event pursuant to this Article 9 (Personnel and System Safety), Company shall not be obligated to accept or pay for any electric energy from Seller except for such electric energy that Company notifies Seller that it is able to take during the duration of a Curtailment Event.‌
PERSONNEL AND SYSTEM SAFETY. As required by the IRS, Seller shall provide, at a location approved by Company, a manual disconnect device which provides a visible break to electrically separate the Facility from the Company System. Such disconnect device shall be lockable in the OPEN position and accessible to Company personnel at all times. Notwithstanding any other provision of this Agreement, if at any time Company determines that the continued operation of the Facility (i) is likely to endanger the safety of persons and/or property, (ii) is likely to endanger the integrity of the Company System or (iii) is likely to have an adverse effect on the equipment of Company’s customers, then in each case (i) through (iii), Company shall have the right to disconnect the Facility from the Company System as provided in Section 4.1(A) (Safety of Persons and/or Property) of the Agreement.

The Generating Facility shall remain disconnected until such time as the Company is satisfied that the endangering or power quality condition(s) has been corrected, and the Company shall not be obligated to accept any energy from the Generating Facility during such period. The Company shall not be liable directly or indirectly for permitting or continuing to allow an attachment of the Generating Facility for the acts or omissions of the Customer-Generator that cause loss or injury, including death, to any third party.
PERSONNEL AND SYSTEM SAFETY. If at any time FortisTCI determines that the continued operation of the CORE system may endanger any person or property or the FortisTCI’s distribution system, or have an adverse effect on the safety or power quality of other customers of FortisTCI, FortisTCI shall have the right to disconnect the CORE customer’s system from the distribution system. The CORE customer will be promptly informed of the action taken and the reasons for such action. The CORE customer’s system shall remain disconnected until such time as FortisTCI is satisfied that the endangering or power quality conditions have been corrected. FortisTCI shall not be obligated to accept any electrical energy from the CORE generator during such period. FortisTCI shall not be liable directly or indirectly for permitting or continuing to allow an attachment of a CORE generating system or for the acts or omissions of the CORE customer that results in loss or injury, including death, to any third party. It is the responsibility of the CORE customer to protect its system from voltage imbalances within FortisTCI's distribution system or reclosing operations after a power interruption.

PERSONNEL AND SYSTEM SAFETY. If at any time the Company determines, in its sole discretion, that the continued operation of the CBRE Facility may endanger any person or property, the Company’s electric system, or have an adverse effect on the safety or power quality of other customers, the Company shall have the right to curtail or disconnect the CBRE Facility from the Company’s electric system remotely or otherwise. The CBRE Facility shall remain curtailed or disconnected until such time as the Company is satisfied that the endangering or power quality condition(s) has been corrected, and the Company shall not be obligated to accept any energy from the CBRE Facility during such period. The Company shall not be liable, directly or indirectly, for permitting or continuing to allow an attachment of the CBRE Facility for the acts or omissions of the Subscriber Organization that cause loss or injury, including death, to any third party.
PERSONNEL AND SYSTEM SAFETY. Notwithstanding any other provisions of this Agreement, WAPA may disconnect the Facility from WAPA’s system, without prior notice to the Customer, (a) to eliminate conditions that constitute a potential hazard to WAPA’s personnel or the general public; (b) if pre- emergency or emergency conditions exist on WAPA system; (c) if a hazardous condition relating to the Facility is observed by WAPA’s inspection; (d) if the Facility interferes with WAPA’s equipment or equipment belonging to other customers of WAPA (including non-utility generating equipment); or (e) if the Customer of the Facility has tampered with any protective device. The Facility shall remain disconnected until such time as WAPA is satisfied that the endangering condition(s) as listed above has been corrected, and WAPA shall not be obligated to allow parallel operation of the Facility during such period. If WAPA disconnects the Facility under this Section 9, it shall as soon as practicable notify the Customer in person, by telephone, by electronic mail, or by facsimile and provide the reason(s) why the Facility was disconnected from WAPA’s system. Following the rectification of the endangering conditions, WAPA shall provide, within fifteen (15) business days or such other period as is mutually agreed upon in writing by WAPA and the Customer, written documentation of the occurrence of the endangering conditions, and of the disconnection of the Facility. The disconnection of a customer’s generating facility shall not be subject to standby service charges provided that the disconnection was caused by the utility or the utility’s equipment.

Such disconnect device shall be lockable in the OPEN position and accessible to HELCO personnel at all times. Notwithstanding any other provision of this Agreement, if at any time HELCO determines that the continued operation of the Facility (i) is substantially likely to endanger the safety of persons and/or property, (ii) is substantially likely to endanger the integrity of HELCO's electrical system or (iii) is substantially likely to have an adverse effect on the equipment of HELCO's customers and can be reasonably demonstrated to have such adverse effect, then in each case (i) through (iii), HELCO shall have the right to disconnect the Facility from HELCO's electrical system, giving as much advance notice to SELLER as is practicable under the given circumstances. If the Facility is separated from HELCO's electrical system for any reason, under no circumstances shall SELLER reclose into HELCO's electrical system without first obtaining specific approval to do so from HELCO's System Operator which approval shall be granted promptly upon the removal of the cause stated in sub-clauses (i) through (iii) above. The Facility shall remain disconnected until such time that the condition specified under (i), (ii) or (iii) above has been corrected, and HELCO shall not be obligated to accept or pay for any energy which might otherwise have been received from the Facility during such Period. If HELCO disconnects the Facility from HELCO's electrical system, it shall immediately notify SELLER by telephone or hotline and thereafter confirm in writing the reasons for the disconnection. The claim of occurrence of any event as described in this Section 3.2B(3) shall be subject to verification by SELLER. SELLER shall be paid the Capacity Charge regardless of the causes of disconnection. If it is determined that HELCO did not have a valid reason for disconnecting the Facility, the duration of the period of separation will not be counted against EAF or EFOR or for the purpose of calculating any other performance standard.
