PERSONNEL & HUMAN RESOURCES FUNCTIONS. Upon the commencement of FY 2014-­‐15 on July 1, 2014, the City shall assume full operational control of the School District Personnel & Human Resources functions, as follows: (1) The Parties hereto acknowledge and agree that the authority of the City includes the right to: (a) directly Supervise and direct the operation of all staff and staff activities within the function enumerated above, and that the School District staff engaged in these functions may become members of the City Department of Human Resources and, in such case, shall report directly to the City’s Commissioner of Human Resources and such other managers responsible for such functions as the Commissioner of Human Resources may direct; (b) to create, abolish, maintain and consolidate all positions within the Personnel and Human Resources functions, provided however that the School District shall retain the authority granted to it pursuant to the education law with regard to the creation, abolition, maintenance or consolidation of positions which have a nexus to the academic activities of the School District, which shall include the titles and position specifically referenced in Schedule “E” hereof (Academic Positions), as well as all tenure decisions relating to those positions which have a direct nexus to the academic activities of the School District, subject to approved budgets and financial controls as shall be established by the City. (2) The City’s rights hereunder shall also include the right to locate, re-­‐locate, and/or co-­‐ locate the School District staff which operate within the Personnel and Human Resources function and to determine and maintain sole discretion of the location of work sites. (3) The Parties acknowledge and agree that the City shall be entitled to manage, direct, undertake procurements for and relating to; terminate and/or establish all such contracts as may be associated with the School District Personnel and Human Resources function. (4) The City shall further assume full dominion and managerial control of all School District data, records, equipment and documents which relate to the specified functions.

  • CUSTOMER SERVICE FUNCTIONS The Servicer shall handle all Customer inquiries and other Customer service matters according to the same procedures it uses to service Customers with respect to its own charges.

  • MANAGEMENT FUNCTIONS B.1 The Association recognizes that the management of the Hospital and the direction of working forces are fixed exclusively in the Hospital and shall remain solely with the Hospital except as specifically limited by the provisions of this Agreement and, without restricting the generality of the foregoing, the Association acknowledges that it is the exclusive function of the Hospital to: (a) maintain order, discipline and efficiency; (b) hire, assign, retire, discharge, direct, promote, demote, classify, transfer, lay- off, recall, and suspend or otherwise discipline nurses, provided that a claim of discharge or discipline without just cause may be the subject of a grievance and dealt with as hereinafter provided; (c) determine, in the interest of efficient operation and high standards of service, job rating and classification, the hours of work, work assignments, methods of doing the work, and the working establishment for the service; (d) generally to manage the operation that the Hospital is engaged in and, without restricting the generality of the foregoing, to determine the number of personnel required, methods, procedures, and equipment in connection therewith; (e) make, enforce, and alter from time to time reasonable rules and regulations to be observed by the nurses which are not inconsistent with the provisions of this Agreement. B.2 These rights shall not be exercised in a manner inconsistent with the provisions of this Agreement.

  • Management Team Subject to any approval or consulting rights of the --------------- Joint Operations Committee, Manager shall engage or designate one or more individuals experienced in dental group management and direction, including, but not limited to, an administrator, who will be responsible for the overall administration of the Practice including day-to-day operations and strategic development activities.

  • Access to Personnel Files All employees shall be allowed access to their personnel files during normal working hours for inspection and/or copies of documents which will be provided by the Employer. Such inspection shall be made subject to prior arrangement with the Employer.

  • Labour Management Committee (a) Where the parties mutually agree that there are matters of mutual concern and interest that would be beneficial if discussed at a Labour Management Committee Meeting during the term of this Agreement, the following shall apply. (b) An equal number of representatives of each party as mutually agreed shall meet at a time and place mutually satisfactory. A request for a meeting hereunder will be made in writing prior to the date proposed and accompanied by an agenda of matters proposed to be discussed, which shall not include matters that are properly the subject of grievance or negotiations for the amendment or renewal of this agreement. Any representative(s) attending such meetings during their regularly scheduled hours of work shall not lose regular earnings as a result of such attendance. (c) It is agreed that the topic of a rehabilitation program for drug and alcohol abuse is an appropriate topic for the Labour-Management Committee. It is also agreed that the topic of the utilization of full-time and part-time staff is an appropriate topic for the Labour-Management Committee. The committee shall have access to work schedules and job postings upon request. (d) It is understood that joint meetings with other Labour-Management Committees in the Hospital may be scheduled concerning issues of mutual interest if satisfactory to all concerned. (e) Where two or more agreements exist between a Hospital and CUPE the Committee may be a joint one representing employees under both agreements, unless otherwise agreed.

  • Services and Compensation Consultant shall perform the services described in Exhibit A (the “Services”) for the Company (or its designee), and the Company agrees to pay Consultant the compensation described in Exhibit A for Consultant’s performance of the Services.

  • Responsibility of Dual Directors, Officers and/or Employees If any person who is a director, officer or employee of the Adviser is or becomes a Trustee, officer and/or employee of the Fund and acts as such in any business of the Fund pursuant to this Agreement, then such director, officer and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the Fund, and not as a director, officer or employee of the Adviser or under the control or direction of the Adviser, although paid by the Adviser.
