Policy Board. (a) Subject to the authority granted to the Manager, the Policy Board shall have full authority for operating and managing the Company and the Project. Actions and decisions of the Policy Board shall require the vote or Consent of a majority of the members of the Policy Board. The Policy Board shall make all decisions on behalf of the Company not specifically reserved herein to the Manger. (b) There shall be five Members of the Policy Board. (c) From and after the date on which Diversified controls Black Hawk's Board of Directors, one of the Members of the Policy Board designated by Entertainment shall resign and Black Hawk shall have the right to nominate the fifth member of the Policy Board. If, however, Jeffxxx X. Xxxxxx ("Xacoxx") xeases to be Chief Executive Officer or Chairman of the Board of Black Hawk, the Policy Board shall consist of six members, with three members being designated by each of Entertainment and Black Hawk and thereafter decisions of the Policy Board shall require the vote or consent of four of the members of the Policy Board.

Policy Board. The Policy Board of the Estuary Program shall serve as the Top Level Organizational Unit (TLOU) and be comprised of the Parties. Escambia County and Santa Xxxx County will each appoint and be represented by two voting directors, all other Parties will each appoint and be represented by one voting director. Each Party will also appoint an alternate director for the Policy Board from time to time to serve when their primary director is not available. Each Party may change their director or alternate director from time to time with prior written notice by a duly authorized representative of any change to the Policy Board before any meeting. The Policy Board shall have policy-making powers for the Estuary Program in addition to those powers explicitly set forth in this Agreement.
