Producer Commitments. Subject to the terms and conditions of this Agreement, including Section 2.2 and Section 2.3, during the term of this Agreement Producer covenants and commits (a) to exclusively use Fresh Water made available by Antero Water to Producer under this Agreement for use in its hydraulic fracturing operations for all Xxxxx operated by Producer and (b) to exclusively utilize Antero Water for the performance of the Waste Water Services for all Attributable Produced Water, as and when produced, and all Other Waste Water.
Producer Commitments. Subject to the terms and conditions of this Agreement, Producer covenants and commits (a) to exclusively use, and to cause each Rice Entity to exclusively use, Fresh Water made available by Service Provider under this Agreement, together with Produced Water from Producer’s Xxxxx (including Produced Water collected by Service Provider and trucked to the Well Pad, where applicable), in its hydraulic fracturing operations for all Xxxxx operated by Producer or such Rice Entity in the Service Area and (b) to exclusively utilize Service Provider for the performance of the Produced Water Services for all Attributable Produced Water, as and when produced.
Producer Commitments. Subject to the terms and conditions of the Agreement, Producer has covenanted and committed (a) to exclusively use Fresh Water made available by Antero Water to Producer under the Agreement for use in Producer’s hydraulic fracturing operations for all Wells operated by Producer on the Oil and Gas Interests now owned or hereafter acquired by Producer and located wholly or partly within the area described in Exhibit A hereto (the “Service Area”) or pooled, unitized or communitized with Oil and Gas Interests located wholly or partly within the Service Area (the “Service Area Properties”) and (b) to utilize Antero Water for the performance of the Waste Water Services for all Produced Water produced from each Well operated by Producer on the Service Area Properties and attributable to either (i) Producer’s interest in such Well or (ii) the interest of non-operating parties in such Well, to the extent that Producer (as operator) has the right to dispose of, and is responsible for the disposition of, such Produced Water, and for all Other Waste Water that is generated from Producer’s operations at Well Pads or that collects at the Well Pads or on Producer’s property adjacent to the Well Pads (the foregoing covenant and commitment being herein referred to as the “Commitment”). “Waste Water Services” includes gathering, collecting, trucking, treatment, recycling, sales for re-use, disposal, or other disposition.
Producer Commitments. 3.1 Producer hereby commits and agrees to deliver or cause to be delivered at the Receipt Point(s) all of Producer’s Gas, subject to the following:
a. Producer reserves the right to withhold from delivery any Gas (i) that Producer or its Affiliates are required to deliver to its lessor(s) under the terms of any leases included within the Dedication Area; or (ii) that Producer or its Affiliates require for oil and Gas producing operations within the Dedication Area.
b. With respect to Interests in the Dedication Area hereafter acquired by Producer or its Affiliates that are, at the time of acquisition, dedicated to an unaffiliated third party and such third party dedication is not granted in connection with the acquisition of such Interests, then Producer’s Gas attributable to such Interests shall not be dedicated hereunder during the pendency of the dedication to the third party. The commitment to the third party shall continue only for the period specified at the time the Interests are acquired by Producer or its Affiliates, and Producer and its Affiliates will take no action to extend, and will not omit to take any action the omission of which would have the effect of extending, the duration of the third party commitment. Thereafter, such Interests and Producer’s Gas attributable thereto will be dedicated hereunder.
c. With respect to Producer’s Dry Gas produced from xxxxx in the Dedication Area, the Parties will work together in good faith to mutually agree on the fees, terms and conditions pursuant to which MarkWest would gather such Dry Gas and, if the Parties cannot mutually agree upon such fees, terms and conditions, Producer shall have the right, at its sole expense, to construct such facilities or connect to a third party’s facilities as may be necessary to gather such Dry Gas so long as such Dry Gas is not processed by Producer, any of Producer’s Affiliates, or any other third party for recovery of liquid or liquefiable hydrocarbons or other hydrocarbon products, other than to separate liquid hydrocarbons and free water from the Dry Gas using mechanical type gas-liquid field separators commonly used in the industry installed by or on behalf of Producer or its Affiliates.
3.2 The provisions of Section 3.1, above, shall be covenants running with the land, and Producer and its Affiliates shall ensure that any conveyance, assignment, sale or other transfer of all or a portion of the Interests owned by Producer or its Affiliates covered by this Agreem...
Producer Commitments. 3.1 Following the Gathering Effective Date for each Lateral, and following the Compression Effective Date for the Compressor Station that is located at the Sherwood Plant, Antero shall have the right to deliver such of Antero’s Gas from the xxxxx connected to the Receipt Points for such Lateral or for such Compressor Station, as applicable, as Antero, from time to time, determines to deliver; provided that Antero shall be subject to and pay, subject to the terms and conditions of this Agreement, (a) the Minimum Gathering Fee from and after the Minimum Gathering Fee Commencement Date with respect to such Lateral, (b) the Minimum Compression Fee for each Compressor Station located on such Lateral from and after the Minimum Compression Fee Commencement Date with respect to such Compressor Station, and (c) the Minimum Compression Fee for the Compressor Station that is located at the Sherwood Plant from and after the Minimum Compression Fee Commencement Date with respect to such Compressor Station.
3.2 Subject to the further terms and provisions of this Agreement, Antero shall install all facilities necessary to effect the delivery of Antero’s Gas at the Receipt Points and at the pressure set forth in Article 5.
Producer Commitments. Producer hereby commits and agrees to deliver at the Receipt Point(s) all Gas attributable to Interests now owned, controlled or hereafter acquired by Producer in the Dedication Area.
Producer Commitments. Section 2.1 Producer’s Dedication. Subject to Section 2.2 through Section 2.4 and Section 3.3(e), (a) Producer exclusively dedicates and commits to deliver to Gatherer, as and when produced, all Dedicated Gas and (b) Producer agrees not to deliver, or permit any Rice Subsidiary to deliver, any Dedicated Gas to any other gathering system or compressor station.
Producer Commitments. 2.1. Producer hereby commits and agrees to deliver at the Receipt Point(s) all Gas attributable to Interests now owned or hereafter acquired by Producer in the Dedication Area, so long as the Interests are not encumbered with a pre-existing commitment.
2.2. Any separation equipment installed by Producer to separate liquid hydrocarbons and free water from the Gas prior to delivery shall be only conventional mechanical type Gas-liquid field separators commonly used in the industry, and except for the foregoing, Producer shall not process the Gas for recovery of liquid or liquefiable hydrocarbons or other products.
2.3. Producer shall keep Processor timely informed with respect to Producer’s volume forecasts with respect to its Interests and shall provide reasonable advance notice to Processor of scheduled adjustments.
2.4. Producer reserves the right to withhold from delivery any Gas (i) that Producer is required to deliver to its lessor(s) under the terms of any leases; or (ii) that Producer reasonably requires for oil and Gas producing operations.
2.5. Producer may form, dissolve and/or participate in units encompassing portions of Producer’s Interests, provided that the exercise of those rights shall not diminish Processor’s rights under this Agreement nor increase Processor’s obligations under this Agreement.
