Property Identification. Subject to the terms and provisions hereof and in consideration of the mutual agreements contained in this Agreement and the efforts expended prior to the date hereof by Seller and Purchaser in connection with the transactions contemplated by the Transaction Documents, Seller agrees to sell to Purchaser, and Purchaser agrees to purchase from Seller, with respect to each of the shopping center properties described in Exhibit 1-A attached hereto, the Real Property, the Personal Property and the Intangible Property (as each such term is defined below) (each a "Property" and, collectively, the "Properties"). The following terms used in this Agreement relating to the various components of the Properties shall have the meanings indicated:

Property Identification. 1.1 The Owner’s lands are described on the attached Schedule ‘A’, Description of Lands, as shown on the attached Schedule ‘B’ Site Development Plan, both Schedules attached hereto and forming part of this Agreement.

(b) All right, title and interest in and to the condominium unit described as the “Commercial Unit” on Exhibit 1.1(b) attached hereto in the building commonly known as the Jumeirah Essex House together with the aggregate undivided interest allocable to such condominium unit in (i) the Land, (ii) all privileges, rights, easements and appurtenances belonging to the Land, (iii) all streets, alleys, passages, and other rights-of-way or appurtenances included in, adjacent to or used in connection with the Land and (iv) all mineral and development rights appurtenant to the Land; together with all privileges, rights, easements and appurtenances belonging to such condominium units (collectively, the “Commercial Unit”; the Hotel Unit and the Commercial Unit, collectively, the “Hotel-Related Units”). Property Identification. Subject to the terms and provisions hereof, Seller agrees to sell to Purchaser, and Purchaser agrees to purchase from Seller, subject only to the Permitted Exceptions and to all other terms, covenants and conditions set forth herein, all of Seller’s right, title and interest in and to the following: (a) Fee simple title to the land described on Exhibit 1.1(a) attached hereto, together with all privileges, rights, easements and appurtenances belonging to such land, and all right, title and interest (if any) of Seller in and to any streets, alleys, passages, and other rights-of-way or appurtenances included in, adjacent to or used in connection with such land and all right, title and interest (if any) of Seller in all mineral and development rights appurtenant to such land (the “Fee Estate”). Seller is not making any representations relating to, and specifically disclaims any rights in, “The Ritz Carlton” name and any related marks. (c) All furniture, equipment, machinery, inventories, supplies, signs and other tangible personal property of every kind and nature, if any, owned by Seller and installed or located at the Real Property, including, without limitation, the tangible personal property listed on Exhibit 1.1

The property is land leased from the Municipality of Skagway and is identified as the Xxxxxx lease, a portion of Lot 1, Plat 2005-1 from the Municipality of Skagway’s assessment records.
