Quality Control Inspections. Licensee acknowledges that the Trademarks represent the prestige and goodwill that Licensor, its corporate affiliates and its predecessors have earned as providers of high-quality apparel and other products, including accessories. Accordingly, Licensee shall carry out the sale, distribution and promotion of Licensed Products, and the production and use of all Collateral Materials, so as to maintain a general standard of quality commensurate with that which the public has come to associate with the Trademarks. Upon Licensor’s request, Licensee shall submit to Licensor for inspection current production samples of Collateral Materials so that Licensor may ensure that the requisite quality standards are being maintained.
Quality Control Inspections. 1. Maintenance Quality: The quality objective of all services and materials provided by bidder in accordance with conditions and specifications herein is to maintain lakes free of aquatic weeds/debris to provide a healthy, safe, clean, attractive condition throughout the term of the contract.
2. Maintenance Standards and work methods: All work shall be performed in accordance with the highest professional maintenance standards and techniques; in a thorough and skillful manner and under competent bidder’s supervision to the satisfaction of the County’s project manager.
Quality Control Inspections. Seller will comply with all plans, drawings and specifications covering the work, unless deviation therefrom is authorized by Emerson in writing. All plans, drawings and specifications are hereby incorporated in this purchase order by reference. Regardless of their source, verbal changes or tolerance revisions are not grounds for non-compliance with the drawings or specifications. The plans, drawings and specifications are intended to explain each other and anything contained in one shall be deemed to be contained in all. If any discrepancy or conflict exists between the provisions of the plans, drawings, specifications and this purchase order, such disagreement shall immediately be brought to the attention of Emerson who will resolve such conflict. Upon forty-eight (48) hours notice, Seller shall allow authorized representatives of Emerson (i) to inspect Seller's facilities at any time during normal business hours, and (ii) to make finished Products or raw material audits and prepare analytical data for quality control purposes with the assistance of Seller's personnel. Seller shall not require Xxxxxxx'x representatives to sign any documents prior to entering such facilities, and Seller agrees that any such documents shall be void.
Quality Control Inspections. So that Licensor can ensure Licensee͛s compliance with Section 5(A), Licensee shall (i) permit, and shall require its sublicensees to permit, Licensor (or its authorized representative), on reasonable notice and during normal business hours, and subject to reasonable confidentiality obligations, to inspect all facilities and records used in the Licensed Products͛manufacture, packaging, distribution, or storage; and (ii) prior to each initial use of the Licensed Trademarks or any material modification or variation to any such use, submit to Licensor a representative sample of each such use for Licensor͛s review and approval. If Licensor identifies any violations during any such inspections, rejects any sample, or otherwise notifies Licensee in writing of any non-compliance with the requirements of Section 5(A), Licensee shall not begin (or shall immediately halt) distribution of the affected Licensed Products or other materials bearing the Licensed Trademarks until Licensor confirms in writing that Licensee has remedied such non- compliance, such confirmation not to be unreasonably withheld or delayed by Licensor. If Licensor does not notify Licensee in writing of any non-compliance within ten (10) days after any such inspection or receipt of any sample, then the related Licensed Products or other materials bearing the Licensed Trademarks shall be deemed approved.
Quality Control Inspections. From time to time during the term of this License Agreement, the Licensor shall have the right to inspect any Licensed Products with which a Licensed Trademark is used to insure that their quality meets the expectations of the Licensor. Any defects or quality problems noted by the Licensor as a result or such inspections shall be cured by the Licensee within thirty (30) days after receiving notice of the detect from the Licensor. For purposes of making the inspection, the Licensor shall request a sample of the Licensed Products be provided by the Licensee. Alternatively, the Licensor, at its option, with reasonable advance notice and during normal business hours, shall have the right to inspect the Licensee's manufacturing facilities and draw a completed sample of the Licensed Products from the inventory maintained at such facility.
Quality Control Inspections. During the term of this Agreement, the Lender may perform quality control inspections at its expense. The Lender may use these inspections to override inspections done under Section 4.14 of this Agreement.
Quality Control Inspections. If requested by Bloomberg, and at no additional cost to Bloomberg, Supplier shall make quarterly quality control inspections of the operations and activities of the Supplier and its Supply Chain and shall report to Bloomberg its findings and recommendations. At any time, Bloomberg may request Supplier to present copies of Supplier’s programs, policies and/or documentation as to any training provided by Supplier to the Personnel including, but not limited to, any safety-related training.
Quality Control Inspections. At Licensor’s reasonable request from time to time (but no more than once per year), Licensee shall furnish to Licensor samples of Marked Products and samples of marketing, advertising, and promotional materials containing the Licensed Marks, in order for Licensor to confirm that Licensee is adhering to requirements set forth in this Agreement. In addition, from time to time (but no more than once per year) Licensor may, upon reasonable advance notice to Licensee, inspect Licensee’s and its Subsidiaries’ facilities and records to confirm that Licensee and its Subsidiaries are complying with this Agreement and are implementing adequate quality control processes in the manufacturing, testing, and packaging of Marked Products. Any such inspection will be done in a manner reasonably designed to minimize any disruption to the normal business operations of Licensee and its Subsidiaries. Licensee will cooperate with Licensor in performing any such inspection with the mutual goal of ensuring that all uses of the Licensed Marks are consistent with the reputation for high quality symbolized by the Licensed Marks.

Accordingly, Licensee shall carry out the manufacture, sale, distribution and promotion of Licensed Products so as to maintain a general standard of quality commensurate with that which the public has come to associate with the Trademarks. Licensee shall manufacture Licensed Products in accordance with high quality standards and in conformity with the Samples approved by Licensor pursuant to Section 4.3 hereof. Upon Licensor's reasonable request, Licensee shall submit to Licensor for inspection current production samples of finished Licensed Products so that Licensor may ensure that the requisite quality standards are being maintained. Further, Licensee shall permit or cause Licensor and its representatives to be permitted, upon advance notice and during normal business hours, to examine Licensed Products in the process of being manufactured and may inspect all facilities operated under the direction or control of Licensee used in connection therewith.
Quality Control Inspections. A qualified representative from the Contractor’s firm shall accompany an HOA representative (“Manager”) on monthly quality control inspections. Such inspections should occur on a set schedule as agreed upon by the Manager and the Contractor. Any deficiencies within the scope of services shall be corrected within seven (7) days of each inspection unless Contractor notifies Manager of a reasonable explanation as to why such issue cannot be completed in such time period
