Reimbursement for Certain Expenses. If ECS is assessed a payment to the Utility for power factor correction and/or required to install additional equipment relating to the Compressor Motor to ensure a power factor of at least [___%,] Customer will reimburse ECS for the actual expenses incurred by ECS in that regard within ten (10) days of receipt of an invoice from ECS.

Borrower agrees to pay or cause to be paid and to save Lender harmless against liability for the payment of all reasonable out-of-pocket costs and expenses, including, without limitation, all counsel fees and costs, incurred by Lender from time to time (i) arising in connection with the negotiation, execution, delivery, and recordation of this Agreement, the Note and the other Loan Documents, and the transactions contemplated hereby and thereby and all recording or filing fees, title insurance, expenses, costs of appraisals and costs of environmental due diligence, (ii) relating to any requested amendments, waivers or consents to or in connection with this Agreement, the Note or any other Loan Document, (iii) arising in connection with Lender's enforcement or preservation of rights under this Agreement, the Note or any other Loan Document, including but not limited to such expenses as may be incurred by Lender in the collection of the Note, and (iv) any other matters relating to the Loan, Loan Documents, the Collateral or Borrower.
Reimbursement for Certain Expenses. All reasonable costs incidental to the Loan and all Advances thereof, including, but not limited to, title insurance premiums, survey charges, appraisal fees, insurance premiums, inspecting engineers' and/or architects' fees, attorneys' costs and fees and any and all other incidental expenses of the Bank, shall be paid by the Borrower. All such fees and expenses shall be paid upon the receipt of a statement therefor.

The Fund also agrees to reimburse the Broker for its out-of-pocket expenses (as reasonably agreed upon by the Broker and the Fund) if the Fund asks the Broker to provide, and the Broker agrees to provide, additional services to Clients not otherwise called for under this Agreement. Out-of-pocket expenses relating to the routine and customary servicing of the Broker's brokerage accounts with its customers shall be borne by the Broker.
